RESOLUTION DETERMINING THE NECESSITY FOR THE ACQUISITION OF CERTAIN
PROPERTIES AND AUTHORIZING EXECUTION AND DELIVERY OF SALE AND PURCHASE
AGREEMENTS AND ESCROW AGREEMENTS RELATING THERETO.
BE IT RESOLVED by the Board of Commissioners (the "Commissioners") of the Housing and
Redevelopment Authority in and for the City of Fridley, Minnesota (the "Authority") as follows:
Section 1. Recitals.
1.0 L It has been proposed that the Authority acquire certain properties located within the City and
described in E�ibit A attached hereto (the "Properties") for redevelopment purposes.
1.02. It has been proposed that the Authority enter into a Purchase and Sale Agreement (the "Purchase
Agreement") and, if necessary, an Escrow Agreement (the "Escrow Agreement") with each respective owner
of the Properties in order to facilitate the acquisition of the Properties.
Section 2. F�.
2.01. The Authority hereby finds that it has approved and adopted a development program known as the
Redevelopment Plan for its Redevelopment Project No. 1(the "Redevelopment Program") pursuant to
Minnesota Statutes, Section 469.001 et se�c .
2.02. The Authority hereby finds that it is in the best interests of the Authority at this time to authorize the
acquisition of the Properties and approve the execution and delivery of the Purchase Agreements and Escrow
Agreements with the respective owners of the Properties, in order to promote the objectives as outlined in its
Redevelopment Program.
Section 3. Authorizations.
3.01. The Chairman and the Executive Director of the Authority (the "Officers") are hereby authorized to
execute and deliver the a Purchase Agreement and an Escrow Agreement with the owner of each of the
respective Properties. The Purchase Agreements and Escrow Agreements will substantially conform with the
Purchase Agreements and Escrow Agreements presented to the Authority as of this date with such additions
and modifications as those Officers may deem desirable or necessary as evidenced by the execution thereof;
3.02. Upon execution and delivery of the Purchase Agreements and the Escrow Agreements, the Officers
and employees of the Authority are hereby authorized and directed to take or cause to be taken such actions as
may be necessary on behalf of the Authority to implement the Purchase Agreements and the Escrow
Agreements.
