Notice of Public Hearing
Commercial Development Revenue Bonds
City of Fridley, Minnesota
-Notice is hereby given that a public hearing will be
conducted by the City Council of the City of Fridley, Minne-
sota, at the City 8a11, 6431 University Avenue N.E., Frid-
ley, Minnesota, at a meeting of the City Council to be held _
on November 19, 1984, commencing at 7:30 o'clock, p.m.,
C.T. At the public hearing the Council will consider a
proposal that the City assist the financing of a commercial
or industrial development project by issuing its bonds or
other obligations pursuant to Minnesota Statutes, Chapter
474.
The proposed project consists of the acquisition of land
and the construction and equipping thereon of an approxi-
mately 120,000 square foot warehouse and office facility
(the "Project"), to be located within the City in an area
generally bounded by Hickory Street NE on the east, North
Park on the north, the Burlington Northern railroad tracks
on the west, and the westerly extension of 81st Street NE on
the south, by Tyson Development, a Minnesota general part-
nership (the "Company"). It is proposed that the City
assist financing the Project from the proceeds of an issue
of the City's commercial or industrial development revenue
obligations in an amount presently estimated not to exceed
$3,500,000. If issued, such obligations would be payable
from lease payments or loan repayments to be made or secured
by the Company.
A draft copy of the proposed application to the Minne-
sota Energy and Economic Development Authority for approval
of the Project is available for public inspection in the
office of the.City Clerk-Treasurer.
All persons appearing a� the public hearing will be
given an opportunity to present their oral or written com-
ments on the proposal that the�City undertake and finance
the Project.

The Division of Emergency Services of the Minnesota Department of
Public Safety, has requested approximately 15 minutes of agenda time
at the December 17, 1984 City Council Meeting.
The Division of Emergency Services is desirous of talking to those
City Councils in political subdivisions who have trained responders
for the state ha7ardous materials response team. The City of Fridley
is one of two cities in Anoka County that meets that criteria.
Mr. Tom Motherway, Director of the Division of Emergency Services,
and other staff inembers are scheduled to make the presentation.

CARRIED UNANIMOUSLY.
Mr. Clark stated the proposal was to place a 300 sq, ft. temporary real
estate/area identification sign at the northern most portion of the property
they own along East River Road. The size of the sign has now been reduced
to 200 sq. ft. stating the name of the center, "River Road Busines�s Center"
and listing the phone number. There is no other real estate information on
the proposed sign.
Mr. Clar(c stated t�at, as he unders.tood it, the developers do propose to put
Permanent signage on tFie buildings as wall signs. A sign plan will be sub-
mttted at some time in the future. In addition to those signs, there are two

islands 6eing created 6y the driveways going inta the complex. Each one of
those is7ands will �ave an area i�en�i`ication sign in compliance with
city code.
Mr. Geoff Martin stated he was with Hor�ard Dalgon Associates, Land Planning
Consultants, He stated Ken Belgarde was also at the meeting representing
Marreld, Belgarde, and Yaffe Companies, the developers of the East River
Road Business Center.
Mr. Martin apologized for not having a representative at the Appeals Commission
meeting when this item was tabled. He stated they have been looking at
various alternatives on how to handle the signage.
Mr. Martin stated the development was approximately 270,000 sq. ft, of office,
tech, and service facility on approximately 22 acres of land. They are ask-
ing for a variance from 50 sq. ft. to 200 sq. ft. He stated the revised
sign was in the Comnission's agenda packet. There was also a photograph in
the agenda packet that illustrated the sign as it might appear from 694.
Mr. Martin stated they feel that from 694, a 50 sq. ft, sign as allowed by
city code, would not allow for a large enough sign to be visible from 694,
and they feel that is t�eir hardship. Since this is such a large development,
in order for it to succeed and be a viable part of the Fridley comnunity,
they would like to fill their buildings as soon as possible�and feel a sign
would definitely help their sit�ation.
Mr. Martin stated the Commissions had made some comments at the meeting at
which this item was tabled. Some of those comments dealt with the aspects
of 694, the sign size, and the definition of the sign as being a billboard.
Mr, Martin stated a billboard is more defined as something that advertises
something for sale off the premises. For clarification, their sign was
selling something that was on site--advertising a business center--not a
product. If it was a billboard, t�ere are all kinds of regulations that
govern a billboard, but this is a leasing sign, not a billboard.
Mr. Martin stated the Cor�nissioners had some concerns about the distraction
for traffic moving along 694. He stated he had talked to Ed Brown, Minnesota
Department of Transportation, about the concerns about accidents at this
intersection. Mr. Brown had said some of the reasons for the accident rate
referred to in the MnDOT 1979 study was the old metering systems on the
entrance ramps and also that traffic does converge down by the old railroad
overpass. Mr. Bnown also felt a sign in this location would not be a dis-
traction and would not cause any problems on 694,
Mr. Martin stated they feel a larger sign would simplify and would be easier
to comprehend and not be as much a distraction as a smaller sign which would
bE harder to read and could be more of a nuisance than the larger sign.

Mr. Martin stated some comments were made by the Comnission about possibly
using the existing billboard to the south. He stated they have looked at
this billboard. It is approximately 2,000 ft, from 694 which is quite a
distance. Lf they look at it closely, it is really not that visible and
people traveling 694 really have to strain to see it. They feel 694 is
where most of their potential tenants would be located.
Mr. Martin stated that with regard to the tenants and the leasing and
marketing of this property, they �ave talked to people from Coldwell-Banker.
It was the concensus of the majority of those people that for a development
like this located in an area that has not been developed with this type of
facility in the past (the area is mostly commercial), the signage is imperative
for the center's marketing and signage is one of the most useful tools in this
situation.
Mr. Barna stated the revised sign was certainly preferable to the previous
sign. In a split second, people,can see it there and know what it says. Even
if they cannot read tfie whole sign, tfiey realize they have to exit at that
point. Ne stated he fiad less objection to a sign of this type; however, they
were still running far in excess of what the normal signage would be per sign.
Total square footage for the whole site was being combined into one sign.
Mr. Betzold stated Mr, Martin had tried to differentiate between billboards
and leasing signs, but the purpose of t�e ordinance really doesn't distinguish
between the two. One purpose of the ordinance is to eliminate visual pollution
and t�e second purpose is to increase safety. T�e concern the Commission had
at their last meeting was that this was a very dangerous intersection, and the
Commission does not want people to be looking off the road when they should
be looking at the road. He was not sure that Mr. Martin had clearly addressed
that concern. He stated he drove 694 twice a day, and he could not think of
a more dangerous intersection in the wfiole city than this intersection.
Mr. Martin stated their main concern with the term "billboard" was they were
willing to compromise as far as what size wauld work. They were trying to
come up with something that was larger than 50 sq. ft, that was large enough
but yet would be safe. When they talk_about 6illboards, there are regulations
that say the billboard has to be 500 ft. back from any intersection and it
cannot be within 1,000 ft. of another billboard. So, it was a matter of how
a person interpreted what constituted a billboard. He stated this is a
temporary sign. Granted, the size that was illustrated before was definitely
the size of a billboard, and t�e concerns of site lines and distractions were
well warranted. However, they feel this new proposed sign would be cleaner
and easier to read because it was simpler. The letters will be approx, two
feet high. In a 50 sq, ft, sign, the letters would be much smaller, and
people would not be able to comprehend it quickly from 694.
Mr. Martin stated they did talk to people from Naegele as to what their "rule
of thumb" was for what size of letters to apply to a sign for this distance
from the freeway, how fast people were traveling, etc. The people from Naegele
suggested that witfi t�is distance, 1,000 ft, down to 900 ft., from 694, the
letters be at least 4 ft, fiig�. Mr. Martin stated the size letters they are
suggesting for tfiis si�gn are 2 z ft, Fiigf�.

Mr. Barna asked for tfie time schedule for tfie development on the lots south
of 53rd Ave.
Mr. 8elgarde stated it will take them about 7-9 months, depending on the
weather, to get the sfiell of the first 6uilding up. Tfien, if the leasing
goes well v�;th the first building, they will probably have a staging effect
of a6out six months 6etween eacfi 6uilding. They anticipate about 2-3 years
to t�e completion of t�e total development.
Ms. Gabel stated that if the Appeals Commission grants this variance, she
could foresee the developer coming back again in two years asking for an
extension on the variance.
Mr. Belgarde stated he felt the City of Fridley, like Bloomington, St. Paul,
Minnetonka, and other corranunities, will find the Narreld, Belgarde, and Yaffe
group very receptive to talk to and work with. If there are concerns on the
part of the City, t�ey wi11 be more than willing to go out and work on those
problems, He stated they look at this development as a partnership with the
communi_ty as well as a partnership among t�emselves. They want to do things
r i.g f�t .
Ms. Ga6e1 stated sF�e felt the Comnission members understood that. The
Corimi_ssion was glad to see these kinds of developments happen;.however, the
Cor,m�i.ssion was also charged with some responsi6ility to the community as a
whole. TF�ey all fiave a 1ot oP concerns about what happens on that freeway.
She recognized the situation on 6g4 was not the developer's fault. But, the
Cormission was very concerned a6out the existing conditions on that freeway
and putting anytfiing there now would worsen tf�at situation. As she had stated
before, th�re was no one wf�o could prove that signs cause accidents, but
obviously if people are reading signs, they are not looking at the road.
Mr. Belgarde stated this was 270,000 sq, ft, of product, none of which was
leased at this time. This was the third recent large project like this they
have undertaken in the last five years. Part of the allurement to this area
was the freeway. One of the things they need to do is get some identification
that this is River Road Business Center along East River Road and 694, so the
sign was quite important to them.
Mr. Martin stated they are willing to put landscaping around the sign to
dress it up if that would help.
Mr. Betzold stated he had noted that the sign was essentially parallel to
694, presumably so people could see it from both directions. Had the
developer considered angling the sign so it wauld be more visible to the east-
bound traffic more than tF�e westbound traffic? He stated he was a little con-
cerned about having people in the westbound lane looking over and reading the
sign. When the sign is parallel with the freeway, people are not going to be
able to see what the sign says until they are rigF�t on it.
Mr. Belgarde stated he had no objection to tipping the sign so it would be
more visible to the eastbound traffic.

Ms. Gabe7 stated that once the building was built, they are allowed wall
signage based on a formula for square footage. Since this building was
quite large, she was concerned t�at the wall sign could get to be very large.
Mr. Clark stated it was Stipulated on the permit.that they would have to
su6mit a signage plan.
Mr. Martin stated tfiat in all of Mr. Belgarde's projects, the whole sign
package has always been desi�gned to be architecturally compatible with the
; to�al package. The tenants do not have the freedom to design whatever they
want. Narreld, Belgarde, & Yaffe are very concerned a6out their image, and
� their building materials are of hig� quality. Landscaping is of a very high
caliber.
Mr. Barna stated he would like to see some kind of sign or layout where it
Ktould only take a split second out of the corner of t�e eye to see and
realize that this was w�ere a person had to exit, rather than someone having
to tr� to copy down a telep�one num6er to call a rental office.
Mr, Belgarde stated he would be willing to drop t�e telephone number if that
would make a difference to the Cori�nission.
Mr. Barna stated if he were to approve that size of a sign, he would rather
see 42 ft, letters and no telephone number. A telephone number could be put
on the sign on East River Road for anyone seriously interested in the
development.
Ms. Gabe7 stated that in order for her to be able to vote in favor of the
variance� sfie would need a couple of stipulations: (1) that the sign be
taken down within 2 yrs, or at 95ro occupancy of the entire project whichever
car�e first with no extensions; (2� there be no wall signage on the completed
building wit regar to eas�ng or advertising whi7e the other sign was
standing.
Ms. Gabel stated she certainly appreclated the developer's efforts to com-
promise by reducing the size of the sign and their willingness to delete
the telephone number.
Mr. Betzold stated he would be in favor of deleting the telephone number.
Mr. Belgarde asked the Comnission that if they took off the telephone number,
could they increase the letter size, still keeping the sign at 200 sq. ft.
Ms. Gabel stated that made sense and might be preferable.

Ms. Gerou stated there was a definite hardship and a sign was needed; however,
thP location was bad no matter how tfiey looked at it.
Mr. Barna stated it bot�ered him to say this development had to have a small
s.ign when they are sitting right next door to a company that has a very large
sign. He realized the developers want to identify their site. He would much
prefer a long short sign as close to the ground as possible with as large a
letter as possib7e with the minimum amount of information. He was not
totally anti-sign, and fie could sympathize witfi the developers.
Mr. Betzold stated the developers' pitc� was they are trying to sell the
development from 694. He wholeheartedly supported the development and would
l��ke to see everyt�ing done that was possible to make the development work.
The Ci.ty needed more enterpri:se in that particular area. However, he did not
see them helping an already bad situation by allowing this sign. There was
sti.11 a lot of traffic on East River Road, and a lot of people could see the
signage on East River Road and have time to tfiink about relocating in this
business center. More people do travel 694, but he did not know if this was
the way to attract their attention toward the development.
Ms. Gabel stated she was really opposed to putting a sign in this location.

DENIAL OP A REQUE5T PI�R A VARZANCE PURSUANT TO CNAPTER 2Z4 OF THE FRIDLEY
CITY CODE TO INCREASE THE MAXIMUM ALIAWABLE SIGN AREA FOR A REAL ESTATE SIGN
FROM FIFTY SQUARE FEET TO THREE HUNDRED SQUARE FEET TO ALLOW FOR VISIBILITY

Section 205.17.5D.5b requires all parking and hard surface areas to be
no closer than 5 feet from any side lot line, except for an approved
comnon drive.
Section 205.17.5D,5a requires all par[cing and hard surface areas to be
no closer than 20 feet from any street right of way.

Pu61ic purpose served by these r�equirer�ents is to reduce visual pollution
in the front yard, in areas adjacent to lot lines, and to separate park-
ing with landscaped areas.
B. STATED HARDSHIP:
"The driveway is too narro�v for truck deliveries. We would like to
widen the driveway from the existing 20 feet to 24 feet, for a length
of 182 feet, which would locate it 1 foot from the south lot line."
The front yard parking is existing.
C. ADf1INISTRATIVE STAFF REVIEW:
If the Board recommends approval of the:e variances, the staff has no
stipulations to suggest.
Mr. Clark showed the Corunissioners an aerial photo of the area.
Mr. Clark stated the original building was built in 1956 for a c�mpany called
Minnesota Door. That company added onto the buildinq in 1959, and some time
after that, the building was purchased by a company called Automatic Engineer-
ing and �lanufacturing. Since 1959, very little, if anything, had been done
in terms of i�provements.
Mr. Clark stated that about two years ago, Kurt Manufacturing purchased the
property. Since that time, they have made good strides toward improving the
looks of the preperty. They are now planning to improve the parking lot
and bring the property up to present day standards as far as landscapinc� is
concerned.
Mr. Clark stated Kurt Manufacturing did inherit some problems w{ien they
purchased the property. The building was built with some of the parkinq in
front. The north side of the building was the required distance from the
lot line. After the building was built, the street right of way was dedicated
causing the building to be 5-10 ft. off the north property line. Because
Lhey want a wider driveway to get better access to the doors they have on the
south side of the building, Kurt Manufacturing is requesting a variance. They
can only get a 20 ft. driveway without the variance.
Mr. Clark stated Kurt Manufacturing has contacted the leasee to the south,
a c�obile home sales lot, and the owner of the lot, Harstad, and while they do
not have any objections to the variance, they did not want to cormit to having
a joint driveway which then necessitated the need for this variance.
Mr. Clark sta�ed Kurt Manufacturing would like to put a surmountable curb in
along the south property line so that with the movement of trailers in and out
of the lot to the south and trucks coming into Kurt Manufacturing, the trucks
might have to drive over the curbs. The City has no objection to the surmount-
able curb, and it does provide a border between the driveways.

Mr. Clark stated Kurt Flanufacturing has been working with City Staff on land-
scaping. Kurt t4anufacturing went before the Planning Commission and City
Council for a special use permit. Because the eastern portion of the property is
zoned R-3, they needed a special use permit to allow parking in that R-3
portion. The Planning Comnission approved the special use permit with the
following stipulations. He stated these stipulations did not need to be
repeated in a motion if the variance is approved.
1. An acceptable landscape plan
2. Six ft. and eight ft. solid wood fencing in front of the loadin�
� dock and around outside storage area on east side of building.
3. Six inch concrete curbing as per code
4. Approval of southerly curb location contingent upon variance
approval.
5. Special use permit contingent upon the City receiving a
g10,000 performance bond.
6, All improvements to be completed by June 1, 1985
7. The existing parking spaces in front of building to be reduced
from 10 to 7 and these areas be landscaped.
Mr. Louis Rosburg, Kurt Manufacturing, stated they are concerned about the
distance from the building to their lot line vihich is 39.9 ft. The
requirement on a standard driving lane is 25 ft., and they want to he as
close to the standard driving lane as allo►��able. He r�ould also point out that
the curb opening to the west is greater than the width of their driveway.

Ms. Gerou stated that as long as the property owner to the south does not
object to this variance and there is a temporary special use permit on the
property, she would be in favor of granting the variance.
Mr. Setzold stated it was obvious from the way the building was built and the
position of the loading dock, the wider driveway was the only �ray the company
would be able to use their building and be able to get semi's and large trucks
back there. He stated the Commission is simply being asked to confirm wMat
has already been the use of that particular property. They are not chanqing
anything, except to hard surface the driveway. He thought the plan made sense,
because he felt that what they were doing by approving the variance was conducive
to the use of the property to the south.
Ms. Gabel stated she agreed with that. She definitely thought there was a
hardship. She agreed with Mr. Betzold that they were not approving something
that didn't already exist. They were just approving it in an upgraded manner.
The company is also working with the City to upgrade and improve the property
as a whole, so she was in favor of granting the variance.

In your letter of June 11, 1984 you inquired about the process
necessary for the City to call for bids for the purchase of non-
construction projects. I apologize for the delay in not responding
sooner, but this inquiry was not received by my office until Septem-
ber 8, 1984.
As you know, D1.S.A. Section 471.345 is known as a Uniform :•lunicipal
Cuntracting Law and it provides certain dollar amounts, above which
bids must be received. This statute does not provide a specified
procedure by which the bids must be called for bu[ rather only states
that the bids must be called for in the manner provided for by the
governing body.
Consequently, it thus becomes necessary to look at the City Charter.
Section 6.06 states:
"In all cases of contracts for the purchase of inerchandise,
materials or equipment or for any kind of construction work
undertaken by the City, which require an expenditure of more
than that which is set by the State Statutes, unless the
co�incil shall by an emergency ordfnance otherwise provide,
the City *ianager shall advertise for bids by at least ten
da��s publish notice in the official newspaper."
As you can see, the Charter permits the City :fanager to administratively
advertise for bids. You will note that this sect�on continues by stating
that the Council, however, shall have the right to reject any and all bids.
You will also note that Section 6.05 of the Charter also requires all pur-
chases to be approved by the Council.
A summary review of the City Ordinances does not show any specific ordin-
ances dealing with this question.
In summary it is our opinion that pursuant to authority contained in Sec-
tion 6.06 of the City Charter, the City Manager may administratively pro-
ceed with advertising for bids for the purchase of items which are not
construction projects. The granting of the bid though, must be subject
to the approval of the Council.� Because of the fact that this procedure
is outlined in the City Charter it is not necessary for the Council to

adopt a resolution calling for this process. Hok•ever, it may be
advisable to do so if this new practice is a deviation from prior
policy.

RESOLUTION NO.
RE50LUTION GIViNG PRELIMINARY APPROVAL TO A
PROJECT UNDER THE MINNESOTA MUNICIPAL INDUS-
TRIAL DEVELOPMENT ACT, REFERRING THE PROPOSAL
TO THE MINNESOTA ENERGY AND ECONOMIC DEVELOP-
MENT AUTHORITY FOR APPROVAL AND AUTHORIZING
PREPARATION OF NECESSARY DOCUMENTS .('TYSON DEVELOPMENT)
BE IT RESOLVED by the City Council (the "Council") of
the City of Fridley, Minnesota (the "City"), as follows:
1. It is hereby found, determined and declared as
follows:
1.1. The welfare of the State of Minnesota (the
"State") requires active p=omotion, attraction, encour-
agement and development of economically sound industry
and �ommerce through governmental acts to prevent, so
far as possible, emergence of blighted lands and areas
of chronic unemplayment, and it is the policy of the
State to facilitate and encourage action by local gov-
ernment units to prevent the economic deterioration of
such areas to the point where the process can be re-
versed only by total redevelopment through the use of
local, state and federal funds derived from taxation,
with the atte�dant necessity of relocating displaced
persons and of duplicating public services in other
areas.
1.2. Technological change has caused a shift to a
significant degree in the area of opportunity for edu-
cated youth to processing, transporting, marketing,
service and other industries, and unless existing and
related industries are retained and new industries are
developed to use the available resources of the City, a
large part of the existing investment of the community
and of the State as a whole in educational and public
service facilities will be lost, and the movement of
talented, educated personnel of mature age to areas
where their services may be effectively used and ccm-
pensated and the lessening attraction of persons and
businesses from other areas for purposes of industry,
commerce and tourism will deprive the City and the State
of the economic and human resources needed as a base for
providing governmental services and facilities for the
remaining population.
1.3. The increase in the amount and cost of govern-
mental services requires the need for more intensive
development and use of land to provide an adequate tax
base to finance these costs.

1.4. Tyson Development,,a Minnesota general part-
nership (the "Company"}, has advised the Council that it
desires to undertake a project which consists of the
acquisition of land and the construction and equipping
thereon of an approximately 120,OOC square foot ware-
house and office facility (the "Project"), to be located
in an area generally bounded by Hickory Street NE on the
east, North Park on the north, the Burlington Northern
railroad tracks on the west, and the westerly extension
of 81st Street NE on the south in the City.

1.8. The City is authorized by Minnesota Statutes,
Chapter 474, to issue its revenue bonds, notes or other
obligations to finance the cost, in whole or in part, of
the acquisition, construction, reconstruction, improve-
ment, betterment or extension of capital projects con-
sisting of properties used and useful in connection with
a revenue producing enterprise, including the Project,
and the issuance of such obligations by the City would
be a substantial inducement to the Company to construct
its facility in the City.
1.9. The City has been advised by O'Connor &
Hannan, Minneapolis, Minnesota, who shall act as bond
counsel to the City with respect to the project, that
the Project constitutes a"project" within the meaning
of Minnesota Statutes, Chapter 474. �
2. On the basis of information given the City to date,
it appears that it would be in the best interest of the City
to issue its obligations (the "Bonds"} under the provisions
of Minnesota Statutes, Chapter 474, to finance the Project
in an amount presently estimated not to exceed $3,500,000.

3. The Project and the related financing thereof by
the City are hereby given preliminazy approval, and the
issuance of the Bonds for such purpose and in such estimated
amount is hereby approved, subject to approval of the Proj-
ect by the Minnesota Energy and Economic Development Author-
ity (the "Authority") and to the mutual agreement of the
Council, the Company and the initial purchasers of the Bonds
as to the details and provision for payment of the Bonds.
In all events, it is understood, however, that the Bonds
shall not constitute a debt of the City or a charge, lien or
encumbrance, legal or equitable, upon any property af the
City except its interest in the Project, and each of the
Bonds when, as and if issued shall recite in substance that
it is payable solely from the revenues received from the
Project and property pledged to the payment thereof.

A Resolution of the City Council of the City of
Fridley, Anoka County, Minnesota, Authorizing the
Issuance and Sale of the City's $990,000 Commercial
Development Revenue Bonds (University Center Phase
III Project), Dated as of December 1, 1984.
WHEREAS, the Minnesota Municipal Industrial Development
Act, Minnesota Statutes, Chapter 474 (the "Act"), authorizes
the City of Fridley, Minnesota (the "City), to issue its
revenue obligations for the purposes specified therein and
for the financing of eligible projects thereunder;
WHEREAS, the Borrower, being Gerald W. Paschke, has
proposed to acquire land and construct thereon commercial
and retail facilities (the "Project") in the City, to be
owned by the Borrower, and the City desires to assist the
financing of the Project upon the terms and conditions
specified in the Act and the Agreement (as hereinafter de-
fined); _
WHEREAS, the City proposes to assist the financing of
the Project by the issuance of revenue obligations of the
City under the Indenture (as hereinafter defined);
WHEREAS, the City proposes to enter into an Indenture of
Trust, dated as of December 1, 1984 (the "Indenture"), with
First Trust Company of Saint Paul, in St. Paul, Minnesota
(the "Trustee"), to provide, among other things, for the
issuance by the City of its $990,000 Commercial Development
Revenue Bonds (University Center Phase III Project), dated
as of December l, 1984 (the "Bonds");
WHEREAS, the City and the Borrower propose to enter into
a Loan Agreement, dated as of December 1, 1984 (the "Agree-
ment"), to provide, among other things, for the loan of the
proceeds of the Bonds to the Borrower to be used to finance
the Project;
WHEREAS, the Borrower and the Trustee propose to enter
into a Mortgage, Security�Agreement and Fixture Financing
Statement, dated as of December 1, 1984 (the "Mortgage"), to
secure the performance of the Borrower's obligations under
the Agreement;
WHEREAS, the Borrower and the Trustee propose to enter
into an Assignment of Rents and Leases, dated as of December
1, 1984 (the "Assignment"), whereby the Borrower would
assign, grant and transfer to the Trustee all of the Bor-
rower's right, title and interest in and to any present and
future leases and rents derived from any part of the Project
as further security for the payment of the principal of,
premium, if any, and interest on the Bonds and the perfor-
mance of the Borrower's obligations under the Agreement;

Section 1. The City Council hereby finds that the Proj-
ect is a"project," as defined in the Act, that the issuance
of the Bonds for the Project would promote the purposes of
the Act and that the issuance of the Bonds and the execution
and delivery of the Agreement and the Indenture would serve
the interests of the City.

as special and limited obligations of the City, payable
solely from the revenues derived by the City from the Agree-

Otherwise, the Bonds shall not constitute a debt of the City
within the meaning of any constitutional or statutory or
Home Rule Charter provision, shall not constitute or give
rise to any pecuniary liability of the City, any charge
against the City's full faith and credit or taxing powers or
any charge, lien or encumbrance, legal or equitable, upon
any funds or other assets of the City.
Section 4. The City Council of the City hereby autho-
rizes the Mayor and the officers of the City to execute and
deliver the Bond Purchase Agreement, the Indenture and the
Agreement. All of the provisions of the Bond Purchase
Agreement, the Indenture and the Agreement, when executed
and delivered as authorized herein, shall be deemed to be a
part of this resolution as fully and to the same extent as
if incorporated verbatim herein and shall be in full force
and effect from the date of execution and delivery
thereof. The Bond Purchase Agreement, the Indenture and the
Agreement shall be substantially in the form on file in the
office of the City Clerk-Treasurer with such necessary and
appropriate variations, omissions and insertions as permit-
ted or required by such documents or as the Mayor and offi-
cers of the City executing the same, with the advice of bond
counsel for the Bonds, O'Connor & Hannan, shall determine,
as evidenced by such execution thereof.
Section 5. The Bonds are hereby authorized to be exe-
cuted by the facsimile signatures of the Mayor and City
officials specified in the form of the Bonds contained in
the Indenture and �to be manually authenticated by the
Trustee, all as provided in the Indenture.
Section 6. Al1 covenants, stipulations, obligations and
agreements of the City contained in this resolution and in
the Bond Purchase Agreement, the Indenture and the Agreement
shall be deemed to be the covenants, stipulations, obliga-
tions and agreements of the City to the full extent autho-
rized or permitted by law, and all such covenants, stipula-
tions, obligations and agreements shall be binding upon the
City. Except as otherwise provided in this resolution, all
rights, powers and privileges conferred and duties and
liabilities imposed upon the City or the City Council by the

any reason be held to be illegal or invalid, such illegality
or invalidity shall not affect any other provision of this
resolution, the Bond Purchase Agreement, the Indenture, the
Agreement or the Bonds, but this resolution, the Bond Pvr-
chase Agreement, the Indenture, the Agreement and the Bonds
shall be construed as if such illegal or invalid provision
had not been contained therein.
Section 8. The Bonds shall contain a recital that the
Bonds are issued pursuant to the Act, and such recital shall
be conclusive evidence of the validity of the Bonds and the
regularity of the issuance thereof and the Bonds shall con-
tain a further recital that all acts, conditions and things
required by the Home Rule Charter of the City and by the
Constitution and the laws of the State of Minnesota in con-
nection with the issuance of the Bonds to have happened, to
exist and to be performed have happened, do exist and have
been performed as so required by law.
Section 9. The officers of the City, attorneys, engi-
neers and other agents or employees of the City are hereby
authorized to do all acts and things required of them by or
in connection with this resolution, the Bond Purchase Agree-
ment, the Indenture and the Agreement for the full, punctual
and complete performance of all the terms, covenants and
agreements contained in the Bonds, the Bond Purchase Agree-
ment, the Indenture, the Agreement and this resolution,
including without limitation. the execution and delivery of
all supplementary certificates and documents necessary or
advisable in connection with the issuance of the Bonds.

Section 10. The Trustee is hereby designated as the
paying, authenticating and transfer agent and registrar for
the Bonds, all as provided in the Indenture.
Section 11. The City Manager and City Clerk-Treasurer
are hereby designated and authorized to act on behalf of the
City as Issuer Representative of the City under the Agree-
ment.
Section 12. The City Council hereby authorizes the dis-
tribution of the Official Statement prepared for the Bonds
by the Original Purchaser in connection with the sale of the
Bonds; however, the City has not reviewed the Official
Statement and assumes no responsibility for the accuracy or
completeness thereof, or otherwise.

NO�W, TAEREFORE, BE IT RESOLVED, by the City Council of the City of
Fridley, that the Commissioner of Transportation be requested to
adequately reduce the speed limits on T.H. 47 and T.H. 65 in the first
ring suburb of Fridley in an attempt to provide greater safety to
motorists, pedestrians and bicyelists in the community and provide for
uniform speed for traffic enforcement purposes.
