Subject: Letter of Intent Regarding Lot 3, Block 1, Elwell's Riverside Heights Plat 2
Dear Ms. Goedeking:
Please be advised that the City of Fridley, a municipal corporation under the laws of the State
of Minnesota, is interested in acquiring a utility and drainage easement across a portion of your
property described as Lot 3, Block 1, Elwell's Riverside Heights Plat 2. The exact nature and
extent of the easement is described in Exhibit A which is attached to this letter of intent and
incorporated herein. The City requests that you accept the terms of this letter of intent as a
mutual statement of the City of Fridley and Carolyn Lee Goedeking.
1. Definitions. For purposes of this letter, the following terms shall have the following
meanings:
a. "City" means the City of Fridley, a municipal corporation organized under the laws
of the State of Minnesota.
b. "Owner" means Carolyn Lee Goedeking.
C. "Property" means the real'property in Fridley, Minnesota, legally described in Exhibit
A attached hereto.
1. Prior Negotiation. The City has previously conferred with the Owner that it desires to
obtain an easement for purposes of establishing a utility and drainage easement. As
discussed, the City has determined that the proposed easement lies within an area
previously dedicated as street right-of-way for the vacated 76th Way. Because the
property is Torrens Property, it is necessary that a proceeding subsequent be completed
in order to add the vacated street right-of-way to the Owner's adjacent property.
3. Statement of Intent. The City and the Owner agree to proceed in good faith and with
due diligence to complete the proceeding subsequent. The City agrees that any and all
costs associated with this proceeding will be paid for by the City. The Owner authorizes
the City to proceed with the proceeding subsequent and will cooperate with the City in
June 30, 1993

completing this procedure. The parties further agree that upon completion of the
proceeding subsequent that they will execute the easement attached hereto as Exhibit A.
The parties further agree that upon execution of this letter of intent that the Owner
authorizes the City to enter on the property described in Exhibit A and to commence
construction of a 6 inch watermain. The City agrees that upon completion of this
construction it will restore the property to its present condition.
4. Consideration. The consideration for this agreement shall be the time and money
expended by the City in completing the proceeding subsequent described above.
5. Title to Property. The Owner warrants that they are the legal owners of the property
described in Exhibit A and that upon completion of the proceeding subsequent that they
have marketable title to the subject property, subject only to mortgages and
encumbrances of record.
6. Affect of Letter of Intent. Upon the endorsement of this Letter of Intent by both parties,
the effect of this agreement shall be that the City has the right to enter upon the property
for purposes of constructing a 6 inch watermain and that the Owner agrees to sign the
Easement described in Exhibit A for the consideration described above.
7. Acceptance. The terms of the Letter of Intent shall be accepted by the Owner by
execution and delivery to the City.

It is important that these code violations be corrected as soon as
possible so that the City may issue this license to you.
I will be reinspecting this property on or shortly after November
30, 1993, at which time full compliance is expected. Should these
violations remain at that time, I will pursue legal action in this
matter for operating residential rental property without a City
license.
