4. Public Hearing & Approval of Land Transfer—7011 University Avenue

Paul Bolin, HRA Assistant Executive Director, stated that as the redevelopment of the former
Columbia Arena site continues to move forward on two different fronts, the new City Hall and
the surrounding private development, the HRA is an active partner in both projects. The
Authority currently owns the land that the new City Hall will be built on, and the City currently
owns the land that will accommodate the private development.
Mr. Bolin said that to create the lots and legal descriptions to facilitate the new construction and
allow future transfer of lands, the City is undertaking a re-plat of the entire site. The new plat
will carve out the lots needed for City Hall, the storm water pond amenity, the proposed parkway
and the areas for private development. To simplify the platting, staff recommends the Authority
transfer title of the Columbia Arena parcel to the City. The new plat will then allow the City to
transfer Outlot's A, C & F to the Authority for redevelopment.
Mr. Bolin noted that the City's bond advisors have stated that the bond proceeds can only be
spent on City owned land. To facilitate breaking ground in May, the City must have title to the
former Columbia Arena parcel. The City Council is scheduled to act on April 24th to formally
accept the property. Staff recommends that the Authority approve the attached resolution
authorizing transfer of the parcel to the City.
Chairperson Pro Tem Gabel asked what this would change regarding the money that is owed.
Jim Casserly, Development Consultant, replied that this doesn't address any of the money that
has been obtained from the City for the original acquisition. Several issues need to be addressed
as to how the costs will be shared and what amounts can be used to develop these sites.
Chairperson Pro Tem Gabel said that this will be part of the decision-making process for the
land that will be developed.
Mr. Casserly replied that they will look at what kind of increment can be generated for this type
of development and how this development will work for the City and the Authority.
Chairperson Pro Tem Gabel asked if the money will be considered when that is done.

Mr. Casserly replied yes, resolutions are in place but there isn't enough information to talk
about those issues right now. This is a mechanical problem; the land is being transferred to the
City and they will transfer it back to the Authority at a future date.
Commissioner Holm summarized that the Authority is transferring this property to the City, the
City accepts it late this month and the City works with the County to plat the property so that
after that is done the City will send it back to the Authority so the property can be developed.
Commissioner Eggert asked if this would be able to get done on time.
Mr. Bolin replied that discussions have already started with the County back in February. They
seem to understand exactly what the City needs to get this done. When the City acts on this plat
toward the end of May they will clean up some easement issues, take it to the County and the
County will sign off on it. It can take several months sometimes to get plats through. This
should be able to be completed by the end of May.

Informational Items:
1. Housing Programs Update
Paul Bolin, HRA Assistant Executive Director, reported that there was one loan in March
making one year-to-date. There have been 17 Home Energy Squad Visits year-to-date. There
are some changes at CEE and they are combining with another group. Ashley Robertson will
work with the Authority to market all our programs. A press release will get the word out on
these programs. The City is working on putting together a new resident packet that has never
been done before. This packet will have all the loan program information in it. Over the next
month staff will try to meet with local realtors to be a resource for people moving into Fridley.
Commissioner Eggert asked how they would identify the new home owners.
Mr. Bolin, HRA Assistant Executive Director, replied that the easiest way is through the water
bill.

Commissioner Eggert asked for summary information on transactions for last year, he is
interested in hearing about the turnover of homes in Fridley.
Mr. Bolin did not have that information but he would send it out to the Authority. There isn"t a
lot of inventory for housing in Fridley.
Chairperson Pro Tem Gabel noted that people are staying put and not moving. Fridley offers
reasonably affordable housing and several services are available in the community.

A RESOLUTION AUTHORIZING THE SALE OF RESIDENTIAL PROPERTY BY
THE HOUSING AND REDEVELOPMENT AUTHORITY IN AND FOR THE CITY OF
FRIDLEY, MINNESOTA
BE IT RESOLVED by the Board of Commissioners (the "Commissioners") of the Housing and
Redevelopment Authority in and for the City of Fridley, Minnesota(the "Authority") as follows:
Section 1. Recitals.
1.01. It has been proposed that the Authority sell certain residential property (the "Property")
described below:

Section 2. Findings.
2.01. The Authority hereby finds that it has approved and adopted a development program
known as the Modified Redevelopment Plan for its Redevelopment Project No. 1 (the
"Redevelopment Program")pursuant to Minnesota Statutes, Section 469.001 et seq.
2.02. The Authority hereby finds that it has approved and adopted a Housing Replacement
District Plan (the "Plan") and created Housing Replacement District No. 1, pursuant to
and in accordance with Laws of Minnesota 1995, Chapter 264, Article 5, Sections 44
through 47; Laws of Minnesota 1996, chapter 471, article 7, section 22; Laws of
Minnesota 1997, chapter 231, article 10, section 13; Laws of Minnesota 2002, chapter
377, article 7, section 6; Laws of Minnesota 2008, chapter 154, article 9, section 19, and
Laws of Minnesota 2010, Chapter 216, Section 42 (collectively"The Act").
2.03. The Authority hereby finds that it has performed all actions required by Minnesota
Statutes for the sale of the Property.
2.04. The Authority hereby finds that the sale of the Property promotes the objectives as
outlined in its Redevelopment Program and the Plan.

Section 3. Approval of the Sale.
3.01 The sale of the Property is hereby approved.
Section 4. Authorization for Execution and Delivery.
4.01. The Chairman, the Executive Director and Assistant Executive Director are hereby

Property in accordance with the Authority's Housing Replacement Program.

SUBJECT: Approval of Contract for Exclusive Negotiations — Locke Park Pointe
Through a formal Request for Qualifications, the Authority chose to work with the Flaherty &
Collins/Landform group ("Redeveloper") in developing housing around the proposed City Hall
campus. There are a number of tasks that the Developer will need to complete over the next
few months, including market studies, site design work, financial analysis and engineering.
Upon completion of a number of the tasks, the Developer and Authority will be in a position to
draft a full redevelopment agreement. In the interim, a Contract for Exclusive Negotiations has
been drafted to protect both parties.
The attached agreement was drafted by Attorney Casserly and reviewed by Staff and the
Redeveloper. The agreement is very straightforward and lays out the responsibilities for each
party. The agreement will remain in effect until a Contract for Private Redevelopment is in
place, or until November 2, 2017.
STAFF RECOMMENDATION:
Staff recommends the Authority approve the attached Contract for Exclusive Negotiations. The
agreement will provide Flarherty/Landform the protections they need to move forward with the
project.
EXECUTION: May 4, 2017
CONTRACT FOR EXCLUSIVE NEGOTIATIONS
THIS AGREEMENT, effective as of this day of , 2017 is
between the Housing and Redevelopment Authority in and for the City of Fridley,
Minnesota ("Authority"), having its principal offices at 6431 University Avenue N.E.,
Fridley, Minnesota 55432, and Locke Pointe Fridley, LLC, a Minnesota Limited Liability
Corporation with its principal offices at 105 Fifth Avenue South, Suite 513, Minneapolis,
MN 55401 ("Redeveloper").
WHEREAS, in January of 2017 the Authority issued a Request for Qualifications
to engage a master developer to assist the Authority with the development of housing
and commercial space around the City of Fridley's new municipal campus; and
WHEREAS, the Authority has selected the Redeveloper to be the master
developer or redeveloper of the site described below; and
WHEREAS, the Redeveloper is proposing to develop the area identified on the
map attached as Schedule A (the "Site") and is requesting that the Authority negotiate
exclusively with the Redeveloper while the area is being studied, designed and
marketed; and
WHEREAS, the redeveloper has formed the special purpose entity above to
collaboratively undertake redevelopment of the Site, with controlling ownership being
comprised by Flaherty and Collins Properties with principal offices at One Indiana
Square, Suite 3000, Indianapolis, Indiana 46204, and Landform Development Partners
with principal offices at 105 Fifth Avenue South, Suite 513, Minneapolis, MN 55304.
WHEREAS, the Authority is willing to negotiate exclusively with the Redeveloper
provided certain conditions described below are met;
NOW, THEREFORE, in consideration of the mutual obligations of the parties
hereto, each of them does hereby covenant and agree with the other as follows:
Section 1.1 . Definitions. In addition to the words and terms elsewhere defined in
this Agreement, the following words and terms shall have the following meanings in this
Agreement unless a different meaning clearly appears from the context:
"Agreement" means this Agreement, as the same may be from time to time
modified, amended, or supplemented.
"Authority" means the Housing and Redevelopment Authority in and for the City
of Fridley, Minnesota.
"City" means the City of Fridley, Minnesota.
"Council" means the Council of the City.
"Minimum Improvements" means single and multifamily housing units and
commercial space.
"Party" means a party to this Agreement.
"Purchase Price" means the amount to be paid by the Redeveloper for the Site.
"Redeveloper" means Locke Pointe Fridley, LLC, a Minnesota Corporation.
"Redevelopment Contract" means the Contract for Private Redevelopment
described in Section 4 of this Agreement.
"Redevelopment Project" means the Redevelopment Property and the Minimum
Improvements.
"Site" means the real property described in Schedule A of this Agreement.
"State" means the State of Minnesota.
Section 2.1. Representations by the Authority. The Authority represents that it is
a public body duly organized and existing under the laws of the State and that it has the
power to enter into this Agreement and carry out its obligations hereunder.
Section 2.2. Representations by the Redeveloper. The Redeveloper represents
as follows:
(A) The Redeveloper is a Minnesota corporation (to be formed) authorized to
do business in the State of Minnesota, and has duly authorized the
execution of this Agreement and the performance of its obligations
hereunder.
(B) Neither the execution and delivery of this Agreement, the consummation
of the transactions contemplated hereby, nor the fulfillment of or
compliance with the terms and conditions of this Agreement will constitute
a breach of any obligations of the Redeveloper under the terms and
conditions of any indebtedness, agreement or instrument of whatever
nature to which Redeveloper is now a party or by which it is bound, which
breach will materially adversely affect the ability of Redeveloper to perform
its obligations under this Agreement.
Section 3.1. Redeveloper Responsibilities. The Redeveloper shall be
responsible for the following:
(A) Conduct geotechnical analysis, as necessary.
(B) Determine the adequacy of the available utilities.

(C) Review information needed for Watershed District approval and any other
governmental approvals needed by the Redeveloper for completion of the
Redevelopment Project.
(D) Prepare a preliminary site plan for the Site showing the size, nature and
location of the Minimum Improvements including architectural design of
the multi-family housing units, use of exterior materials, landscaping,
fencing, lighting and parking.
(E) Prepare a preliminary marketing analysis showing the need and a
proposed development schedule for all phases of the Minimum
Improvements.
(F) Prepare a project pro forma for the initial phase of the Minimum
Improvements.
(G) Develop a marketing plan for owner-occupied housing and potential
builders to commence construction in the fall of 2017 if possible.
Section 3.2. Authority Responsibilities. The Authority shall be responsible for
the following:
(A) Assist the Redeveloper with permit review and application for grants if
needed.
(B) Negotiate exclusively with the Redeveloper in accordance with the terms
of this Agreement.
Section 4.1. Contract for Private Redevelopment. Prior to the termination of this
Agreement, the Parties shall negotiate the terms of a Redevelopment Contract. Each
Party must find the terms acceptable in that Party's complete and unfettered discretion.
The Redevelopment Contract shall address the issues involving the development of the
Site, including the following:
A. The Purchase Price
B. Timing of the Minimum Improvements
C. Composition and quality of the Minimum Improvements
D. Timing of any public improvements
E. Redeveloper guarantees
F. Duration
G. Geotechnical and environmental issues.

Section 5.1. Termination. This Agreement shall terminate November 2, 2017,
unless both parties agree in writing to extend this Agreement.
Section 5.2. Effect. This Agreement outlines the Parties' understanding that
they intend to negotiate in good faith and that such negotiations may lead to the
execution of a definitive Redevelopment Contract. Each Party retains throughout the
course of this Agreement complete and unfettered discretion to conduct its negotiations
and perform its responsibilities in the manner it sees fit. The Parties agree that upon
termination of this Agreement they shall have no further obligation to each other except
as provided for in this Agreement and the Parties further agree to execute any
document reasonably necessary to evidence termination.
Section 6.1 . Additional Provisions:
(A) The Redeveloper shall not assign its rights under this Agreement.
(B) Each Party shall make all reasonable efforts to cooperate with the other
Party in that Party's efforts to fulfill its responsibilities under this
Agreement.
(C) Except for any willful misrepresentation or any willful or wanton
misconduct by the Authority, the City, or their agents, officers, and
employees, the Redeveloper shall hold the Authority and the City, their
agents, officers and employees harmless from any of the Redeveloper's
acts or the acts of those operating under the Redeveloper's direction
arising from Redeveloper's marketing, acquisition, and construction of the
Minimum Improvements.
(D) The Parties are not partners in the development of the Minimum
Improvements or in any activities contemplated by the Agreement.
(E) Notice, demand, or other communication from one party to the other shall
be deemed effective if sent by certified mail, postage prepaid, return
receipt requested or delivered personally to a party at its address in the
first paragraph of this Agreement, or at such other address as such party
may designate in writing to the other party.
(F) In the event of termination of this agreement, and the absence of a
Redevelopment agreement, Redeveloper shall make available to the
Authority for its unrestricted use at no cost to the Authority all non-
proprietary work product, including market analyses, soil and engineering
reports, geotechnical reports, infrastructure construction budgets,
research materials and other documentation produced specifically for the
Redevelopment Project.
IN WITNESS WHEREOF, the Authority has caused this Agreement to be duly
executed in its name and behalf, and the Redeveloper has caused this Agreement to be
duly executed in its name and behalf, both as of the date first above written.

Section 1. Recitals.
1.01 . It has been proposed that the Authority enter into a Contract for Exclusive
Negotiations (the "Contract") with Locke Pointe Fridley, LLC, a Minnesota limited liability
company (the "Redeveloper").
Section 2. Findings.
2.01. The Authority hereby finds that it has approved and adopted a
development program known as the Redevelopment Plan for its Redevelopment Project
No. 1 (the "Redevelopment Program") pursuant to Minnesota Statutes, Section 469.001
et seq., as amended and supplemented from time to time.
2.02 The Authority hereby finds that the Contract promotes the objectives set
forth in its Redevelopment Program.
Section 3. Authorization for Execution and Delivery.
3.01 . The Chairperson and the Executive Director of the Authority (the
"Officers") are hereby authorized to execute and deliver the Contract when the following
conditions are met:
Substantial conformity of the Contract to the form of Contract presented to
the Authority as of this date, with such additions and modifications as the
Officers may deem desirable or necessary as evidenced by their
execution of the Contract.

Subject: Fridley Job Fair Recap
As Staff spent time getting to know Fridley businesses, through retention and
expansion visits, we heard that labor was in short supply. The manufacturing
industries were having trouble finding good applicants. To help address this
problem, we partnered with the Anoka County Workforce Center and MN DEED to
hold the City's second annual job fair on April 18th at the Fridley Community Center.
A total of 18 Fridley businesses had hiring representatives at the Job Fair.
Additionally, the City and Municipal Liquor Store had a booth and spoke with a
number of potential candidates for positions currently open. Over the 3 hours of the
show, more than 90 job seekers came in to visit with Fridley employers. The
employers were ecstatic over the number and quality of the job seekers they were
able to meet with. Four employers were repeats from the previous year: EJ Ajax,
Voigts Busing, Metropolitan Transportation, and A-Abco Auto Parts. Some of these
employers would like to make this an annual event.
