RESOLUTION NO. 2017 - 70
RESOLUTION TO APPROVE AN AGREEMENT WITH THE
MINNESOTA DEPARTMENT OF TRANSPORTATION
TO PROVIDE FOR A DELEGATED CONTRACT PROCESS
WHEREAS
, the City of Fridley and the Minnesota Department of Transportation (MnDOT) last
entered into an agency agreement in 2011 to establish a delegated contract process to administer
transportation projects that include federal funds, and
WHEREAS
, MnDOT from time to time updates language in this otherwise ongoing delegated
contract process agreement, and
WHEREAS
, MnDOT has proposed revisions to the existing delegated contract process agreement
(MnDOT Agreement No. 99892) currently in force with the City of Fridley, and
WHEREAS
, the proposed agreement (MnDOT Agreement No. 1029949) allows the City to work
directly with MnDOT on administrative matters relating to federally funded transportation projects
and allows more expeditious and responsive contract administration when federal funding is involved
in projects,
NOW THEREFORE BE IT RESOLVED
, that pursuant to Minnesota Statutes Sec. 161.36, the
Commissioner of Transportation be appointed as Agent of the City of Fridley to accept as its agent,
federal aid funds which may be made available for eligible transportation related projects, and
BE IT FURTHER RESOLVED
, the Mayor and City Manager of the City of Fridley, Anoka
County, Minnesota, are hereby authorized and directed for and on behalf of the City to execute and
enter into an agreement with the Commissioner of Transportation prescribing the terms and
conditions of said federal aid participation as set forth and contained in “Minnesota Department of
Transportation Agency Agreement No. 1029949”, a copy of which said agreement was before the
City Council and which is made a part hereof by reference.

RECITALS
1.PursuanttoMinnesotaStatutesSection161.36,theLocalGovernmentdesiresMnDOTtoactastheLocal
DƚǝĻƩƓƒĻƓƷƭagentinacceptingfederalfundsontheLocalDƚǝĻƩƓƒĻƓƷƭbehalffortheconstruction,
improvement,orenhancementoftransportationfinancedeitherinwholeorinpartbyFederalHighway
AdministrationΛͻCI!ͼΜfederalfunds,hereinafterreferredtoastheͻtƩƚƆĻĭƷΛƭΜͼͳand
2.ThisagreementisintendedtocoverallfederalaidprojectsinitiatedbytheLocalGovernmentandthereforehas
nospecificStateProjectnumberassociatedwithit,and
2.1.TheCatalogofFederalDomesticAssistancenumberorCFDAnumberis20.205,and
2.2.Thisagreementsupersedesagreementnumberold(99892)
2.3.Thisprojectisforconstructionnotresearchanddevelopment.
2.4.MnDOTrequiresthatthetermsandconditionsofthisagencybesetforthinanagreement.
AGREEMENTTERMS
1.TermofAgreement
1.1.EffectiveDate.ThisagreementwillbeeffectiveonthedatetheMnDOTobtainsallrequiredsignatures
underMinn.Stat.§16C.05,Subd.2.Upontheeffectivedate,thisagreementwillsupersedeagreement
99892.
2.LocalDƚǝĻƩƓƒĻƓƷƭDuties
2.1.Designation.TheLocalGovernmentdesignatesMnDOTtoactasitsagentinacceptingfederalfundsinits
behalfmadeavailablefortheProject(s).Detailsontherequiredprocessesandproceduresareavailableon
theStateAidWebsite
2.2.Staffing.
2.2.1.TheLocalGovernmentwillfurnishandassignapubliclyemployedlicensedengineer,ΛͻtƩƚƆĻĭƷ
Engineer"),tobeinresponsiblechargeoftheProject(s)andtosuperviseanddirecttheworktobe
performedunderanyconstructioncontractletfortheProject(s).InthealternativewheretheLocal
Governmentelectstouseaprivateconsultantforconstructionengineeringservices,theLocal
Governmentwillprovideaqualified,fulltimepublicemployeeoftheLocalGovernment,tobein
responsiblechargeoftheProject(s).TheservicesoftheLocalGovernmenttobeperformedhereunder
maynotbeassigned,sublet,ortransferredunlesstheLocalGovernmentisnotifiedinwritingby
MnDOTthatsuchactionispermittedunder23CFR1.33and23CFR635.105andstatelaw.This
writtenconsentwillinnowayrelievetheLocalGovernmentfromitsprimaryresponsibilityfor
performanceofthework.

2.2.2.DuringtheprogressoftheworkontheProject(s),theLocalGovernmentauthorizesitsProject
Engineertorequestinwritingspecificengineeringand/ortechnicalservicesfromMnDOT,pursuantto
MinnesotaStatutesSection161.39.Suchservicesmaybecoveredbyothertechnicalservice
agreements.IfMnDOTfurnishestheservicesrequested,andifMnDOTrequestsreimbursement,then
theLocalGovernmentwillpromptlypayMnDOTtoreimbursethestatetrunkhighwayfundforthefull
costandexpenseoffurnishingsuchservices.ThecostsandexpenseswillincludethecurrentMnDOT
laboradditivesandoverheadrates,subjecttoadjustmentbasedonactualdirectcoststhathavebeen
verifiedbyaudit.ProvisionofsuchserviceswillnotbedeemedtomakeMnDOTaprincipalorco
principalwithrespecttotheProject(s).
2.3.Preletting.TheLocalGovernmentwillprepareconstructioncontractsinaccordancewithMinnesotalaw
andapplicableFederallawsandregulations.
2.3.1.TheLocalGovernmentwillsolicitbidsafterobtainingwrittennotificationfromMnDOTthattheFHWA
hasauthorizedtheProject(s).AnyProject(s)advertisedpriortoauthorization withoutpermission will
notbeeligibleforfederalreimbursement.
2.3.2.TheLocalGovernmentwillpreparetheProposalforHighwayConstructionfortheconstruction
contract,whichwillincludeallofthefederalaidprovisionssuppliedbyMnDOT.
2.3.3.TheLocalGovernmentwillprepareandpublishthebidsolicitationfortheProject(s)asrequiredby
stateandfederallaws.TheLocalGovernmentwillincludeinthesolicitationtherequiredlanguagefor
federalaidconstructioncontractsassuppliedbyMnDOT.Thesolicitationwillstatewherethe
proposals,plans,andspecificationsareavailablefortheinspectionofprospectivebidders,andwhere
theLocalGovernmentwillreceivethesealedbids.
2.3.4.TheLocalGovernmentmaynotincludeotherworkintheconstructioncontractfortheauthorized
Project(s)withoutobtainingpriornotificationfromMnDOTthatsuchworkisallowedbyFHWA.
Failuretoobtainsuchnotificationmayresultinthelossofsomeorallofthefederalfundsforthe
Project(s).Allworkincludedinafederalcontractissubjecttothesamefederalrequirementsasthe
federalproject.
2.3.5.TheLocalGovernmentwillprepareandselltheplanandproposalpackagesandprepareand
distributeanyaddenda,ifneeded.
2.3.6.TheLocalGovernmentwillreceiveandopenbids.
2.3.7.Afterthebidsareopened,theLocalGovernmentwillconsiderthebidsandwillawardthebidtothe
lowestresponsiblebidder,orrejectallbids.Iftheconstructioncontractcontainsagoalfor
DisadvantagedBusinessEnterprises,theLocalGovernmentwillnotawardthebiduntilithasreceived
certificationoftheDisadvantagedBusinessEnterpriseparticipationfromtheMnDOTOfficeofCivil
Rights.
2.3.8.TheLocalGovernmententitymustdiscloseinwritinganypotentialconflictofinteresttotheFederal
awardingagencyorpassthroughentityinaccordancewithapplicableFederalawardingagencypolicy.
2.4.ContractAdministration.
2.4.1.TheLocalGovernmentwillprepareandexecuteaconstructioncontractwiththelowestresponsible
bidder,hereinafterreferredtoastheͻ/ƚƓƷƩğĭƷƚƩͲͼinaccordancewiththespecialprovisionsandthe
latesteditionofaƓ5hƭStandardSpecificationsforConstructionandallamendmentsthereto.All
contractsbetweentheLocalGovernmentandthirdpartiesorsubcontractorsmustcontainall
applicableprovisionsofthisAgreement,includingtheapplicablefederalcontractclauses,whichare
identifiedinAppendixIIof2CFR200,UniformAdministrativeRequirements,CostPrinciplesandAudit
RequirementsforFederalAwards,andasprovidedinSection18ofthisagreement.

2.4.2.TheProject(s)willbeconstructedinaccordancewithplans,specialprovisions,andstandard
specificationsofeachProject.ThestandardspecificationswillbethelatesteditionofMnDOT
StandardSpecificationsforHighwayConstruction,andallamendmentsthereto.Theplans,special
provisions,andstandardspecificationswillbeonfileattheLocalGovernment9ƓŭźƓĻĻƩƭOffice.The
plans,specialprovisions,andspecificationsareincorporatedintothisagreementbyreferenceas
thoughfullysetforthherein.
2.4.3.TheLocalGovernmentwillfurnishthepersonnel,services,supplies,andequipmentnecessaryto
properlysupervise,inspect,anddocumenttheworkfortheProject(s).TheservicesoftheLocal
Governmenttobeperformedhereundermaynotbeassigned,sublet,ortransferredunlesstheLocal
GovernmentisnotifiedinwritingbyMnDOTthatsuchactionispermittedunder23CFR1.33and23
CFR635.105andstatelaw.ThiswrittenconsentwillinnowayrelievetheLocalGovernmentfromits
primaryresponsibilityforperformanceofthework.
2.4.4.TheLocalGovernmentwilldocumentquantitiesinaccordancewiththeguidelinessetforthinthe
ConstructionSectionoftheElectronicStateAidManualthatwereineffectatthetimetheworkwas
performed.
2.4.5.TheLocalGovernmentwilltestmaterialsinaccordancewiththeScheduleofMaterialsControlin
effectatthetimeeachProjectwaslet.TheLocalGovernmentwillnotifyMnDOTwhenworkisin
progressontheProject(s)thatrequiresobservationbytheIndependentAssuranceInspectoras
requiredbytheIndependentAssuranceSchedule.
2.4.6.TheLocalGovernmentmaymakechangesintheplansorthecharacterofthework,asmaybe
necessarytocompletetheProject(s),andmayenterintoChangeOrder(s)withtheContractor.The
LocalGovernmentwillnotbereimbursedforanycostsofanyworkperformedunderachangeorder
unlessMnDOThasnotifiedtheLocalGovernmentthatthesubjectworkiseligibleforfederalfunds
andsufficientfederalfundsareavailable.
2.4.7.TheLocalGovernmentwillrequestapprovalfromMnDOTforallcostsinexcessoftheamountof
federalfundspreviouslyapprovedfortheProject(s)priortoincurringsuchcosts.Failuretoobtain
suchapprovalmayresultinsuchcostsbeingdisallowedforreimbursement.
2.4.8.TheLocalGovernmentwillpreparereports,keeprecords,andperformworksoastomeetfederal
requirementsandtoenableMnDOTtocollectthefederalaidsoughtbytheLocalGovernment.
RequiredreportsarelistedintheMnDOTStateAidManual,DelegatedContractProcessChecklist,
availablefromaƓ5hƭauthorizedrepresentative.TheLocalGovernmentwillretainallrecordsand
reportsandallowMnDOTortheFHWAaccesstosuchrecordsandreportsforsixyears.
2.4.9.UponcompletionoftheProject(s),theProjectEngineerwilldeterminewhethertheworkwillbe
accepted.
2.5.Limitations.
2.5.1.TheLocalGovernmentwillcomplywithallapplicableFederal,State,andlocallaws,ordinances,and
regulations.
2.5.2.Nondiscrimination.ItisthepolicyoftheFederalHighwayAdministrationandtheStateofMinnesota
thatnopersonintheUnitedStateswill,onthegroundsofrace,color,ornationalorigin,beexcluded
fromparticipationin,bedeniedthebenefitsof,orbesubjectedtodiscriminationunderanyprogram
oractivityreceivingFederalfinancialassistance(42U.S.C.2000d).Throughexpansionofthemandate
fornondiscriminationinTitleVIandthroughparallellegislation,theproscribedbasesofdiscrimination
includerace,color,sex,nationalorigin,age,anddisability.Inaddition,theTitleVIprogramhasbeen
extendedtocoverallprograms,activitiesandservicesofanentityreceivingFederalfinancial

assistance,whethersuchprogramsandactivitiesareFederallyassistedornot.Evenintheabsenceof
priordiscriminatorypracticeorusage,arecipientinadministeringaprogramoractivitytowhichthis
partapplies,isexpectedtotakeaffirmativeactiontoassurethatnopersonisexcludedfrom
participationin,orisdeniedthebenefitsof,theprogramoractivityonthegroundsofrace,color,
nationalorigin,sex,age,ordisability.ItistheresponsibilityoftheLocalGovernmenttocarryoutthe
aboverequirements.
2.5.3.Utilities.TheLocalGovernmentwilltreatallpublic,privateorcooperativelyownedutilityfacilities
whichdirectlyorindirectlyservethepublicandwhichoccupyhighwayrightsofwayinconformance
with23CFR645ͻ ƷźƌźƷźĻƭͼwhichisincorporatedhereinbyreference.
2.6.Maintenance.TheLocalGovernmentassumesfullresponsibilityfortheoperationandmaintenanceofany
facilityconstructedorimprovedunderthisAgreement.
3.aƓ5hƭDuties
3.1.Acceptance.MnDOTacceptsdesignationasAgentoftheLocalGovernmentforthereceiptanddisbursement
offederalfundsandwillactinaccordanceherewith.
3.2.ProjectActivities.
3.2.1.MnDOTwillmakethenecessaryrequeststotheFHWAforauthorizationtousefederalfundsforthe
Project(s),andforreimbursementofeligiblecostspursuanttothetermsofthisagreement.
3.2.2.MnDOTwillprovidetotheLocalGovernmentcopiesoftherequiredFederalaidclausestobeincluded
inthebidsolicitationandwillprovidetherequiredFederalaidprovisionstobeincludedintheProposal
forHighwayConstruction.
3.2.3.MnDOTwillreviewandcertifytheDBEparticipationandnotifytheLocalGovernmentwhencertification
iscomplete.IfcertificationofDBEparticipation(orgoodfaitheffortstoachievesuchparticipation)
cannotbeobtained,thenLocalGovernmentmustdecidewhethertoproceedwithawardingthe
contract.Failuretoobtainsuchcertificationwillresultintheprojectbecomingineligibleforfederal
assistance,andtheLocalGovernmentmustmakeupanyshortfall.
3.2.4.MnDOTwillprovidetherequiredlaborpostings.
3.3.Authority.MnDOTmaywithholdfederalfunds,whereMnDOTortheFHWAdeterminesthattheProject(s)
wasnotcompletedincompliancewithfederalrequirements.
3.4.Inspection.MnDOT,theFHWA,ordulyauthorizedrepresentativesofthestateandfederalgovernmentwill
havetherighttoaudit,evaluateandmonitortheworkperformedunderthisagreement.TheLocal
Governmentwillmakeavailableallbooks,records,anddocumentspertainingtotheworkhereunder,fora
minimumofsixyearsfollowingtheclosingoftheconstructioncontract.
4.Time
4.1.TheLocalGovernmentmustcomplywithallthetimerequirementsdescribedinthisagreement.Inthe
performanceofthisagreement,timeisoftheessence
offederalauthorizationandendingonthe
4.2.Theperiodofperformanceisdefinedasbeginningonthedate
datedefinedinthefederalfinancialsystemorfederalagreementΛͻĻƓķķğƷĻͼΜ͵Noworkcompleted after
the enddate willbeeligibleforfederalfunding.LocalGovernmentmustsubmitallcontractcloseout
paperworktoMnDOT,twentyfourmonthspriortothe enddate.
5.Payment
5.1.Cost.TheentirecostoftheProject(s)istobepaidfromfederalfundsmadeavailablebytheFHWAandby
otherfundsprovidedbytheLocalGovernment.TheLocalGovernmentwillpayanypartofthecostor

expenseoftheProject(s)thatisnotpaidbyfederalfunds.MnDOTwillreceivethefederalfundstobepaid
bytheFHWAfortheProject(s),pursuanttoMinnesotaStatutes§161.36,Subdivision2.MnDOTwill
reimbursetheLocalGovernment,fromsaidfederalfundsmadeavailabletoeachProject,foreachpartial
paymentrequest,subjecttotheavailabilityandlimitsofthosefunds.
5.2.IndirectCostRateProposal/CostAllocationPlan.IftheLocalGovernmentseeksreimbursementforindirect
costsandhassubmittedtoMnDOTanindirectcostrateproposaloracostallocationplan,therateproposed
willbeusedonaprovisionalbasis.Atanytimeduringtheperiodofperformanceorthefinalauditofa
project,MnDOTmayauditandadjusttheindirectcostrateaccordingtothecostprinciplesin2CFRPart
200.MnDOTmayadjustassociatedreimbursementsaccordingly.
5.3.Reimbursement.TheLocalGovernmentwillpreparepartialestimatesinaccordancewiththetermsofthe
constructioncontractfortheProject(s).TheProjectEngineerwillcertifyeachpartialestimate.Following
certificationofthepartialestimate,theLocalGovernmentwillmakepartialpaymentstotheContractorin
accordancewiththetermsoftheconstructioncontractfortheProject(s).
5.3.1.Followingcertificationofthepartialestimate,theLocalGovernmentmayrequestreimbursementfor
costseligibleforfederalfunds.TheLocalDƚǝĻƩƓƒĻƓƷƭrequestwillbemadetoMnDOTandwill
includeacopyofthecertifiedpartialestimate.
5.3.2.UponcompletionoftheProject(s),theLocalGovernmentwillprepareafinalestimateinaccordance
withthetermsoftheconstructioncontractfortheProject(s).TheProjectEngineerwillcertifythe
finalestimate.Followingcertificationofthefinalestimate,theLocalGovernmentwillmakethefinal
paymenttotheContractorinaccordancewiththetermsoftheconstructioncontractforthe
Project(s).
5.3.3.Followingcertificationofthefinalestimate,theLocalGovernmentmayrequestreimbursementfor
costseligibleforfederalfunds.TheLocalDƚǝĻƩƓƒĻƓƷƭrequestwillbemadetoMnDOTandwill
includeacopyofthecertifiedfinalestimatealongwiththerequiredrecords.
5.3.4.UponcompletionoftheProject(s),MnDOTwillperformafinalinspectionandverifythefederaland
stateeligibilityofallthepaymentrequests.IftheProjectisfoundtohavebeencompletedin
accordancewiththeplansandspecifications,MnDOTwillpromptlyreleaseanyremainingfederal
fundsduetheLocalGovernmentfortheProject(s).IfMnDOTfindsthattheLocalGovernmenthas
beenoverpaid,theLocalGovernmentmustpromptlyreturnanyexcessfunds
5.3.5.IntheeventMnDOTdoesnotobtainfundingfromtheMinnesotaLegislatureorotherfundingsource,
orfundingcannotbecontinuedatasufficientleveltoallowfortheprocessingofthefederalaid
reimbursementrequests,theLocalGovernmentmaycontinuetheworkwithlocalfundsonly,until
suchtimeasMnDOTisabletoprocessthefederalaidreimbursementrequests.
5.4.MatchingFunds.AnycostsharingormatchingfundsrequiredoftheLocalGovernmentinthisagreement
mustcomplywith2CFR200.306.
5.5.FederalFunds.PaymentsunderthisAgreementwillbemadefromfederalfunds.TheLocalGovernmentis
responsibleforcompliancewithallfederalrequirementsimposedonthesefundsandacceptsfullfinancial
responsibilityforanyrequirementsincluding,butnotlimitedto,2CFRPart200imposedbytheLocal
DƚǝĻƩƓƒĻƓƷƭfailuretocomplywithfederalrequirements.If,foranyreason,thefederalgovernmentfails
topaypartofthecostorexpenseincurredbytheLocalGovernment,orintheeventthetotalamountof
federalfundsisnotavailable,theLocalGovernmentwillberesponsibleforanyandallcostsorexpenses
incurredunderthisAgreement.TheLocalGovernmentfurtheragreestopayanyandalllawfulclaimsarising
outoforincidentaltotheperformanceoftheworkcoveredbythisAgreementintheeventthefederal
governmentdoesnotpaythesame.

5.6.Closeout.TheLocalGovernmentmustliquidateallobligationsincurredunderthisAgreementforeach
projectandsubmitallfinancial,performance,andotherreportsasrequiredbythetermsofthisAgreement
andtheFederalaward,twentyfourmonthspriortothe enddate oftheperiodofperformanceforeach
project.MnDOTwilldetermine,atitssolediscretion,whetheracloseoutauditisrequiredpriortofinal
paymentapproval.Ifacloseoutauditisrequired,finalpaymentwillbehelduntiltheaudithasbeen
completed.Monitoringofanycapitalassetsacquiredwithfundswillcontinuefollowingprojectcloseout.
6.ConditionsofPayment.AllservicesprovidedbyLocalGovernmentunderthisagreementmustbeperformedto
aƓ5hƭsatisfaction,asdeterminedatthesolediscretionofaƓ5hƭAuthorizedRepresentativeandin
accordancewithallapplicablefederal,state,andlocallaws,ordinances,rules,andregulations.TheLocal
GovernmentwillnotreceivepaymentforworkfoundbyMnDOTtobeunsatisfactoryorperformedinviolationof
federal,state,orlocallaw.

8.AssignmentAmendments,Waiver,andAgreementComplete
8.1.Assignment.TheLocalGovernmentmayneitherassignnortransferanyrightsorobligationsunderthis
agreementwithoutthepriorwrittenconsentofMnDOTandafullyexecutedAssignmentAgreement,
executedandapprovedbythesamepartieswhoexecutedandapprovedthisagreement,ortheirsuccessors
inoffice.
8.2.Amendments.Anyamendmentstothisagreementmustbeinwritingandwillnotbeeffectiveuntilithas
beenexecutedandapprovedbythesamepartieswhoexecutedandapprovedtheoriginalagreement,or
theirsuccessorsinoffice.
8.3.Waiver.IfMnDOTfailstoenforceanyprovisionofthisagreement,thatfailuredoesnotwaivetheprovision
oraƓ5hƭrighttosubsequentlyenforceit.
8.4.AgreementComplete.ThisagreementcontainsallnegotiationsandagreementsbetweenMnDOTandthe
LocalGovernment.Nootherunderstandingregardingthisagreement,whetherwrittenororal,maybeused
tobindeitherparty.

8.5.Severability.IfanyprovisionofthisAgreementortheapplicationthereofisfoundinvalidorunenforceable
toanyextent,theremainderoftheAgreement,includingallmaterialprovisionsandtheapplicationofsuch

9.LiabilityandClaims
9.1.TortLiability.Eachpartyisresponsibleforitsownactsandomissionsandtheresultsthereoftotheextent
authorizedbylawandwillnotberesponsiblefortheactsandomissionsofanyothersandtheresults
thereof.TheMinnesotaTortClaimsAct,MinnesotaStatutesSection3.736,governsMnDOTliability.
9.2.Claims.TheLocalGovernmentacknowledgesthatMnDOTisactingonlyastheLocalDƚǝĻƩƓƒĻƓƷƭagent
foracceptanceanddisbursementoffederalfunds,andnotasaprincipalorcoprincipalwithrespecttothe
Project.TheLocalGovernmentwillpayanyandalllawfulclaimsarisingoutoforincidentaltotheProject
including,withoutlimitation,claimsrelatedtocontractorselection(includingthesolicitation,evaluation,
andacceptanceorrejectionofbidsorproposals),actsoromissionsinperformingtheProjectwork,andany
ultravires acts.TheLocalGovernmentwillindemnify,defend(totheextentpermittedbytheMinnesota
AttorneyGeneral),andholdMnDOTharmlessfromanyclaimsorcostsarisingoutoforincidentaltothe
Project(s),includingreasonableattorneyfeesincurredbyMnDOT.TheLocalDƚǝĻƩƓƒĻƓƷƭindemnification
obligationextendstoanyactionsrelatedtothecertificationofDBEparticipation,evenifsuchactionsare
recommendedbyMnDOT.
10.Audits
10.1.UnderMinn.Stat.§16C.05,Subd.5,theLocalDƚǝĻƩƓƒĻƓƷƭbooks,records,documents,andaccounting
proceduresandpracticesoftheLocalGovernment,orotherpartyrelevanttothisagreementortransaction,
aresubjecttoexaminationbyMnDOTand/ortheStateAuditororLegislativeAuditor,asappropriate,fora
minimumofsixyearsfromtheendofthisagreement,receiptandapprovalofallfinalreports,orthe
requiredperiodoftimetosatisfyallstateandprogramretentionrequirements,whicheverislater.The
LocalGovernmentwilltaketimelyandappropriateactiononalldeficienciesidentifiedbyanaudit.
10.2.Allrequestsforreimbursementaresubjecttoaudit,ataƓ5hƭdiscretion.Thecostprinciplesoutlinedin2
CFR200.400.475willbeusedtodeterminewhethercostsareeligibleforreimbursementunderthis
agreement.
10.3.IfLocalGovernmentexpends$750,000ormoreinFederalFundsduringtheLocalDƚǝĻƩƓƒĻƓƷƭfiscalyear,
theLocalGovernmentmusthaveasingleauditorprogramspecificauditconductedinaccordancewith2
CFRPart200.
11.GovernmentDataPractices.TheLocalGovernmentandMnDOTmustcomplywiththeMinnesotaGovernment
DataPracticesAct,Minn.Stat.Ch.13,asitappliestoalldataprovidedbyMnDOTunderthisagreement,andasit
appliestoalldatacreated,collected,received,stored,used,maintained,ordisseminatedbytheLocal
Governmentunderthisagreement.ThecivilremediesofMinn.Stat.§13.08applytothereleaseofthedata
referredtointhisclausebyeithertheLocalGovernmentorMnDOT.
12.WorkersCompensation.TheLocalGovernmentcertifiesthatitisincompliancewithMinn.Stat.§176.181,Subd.
2,pertainingtoǞƚƩƉĻƩƭcompensationinsurancecoverage.TheLocalDƚǝĻƩƓƒĻƓƷƭemployeesandagentswill
notbeconsideredMnDOTemployees.AnyclaimsthatmayariseundertheMinnesotaƚƩƉĻƩƭCompensation
Actonbehalfoftheseemployeesandanyclaimsmadebyanythirdpartyasaconsequenceofanyactoromission
onthepartoftheseemployeesareinnowayaƓ5hƭobligationorresponsibility.
13.GoverningLaw,Jurisdiction,andVenue.Minnesotalaw,withoutregardtoitschoiceoflawprovisions,governs
thisagreement.Venueforalllegalproceedingsoutofthisagreement,oritsbreach,mustbeintheappropriate
stateorfederalcourtwithcompetentjurisdictioninRamseyCounty,Minnesota.
14.Termination;Suspension

14.1.TerminationbyMnDOT.MnDOTmayterminatethisagreementwithorwithoutcause,upon30days
writtennoticetotheLocalGovernment.Upontermination,theLocalGovernmentwillbeentitledto
payment,determinedonaproratabasis,forservicessatisfactorilyperformed.
14.2.TerminationforCause.MnDOTmayimmediatelyterminatethisagreementifMnDOTfindsthattherehas
beenafailuretocomplywiththeprovisionsofthisagreement,thatreasonableprogresshasnotbeenmade,
thatfraudulentorwastefulactivityhasoccurred,thattheLocalGovernmenthasbeenconvictedofa
criminaloffenserelatingtoastateagreement,orthatthepurposesforwhichthefundsweregrantedhave
notbeenorwillnotbefulfilled.MnDOTmaytakeactiontoprotecttheinterestsofMnDOTofMinnesota,
includingtherefusaltodisburseadditionalfundsandrequiringthereturnofallorpartofthefundsalready
disbursed.
14.3.TerminationforInsufficientFunding.MnDOTmayimmediatelyterminatethisagreementif:
14.3.1.ItdoesnotobtainfundingfromtheMinnesotaLegislature;or
14.3.2.Iffundingcannotbecontinuedatalevelsufficienttoallowforthepaymentoftheservicescovered
here.TerminationmustbebywrittenorfaxnoticetotheLocalGovernment.MnDOTisnot
obligatedtopayforanyservicesthatareprovidedafternoticeandeffectivedateoftermination.
However,theLocalGovernmentwillbeentitledtopayment,determinedonaproratabasis,for
servicessatisfactorilyperformedtotheextentthatfundsareavailable.MnDOTwillnotbeassessed
anypenaltyiftheagreementisterminatedbecauseofthedecisionoftheMinnesotaLegislature,or
otherfundingsource,nottoappropriatefunds.MnDOTwillprovidetheLocalGovernmentnoticeof
thelackoffundingwithinareasonabletimeofaƓ5hƭreceivingthatnotice.
14.4.Suspension.MnDOTmayimmediatelysuspendthisagreementintheeventofatotalorpartialgovernment
shutdownduetothefailuretohaveanapprovedbudgetbythelegaldeadline.Workperformedbythe
LocalGovernmentduringaperiodofsuspensionwillbedeemedunauthorizedandundertakenatriskof
nonpayment.
15.DataDisclosure.UnderMinn.Stat.§270C.65,Subd.3,andotherapplicablelaw,theLocalGovernmentconsents
todisclosureofitssocialsecuritynumber,federalemployertaxidentificationnumber,and/orMinnesotatax
identificationnumber,alreadyprovidedtoMnDOT,tofederalandstatetaxagenciesandstatepersonnelinvolved
inthepaymentofstateobligations.Theseidentificationnumbersmaybeusedintheenforcementoffederaland
statetaxlawswhichcouldresultinactionrequiringtheLocalGovernmenttofilestatetaxreturnsandpay
delinquentstatetaxliabilities,ifany.
16.FundUseProhibited.TheLocalGovernmentwillnotutilizeanyfundsreceivedpursuanttothisAgreementto
compensate,eitherdirectlyorindirectly,anycontractor,corporation,partnership,orbusiness,however
organized,whichisdisqualifiedordebarredfromenteringintoorreceivingaStatecontract.Thisrestriction
appliesregardlessofwhetherthedisqualifiedordebarredpartyactsinthecapacityofageneralcontractor,a
subcontractor,orasanequipmentormaterialsupplier.ThisrestrictiondoesnotpreventtheLocalGovernment
fromutilizingthesefundstopayanypartywhomightbedisqualifiedordebarredaftertheLocalDƚǝĻƩƓƒĻƓƷƭ
contractawardonthisProject.
17.DiscriminationProhibitedbyMinnesotaStatutes§181.59.TheLocalGovernmentwillcomplywiththeprovisions
ofMinnesotaStatutes§181.59whichrequiresthateverycontractfororonbehalfoftheStateofMinnesota,or
anycounty,city,town,township,school,schooldistrictoranyotherdistrictinthestate,formaterials,suppliesor
constructionwillcontainprovisionsbywhichContractoragrees:1)That,inthehiringofcommonorskilledlabor
fortheperformanceofanyworkunderanycontract,oranysubcontract,noContractor,materialsupplieror
vendor,will,byreasonofrace,creedorcolor,discriminateagainstthepersonorpersonswhoarecitizensofthe
UnitedStatesorresidentalienswhoarequalifiedandavailabletoperformtheworktowhichtheemployment
relates;2)ThatnoContractor,materialsupplier,orvendor,will,inanymanner,discriminateagainst,or
