CALL TO ORDER: Chairperson Commers called the September 5, 1985 Special
Housing & Redevelopment Authority meeting to order at 7:30 p.m.

1. FMC REOUEST FOR PROPOSAL
The Housing & Redevelopment Authority reviewed the LaSalle Partners, Inc.
proposal request and decided to support the 71st Avenue site, offering up to
25 acres and an incentive of $3,500,000 and to provide an incentive for ten
acres of the 100 Twin Drive-in site, with an offer of $3,000,000. The
Housing & Redevelopment Authority would insure the property would be made
available to FMC.
The Housing & Redevelopment Authority suggested having the Housing &
Redevelopment Authority Chairman, the Mayor, and members of the City staff
make an offer to FMC to attend the meeting to make a formal presentation to
the FMC Management Board in Chicago.
2. RESCHEDULING OF PUBLIC HEARING FOR OCTOBER 10, 1985 REGARDING THE
PURCHASE AND RESALE OF LOT 4 AND LOT 7 (except the southerly 30 feet
thereof), BLACK 4. UNIVERSITY INDUSTRIAL PARK. LOCATED AT 7980 AND 7 940
RANCHER'S ROAD N.E.
Motion by Mr. Prieditis, seconded by Ms. Svendsen, to reschedule the public
hearing for October 10, 1985 regarding the purchase and resale of Lot 4 and
Lot 7 (Except the southerly 30 feet thereof) , Block 4, University Industrial
Park, located at 7980 and 7940 Ranchers Road N.E.
3. RESOLUTION NO. 12-1985-A AUTHORIZING THE RELOCATION OF NSP POWER LINES
UNDERGROUND ON MISSISSIPPI STREET WEST OF UNIVERSITY AVENUE
The Housing & Redevelopment Authority suggested the City obtain estimates to
provide underground electric service to those buildings within the Rice Creek
Plaza Complex.
Motion by Mr. Prieditis, seconded by Mr. Prairie, to amend the resolution
changing the amount from $95,000 to $85,000 and adopt Resolution No. 12-1985
as amended.

4. CONSIDERATION OF STORER CABLE COMMUNICATIONS REOUEST FOR REIMBURSEMENT
FOR UNDER CABLE LINES
The Housing & Redevelopment Authority discussed Storer Cable's request for
reimbursement for underground cable lines.
Motion by Mr. Prieditis, seconded by Ms. Svendsen to deny Storer Cable's
request for reimbursement. Ms. Svensen suggested that Staff notify the Cable
Commission of their decision.
5. REVIEW OF UNIVERSITY AVENUE CORRIDOR STUDY PROPOSALS
The Housing & Redevelopment Authority will discuss this item at their next
meeting.
6. UPDATE OF STATUS FOR CENTER CITY DEVELOPMENT
The Housing & Redevelopment Authority discussed the Clinic expansion and
surrounding Center City area parking needs and supported the concept to place
a two level ramp on the west of the clinic and a three to three and a half
level ramp on the east of the clinic.

CALL TO ORDER:
Chairperson Commers called the September 30, 1985 Special Housing &
Redevelopment Authority meeting to order at 7:47 p.m.
ROLL CALL:

1. DEVELOPMENT IN THE CENTER CITY AREA
A. Fridley Plaza Clinic Expansion and Ramp:
The Housing & Redevelopment Authority reviewed the expansion plans for the
Fridley Plaza Clinic. Also the Housing & Redevelopment Authority
discussed the clinic expansion and surrounding Center City area parking
needs and there was consensus of opinion that the level of activity in the
area is much higher than originally anticipated so there seems to be a
need for a public ramp to meet the growing need. The Housing &
Redevelopment Authority supported the proposal of the Clinic to build a
two level ramp west of their expansion and to build a three to three and a
half level public ramp on the east of the existing Clinic building.
B. Office Building at Corner of 63rd and University Service Drive:
The Housing & Redevelopment Authority supported the request if delayed
payment includes interest or contribution to ramp development.
2. UPDATE ON INTERSECTION OF CENTRAL AND T.H. 65 AND 100 TWIN SITE
Motion by Duane Prairie, seconded by Elmars Prieditis to approve the offer to
purchase the home on Old Central for the higher of two appraisals as it was
necessary for the road improvements.
Motion by Elmars Prieditis, seconded by Duane Prairie to send a letter to FMC
withdrawing the City's offer for a FMC Technology site on 73rd Avenue and the
100 Twin Drive-In.
3. BOND ISSUE
Received explanation of bonding procedures for both fixed and variable rates
for general obligation and revenue bonds from Miller and Schroeder.

4. UNIVERSITY AVENUE CORRIDOR STUDY
The Housing & Redevelopment Authority requested Staff to inform the
businessmen of results of proposals and to schedule a meeting next year to
discuss the proposal. They also directed staff to inform the consultants
their action is deferred at this time.
5. FUSING PLAN
The Housing Plan prepared by the City was received by the Housing &
Redevelopment Authority.

STREET
The members shared concern about construction on the pond parcel as not
consistent with the Housing & Redevelopment agreement. The Housing &
Redevelopment Authority agreed to support any decisions the City Council
makes on these properties.
7. HRA BROCHURE
The Housing & Redevelopment Authority Brochure was received by the Housing &
Redevelopment Authority.

RESOLUTION NO.
A RESOLUTION MODIFYING THE TAX INCREMENT
FINANCING PLAN FOR TAX INCREMENT FINANCING
DISTRICT NO. 3 (NORTH AREA) WITHIN REDEVELOP-
MENT PROJECT NO. 1 TO INCLUDE INFORMATION
ABOUT INCREASED PROJECT ACTIVITIES AND
APPROVING AND AUTHORIZING THE EXECUTION OF A
CONTRACT FOR PRIVATE DEVELOPMENT WITH GERALD
W. PASCHKE
BE IT RESOLVED by the Board of Commissioners ( the
"Board" ) of the Housing and Redevelopment Authority in and
for the City of Fridley, Minnesota ( the "Authority" ) , as
follows :
Section 1 . Recitals . •
1 . 01 The Authority has all the powers of a housing and
redevelopment authority under the Municipal Housing and
Redevelopment Act, Minnesota Statutes, Sections 462 . 411 to
461 . 716 , inclusive, as amended ( the "Act" ) .
1 . 02 . In furtherance of the objectives of the Act , the
Authority has undertaken a program to acquire , or otherwise
promote development of , open or undeveloped land and in this
connection is engaged in carrying out the redevelopment
project known as the Authority ' s Redevelopment Project No. 1
( the "Redevelopment Project" ) in an area ( the "Project
Area" ) located in the City.
1 . 03 . There has been prepared and approved by the
Authority and the City Council of the City, pursuant to the
Act, a Modified Redevelopment Plan for the Redevelopment
Project ( the "Redevelopment Plan" ) and the Authority has
duly established its Tax Increment Financing District No. 3
( the "Tax Increment District" ) within the Project Area .
1 . 04 . The acquisition and the subsequent sale or lease
of the potential development property within the Project
Area to private developers for commercial development are
stated objectives of the Redevelopment Plan.

1 . 05 . In order to achieve the objectives of the Rede-
velopment Plan and particularly to make the land in the
Project Area available for development by private enterprise
in conformance with the Redevelopment Plan, the Authority
has determined to provide substantial aid and assistance in
connection with the Redevelopment Plan through the financing
of certain of the public costs of development in the Project
Area.
1 . 06 . Gerald W. Paschke has presented the Authority
with a proposal for the construction of certain improvements
within the Project Area, as detailed in the proposed Con-
tract for Private Development between the Authority and
Gerald W. Paschke ( the "Development Contract" ) attached to
and make a part hereof as Exhibit B, stating the terms and
conditions of such development and the Authority ' s respon-
sibilities respecting the assistance thereof .
1. 07 . In compliance with Minnesota Statutes , Section
462 . 525, Subdivision 2, following not more than 30 and not
less than 10 days ' prior published notice thereof, on August
8, 1985, the Board of the Authority held a public hearing on
the purchase and reconveyance of property contemplated by
the Development Contract.
1 . 08. Pursuant to the terms of the Development Con-
tract , it has been further proposed that the Authority
acquire and reconvey Lot 4 and Lot 7 (except the southerly
30 feet thereof) , Block 4 , University Industrial Park ( the
"Development Property" ) , as contemplated by Subsection 1 . 8
of the Redevelopment Plan and by Subsection 4 . 4 of the Tax
Increment Plan.
1 . 09 . It has been further proposed that the Authority
modify the Tax Increment Financing Plan for the Tax Incre-
ment District ( the "Tax Increment Plan" ) pursuant to and in
accordance with Minnesota Statutes , Section 273 . 71 to
273 . 86 , inclusive, as amended, to include information about
increased project activities reasonably anticipated to occur
within the Project Area as a result of the execution and
performance of the Development Contract, as required by
Minnesota Statutes , Section 273 . 74 , Subd. 1 .
1. 10 . The Tax Increment Plan shall be amended by adding
to Subsection 4 . 15 thereof the provisions set forth in Ex-
hibit A which is attached to and made a part of this resolu-
tion.

Section 2 . Findings for the Modification of Tax Incre-
ment Financing Plan for Tax Increment Financing District No.
3.
2 . 01 The Authority hereby finds, determines and de-
clares that the modification by increased project activity
of the Tax Increment District is intended and, in the judg-
ment of the Authority, its effect will be, to further pro-
vide an impetus for commercial development, increase employ-
ment and otherwise promote certain public purposes and
accomplish certain objectives as specified in the Redevelop-
ment Plan.
Section 3 . Adoption of the Modified Redevelopment Plan.
3 . 01 . The modification to the Tax Increment Plan pre-
sented to the Authority on this date, as set forth in the
attached Exhibit A, is hereby approved and adopted and shall
be placed on file in the offices of the Authority.
Section 4 . Approval of Development Contract .
4 . 01 . The Board hereby approves the Development Con-
tract substantially in the form attached hereto as Exhibit B
and hereby authorizes the Chairman of the Board and Director
of the Authority to execute the same on behalf of the
Authority, with such additions and modifications as those
officers may deem necessary.
4 . 02 . Upon execution and delivery of the Development
Contract , the officers and employees of the Authority are
hereby authorized and directed to take or cause to be taken
such actions as may be necessary on behalf of the Authority
to implement said Agreement .
The motion for the adoption of the foregoing resolution
was duly seconded by Commissioner , and upon
vote being taken thereon, the following voted in favor
thereof :
and the following voted against the same:
Whereupon said resolution was declared duly passed and
adopted this 8th day of August , 1985 .

EXHIBIT A
A modification shall be made to the Tax Increment
Financing Plan for Tax Increment Financing District No. 3
within Redevelopment Project No. 1 by adding the following
provisions to Subsection 4 . 15 thereof:
"On August 8, 1985 , the following modifications were
made to Tax Increment Financing District No. 3 and the tax
increment financing plan therefor by resolution only (no
hearing required) :
1. The Board of Commissioners of the Authority by
resolution authorized the acquisition and
reconveyance of Lot 4 and Lot 7 (except the
southerly 30 feet thereof) , Block 4 , Univer-
sity Industrial Park , as contemplated by Sub-
section 1 . 8 of the Modified Redevelopment
Plan.
2 . The Authority and Gerald W. Paschke propose to
enter into a certain Contract for Private
Development stating:
a . the names of the parties to the contract,
being the Authority and Gerald W.
Paschke;
b. the activity governed by the contract ,
being the construction of stated Minimum
Improvements on the abovementioned prop-
erty;
c. the cost stated in the contract , being
not more than $27 , 000 to the Authority
and not less than $671, 300 to Mr .
Paschke;
d. the expected date of completion of said
activities , being not later than 18
months after execution of said contract ;
e. the specific development reasonably ex-
pected to occur within the Project Area
as a result of said contract, being the
construction of the Minimum Improvements ;
and
f . the dates when the anticipated develop-
ment is likely to begin, being within 120
days of the execution of said contract .

approved by the Authority by resolution and is
on file in the office of the Authority. "

CONTRACT FOR PRIVATE DEVELOPMENT
THIS AGREEMENT is by and between the Housing and Re-
development Authority in and for the City of Fridley, Minne-
sota, and Gerald W. Paschke, and provides as follows:
ARTICLE I
Definitions
Section 1 . 1 . Definitions . As used in this Agreement ,
the following terms have the following respective meanings :
"Agreement" means this Contract for Private Development .
"Authority" means the Housing and Redevelopment Author-
ity in and for the City of Fridley, Minnesota .
"Building Inspector" means the building inspector of the
City.
"Certificate of Completion" means the certificate (or
certificates, if issued separately for the Minimum Improve-
ments to be constructed on Lot 4 and Lot 7 , respectively) ,
in the form attached as Exhibit B hereto, to be provided by
the Authority to the Company pursuant to this Agreement ,
upon satisfactory completion of the Minimum Improvements .
"City" means the City of Fridley, Minnesota.
"Company" means Gerald W. Paschke or his successors or
assigns under this Agreement .
"Construction Plans" means the plans , specifications ,
drawings and related documents on all construction work to
be performed by the Company on the Development Property,
including all on-site improvements to be performed, in-
stalled or constructed upon the Development Property pur-
suant to this Agreement . Such plans shall , at a minimum,
include, for each building or other structure to be con-
structed on the Development Property, at least the follow-
ing: ( i ) site plan; ( ii ) foundation plan; ( iii ) basement
plans ; ( iv) floor plan for each floor ; (v) cross sections of
each ( length and width) ; ( vi ) elevations (all sides ) ; and
(vii ) landscape plan, and shall include as well adequate
plans , drawings and specifications relating to all drive-
ways, walks , parking, and other improvements to be con-
structed upon the Development Property by the Company. The
site plan submitted by the Company to the Building Inspector
for the City, if approved by the Building Inspector and
acceptable to the Authority, may serve as the Construction
Plans .

"Development Property" means the . real property described
in Exhibit A of this Agreement .
"Event of Default" means an event of default defined in
Section 6 . 1 of this Agreement .
"Lot 4" and "Lot 7" mean Lot 4 and Lot 7 (except the
southerly 30 feet thereof) of the Development Property,
respectively.
"Minimum Improvements" means the approximately 14 , 000
square foot building to be constructed on Lot 4 , the
approximately 14 , 000 square foot building to be constructed
on Lot 7 , and all other improvements, including driveways ,
walks , and parking and fixtures and equipment to be con-
structed by the Company upon the Development Property pursu-
ant to this Agreement , to be constructed and used by the
Company as commercial facilities , as such improvements are
described and detailed in the Construction Plans .
"Party" means either the Company or the Authority.
"Parties" means the Company and the Authority.
"Redevelopment Plan" means the redevelopment plan
adopted by the Authority for its Redevelopment Project
No. 1 , as amended.
"State" means the State of Minnesota.
"Unavoidable Delays" means delays , outside the control
.of the Party claiming its occurrence, which are the direct
result of strikes , other labor troubles , unusually severe or
prolonged bad weather , Acts of God, fire or other casualty
to the Minimum Improvements, litigation commenced by third
parties which, by injunction or other similar judicial ac-
tion, directly results in delays , or acts of any federal ,
state or local governmental unit (other than the Authority)
which directly result in delays .

ARTICLE II
Representations and Warranties
Section 2. 1 . Representations and Warranties by the
Authority. The Authority represents and warrants that it is
authorized to enter into and perform its obligations under
this Agreement ; however , no part of this Agreement shall be
construed as a representation of the Authority as to the
condition of the Development Property or as to its suit-
ability for the Company ' s purposes and needs .
Section 2. 2 . Representations and Warranties by the
Company. The Company represents and warrants that :
(a) The Company is an individual , is not in viola-
tion of any provisions of the laws of the State and is
authorized to enter into and perform its obligations
under this Agreement .
(b) In the event the Development Property is con-
veyed to the Company by the Authority, then the Company
will construct, operate and maintain the Minimum Im-
provements upon the Development Property in accordance
with this Agreement and all local , state and federal
laws and regulations ( including without limitation en-
vironmental , zoning, building code and public health
laws and regulations ) .
(c) The Minimum Improvements to be constructed on
Lot 4 are expected to cost not less than $335 , 650 ,, and
the Minimum Improvements to be constructed on Lot 7 are
expected to cost not less than $335, 650 .
(d) The Company has received no notice or communi-
cation from any local, state or federal official or body
that the activities of the Company respecting the Devel-
opment Property or the construction of the Minimum Im-
provements thereon may be or will be in violation of any
law or regulation, except as may have been previously
disclosed by the Company to the Authority.
( e ) The Company will use its best efforts to ob-
tain, in a timely manner , all required permits , licenses
and approvals , and to meet, in a timely manner , all re-
quirements of all applicable local , state and federal
laws and regulations which must be obtained or met be-
fore the Minimum improvements may be lawfully con-
structed.
( f) The execution and delivery of this Agreement ,
the consummation of the transactions contemplated hereby

and the fulfillment of or compliance with the terms and
conditions of this Agreement are not prevented or
limited by and will not conflict with or result in a
breach of any provision or requirement applicable to the
Company, or any evidences of indebtedness , agreement or
instrument of whatever nature to which the Company is
now a party or by which it is bound.

ARTICLE III
Land Transactions ; Undertakings of the Authority
Section 3 . 1 . Transfer of the Development Property by
the Authority.
(a) Purchase of Development Property. Subject to
the provisions of paragraph ( b ) of this Section 3 . 1,
within 60 days of the execution of this Agreement , the
Company, at its sole expense, shall cause the Develop-
ment Property to be conveyed to the Authority.
(b) Conditions Precedent . The Authority ' s obliga-
tion to accept conveyance of the Development Property
shall be contingent on the satisfaction by the Company
of the following conditions precedent :
( i ) The Company shall be in material com-
pliance with all the terms and provisions of this
Agreement ;
( ii ) The Company shall have submitted Con-
struction Plans , which shall have been approved by
the Authority, pursuant to Section 4 . 2 of this
Agreement .

Section 3 . 2 . Conveyance of the Development Property;
Costs .
(a ) Conveyance . The Authority shall convey to the
Company by quit claim deed all interest received by the
Authority in the Development Property pursuant to the
transfer thereof described in Section 3 . 1 . In connec-
tion with the transactions contemplated by this Agree-
ment , the Authority assumes no responsibilities respect-
ing the title to the Development Property and the
Authority shall not be liable to the Company for any
defects therein, provided, however , that the Authority
agrees not to cause whatever interests it may receive in
the Development Property pursuant to the transfer
thereof referenced in Section 3 . 1 hereof to become en-
cumbered prior to the conveyance of the Development
Property to the Company under this subsection.
(b) Conveyance Set Aside . At the time of the
conveyance referenced in Section 3 . 2 (a) hereof , the
Authority shall set aside $27 , 000 ( the "Reserved
Funds" ) , which funds shall remain funds of the Author-
ity, subject to this Agreement . If the Authority issues
the Certificate of Completion for the Minimum Improve-
ments to be constructed on Lot 4 , $13 , 500 of the Re-

served Funds shall thereupon be paid to the Company, and
if the Authority issues the Certificate of Completion
for the Minimum Improvements to be constructed on Lot 7 ,
$13 , 500 of the Reserved Funds shall thereupon be paid to
the Company, and such payments shall then constitute a
write down of the cost of Lot 4 and Lot 7 , respec-
tively. If the Certificate of Completion for Lot 4 or
for Lot 7 is not issued within 18 months of the date
hereof , the Reserved Funds (or the portion thereof not
theretofore paid to the Company pursuant to this Agree-
ment ) shall no longer be subject to any provision of
this Agreement, and the Authority may thereupon use the
Reserved Funds for any other of its lawful uses . Until
the issuance of the Certificate of Completion or until
the expiration of 18 months following the date of this
Agreement , whichever shall occur first, the Authority
shall make no application, pledge or other use of the
Reserved Funds , except as provided in this Agreement .
(c) Costs . Unless otherwise mutually agreed by
the Authority and the Company, the execution and deliv-
ery of all deeds shall be made at the principal office
of the Authority. All deeds shall be in recordable form
and shall be promptly recorded by the Company. The
Company shall pay all costs for recording such deeds , if
any. The Company shall also pay at closing all costs
incurred by the Authority for preparation of such deeds .

ARTICLE IV
Construction of Minimum Improvements
Section 4 . 1 . Construction of Minimum Improvements . The
Company agrees that it will construct the Minimum Improve-
ments on the Development Property in conformance with the
approved Construction Plans . The Company agrees that the
scope and scale of the Minimum Improvements to be con-
structed shall not be significantly less than the scope and
scale of the Minimum Improvements as detailed and outlined
in the Construction Plans .
Section 4 . 2 . Construction Plans.
(a) The Authority shall have no obligation to the
Company to take any action pursuant to any provision of
this Agreement , including acquisition and reconveyance
of the Development Property, until such time as the
Company has submitted Construction Plans to the Author-
ity, and the Authority has approved such Construction
Plans . The Authority shall approve the Construction
Plans if : (a) the Construction Plans conform to the
provisions of this Agreement ; (b) the Construction Plans
conform to the terms and conditions of the Redevelopment
Plan; (c) the Construction Plans conform to all appli-
cable federal , State and local laws , ordinances , rules
and regulations; ( d) the Construction Plans are adequate
to provide for the construction of the Minimum Improve-
ments ; and ( e) no Event of Default has occurred; pro-
vided, however , that any such approval of the Construc-
tion Plans pursuant to this Section 4 . 2 shall constitute
approval for the purposes of this Agreement only and
shall not be deemed to constitute approval or waiver by
the Authority or the City with respect to any building,
zoning or other ordinances or regulation, and shall not
be deemed to be sufficient plans, to serve as the basis
for the issuance of a building permit if the Construc-
tion Plans are not as detailed or complete as the plans
otherwise required for the issuance of a building per-
mit . Such Construction Plans must be rejected in writ- Po5
ing by the Authority within , 4 days of submission or /gv
shall be deemed to have been approved by the Author-
ity . If the Authority rejects the Construction Plans in
whole or in part , the Company shall submit new or cor-
rected Construction Plans within 30 days after receipt
by the Company of written notification of the rejection,
accompanied by a written statement of the Authority
specifying the respects in which the Construction Plans
submitted by the Company fail to conform to the require-
ments of this Section 4 . 2 . The provisions of this Sec-
tion 4 . 2 relating to approval , rejection and resubmis-

sion of Construction Plans shall continue to apply until
the Construction Plans have been approved by the Author-
ity. Approval of the Construction Plans by the Author-
ity shall not relieve the Company of any obligation to
comply with the provisions of this Agreement or the
provisions of applicable federal , state and local laws ,
ordinances and regulations , nor shall approval of the
Construction Plans by the Authority be deemed to consti-
tute a waiver of any Event of Default .
(b) If the Company desires to make any change in
the Construction Plans after their approval by the
Authority, the Company shall submit the proposed change
to the Authority for its approval or rejection pursuant
to this Section. A proposed change in the Construction
Plans shall be deemed approved unless rejected by the
Authority in writing within 10 days of submission
thereof with a statement of the Authority ' s reasons for
such rejection.
Section 4 . 3 . Commencement and Completion of Construc-
tion. Subject to Unavoidable Delays , the Company shall
commence construction of the Minimum Improvements to be
constructed on Lot 4 and Lot 7 within 120 days of execution
of this Agreement or on such other date as the Parties shall
mutually agree in writing . Subject to Unavoidable Delays ,
the Company shall have substantially completed the con-
struction of the Minimum Improvements within 18 months of
the date of this Agreement . Time lost as a result of Un-
avoidable Delays shall not count against this 18 month
period.
Section 4 . 4 . Certificate of Completion.
(a) Promptly after completion of the Minimum Im-
provements to be constructed on Lot 4 or Lot 7 , as the
case may be , in accordance with the provisions of this
Agreement , and upon written request made by the Company,
the Authority will furnish the Company with a Certi-
ficate of Completion thereof , in substantially the form
set forth in Exhibit B attached hereto. That no Event
of Default shall have occurred and be continuing under
the terms of this Agreement shall be a condition prece-
dent to the issuance of the Certificate (or Certifi-
cates, if issued separately for Lots 4 and 7 ) of Comple-
tion. A Certificate of Completion shall be a conclusive
determination of satisfaction and termination of the
agreements and covenants in this Agreement with respect
to the obligations of the Company to construct the Mini-
mum Improvements covered by said Certificates .

(b) If the Authority determines that it cannot
issue the Certificate of Completion, it shall , within 10
days after written request by the Company, provide the
Company with a written statement indicating in adequate
detail in what respects the Company has failed to com-
plete the Minimum Improvements in accordance with the
provisions of this Agreement or is otherwise in default
under the terms of this Agreement ( including without
limitation an Event of Default hereunder ) , and what
measures or acts it will be necessary for the Company to
take or perform in order to obtain such Certificate of
Completion.

ARTICLE V
Prohibitions Against Assignment and Transfer ;
Indemnification
Section 5 . 1 . [ Intentionally left blank . ]
Section 5 . 2 . Prohibition Against Transfer of Property
and Assignment of Agreement . The Company represents and
agrees that prior to the issuance of the Certificate of
Completion of the Minimum Improvements by the Authority:
(a) Except only by way of security for the purpose
of obtaining financing necessary to enable the Company
or any successor in interest to the Development Prop-
erty, or any part thereof , to perform its obligations
with respect to making the Minimum Improvements under
this Agreement , and any other purpose authorized by this
Agreement , the Company (except as so authorized) has not
made or created and will not make or create or suffer to
be made or created any total or partial sale, assign-
ment, conveyance, or lease, or any trust or power , or
transfer in any other mode or form of or with respect to
the Agreement or the Development Property or any part
thereof or any interest therein, or any contract or
agreement to do any of the same, without the prior writ-
ten approval of the Authority and compliance with Minne-
sota Statutes, Section 462 . 525, Subdivision 5 .
(b) The Authority shall be entitled to require ,
except as otherwise provided in the Agreement , as condi-
tions to any such approval that :
( i ) Any proposed transferee shall have the
qualifications and financial responsibility, in the
reasonable judgment of the Authority, necessary and
adequate to fulfill the obligations undertaken in
this Agreement by the Company .
( ii ) Any proposed transferee, by instrument in
writing satisfactory to the Authority, shall , for
itself and its successors and assigns, and ex-
pressly for the benefit of the Authority, have
expressly assumed all of the obligations of the
Company under this Agreement and agreed to be sub-
ject to all the conditions and restrictions to
which the Company is subject unless the Company
agrees to continue to fulfill those obligations , in
which case the preceding provisions of this Section
5 . 2 (b) ( ii ) shall not apply; provided, however , that
the fact that any transferee of , or any other suc-
cessor in interest whatsoever to, the Development

Property, or any part thereof , shall not , for what-
ever reason, have assumed such obligations or so
agreed, shall not (unless and only to the extent
otherwise specifically provided in the Agreement or
agreed to in writing by the Authority) deprive the
Authority of any rights or remedies or controls
with respect to the Development Property or the
construction of the Minimum Improvements ; it being
the intent of the Parties as expressed in this
Agreement that ( to the fullest extent permitted by
law and equity and excepting only in the manner and
to the extent specifically provided otherwise in
the Agreement ) no transfer of or change with re-
spect to ownership in the Development Property or
any part thereof , or any interest therein, however
consummated or occurring, and whether voluntary or
involuntary, shall operate, legally or practically,
to deprive or limit the Authority of or with re-
spect to any rights or remedies or controls pro-
vided in or resulting from the Agreement with re-
spect to the Development Property and the construc-
tion of the Minimum Improvements that the Authority
would have had had there been no such transfer or
change . In the absence of specific written agree-
ment by the Authority to the contrary, no such
transfer or approval by the Authority thereof shall
be deemed to relieve the Company or any other party
bound in any way by the Agreement or otherwise with
respect to the construction of the Minimum Improve-
ments from any of its obligations with respect
thereto.
( iii ) There shall be submitted to the Authority
for review and prior written approval all instru-
ments and other legal documents involved in effec-
ting the transfer of any interest in this Agreement
or the Development Property .
Section 5 . 3 . Release and Indemnification Covenants .
(a) The Company releases from and covenants and
agrees that the Authority and the City and the governing
body members, officers , agents, including its indepen-
dent contractors , consultants and legal counsel , ser-
vants and employees thereof (hereinafter , for purposes
of this Section, collectively the "Indemnified Parties" )
shall not be liable for and agrees to indemnify and hold
harmless the Indemnified Parties against any loss or
damage to property or any injury to or death of any
person occurring at or about or resulting from any de-
fect in the Project .

( b) Except for any willful misrepresentation or
any willful or wanton misconduct of the Indemnified
Parties , the Company agrees to protect and defend the
Indemnified Parties, now and forever, and further agrees
to hold the aforesaid harmless from any claim, demand,
suit, action or other proceeding whatsoever by any per-
son or entity whatsoever arising or purportedly arising
from this Agreement , or the transactions contemplated
hereby or the acquisition, construction, installation,
ownership, and operation of the Minimum Improvements,
provided , that this indemnification shall not apply to
the warranties made or obligations undertaken by the
Authority in this Agreement .
(c) All covenants , stipulations , promises , agree-
ments and obligations of the Authority contained herein
shall be deemed to be the covenants, stipulations , prom-
ises , agreements and obligations of the Authority and
not of any governing body member , officer , agent , ser-
vant or employee of the Authority or of the City .

ARTICLE VI -
Events of Default
Section 6 . 1 . Events of Default Defined. The following
are Events of Default under this Agreement :
(a) Failure by the Company to timely pay all real
property taxes assessed with respect to the Development
Property;
( b) Failure by the Company to commence and com-
plete construction of the Minimum Improvements pursuant
to the terms , conditions and limitations of this Agree-
ment .
( c) Failure by the Company to substantially ob-
serve or perform any material covenant , condition, obli-
gation or agreement on its part to be observed or per-
formed under this Agreement .
(d) An event of default occurs under any agreement
or instrument executed by the Company respecting the
Development Property or the Minimum Improvements or any
portion thereof .
( e) The holder of any security interest in any
part of the Development Property or Minimum Improvements
takes action to enforce the same for satisfaction .
( f) A petition in bankruptcy is filed naming the
Company as debtor , and such petition is not dismissed
within 90 days of the date of filing thereof .
An Event of Default shall also include any occurrence which
would with the passage of time or giving of notice become an
Event of Default as defined hereinabove.
Section 6 . 2 . Remedies on Default . Whenever any Event
of Default occurs and remains uncured, the Authority may
take any one or more of the following actions after giving
15 days ' written notice to the Company by the Authority, but
only if the Event of Default has not been cured within said
15 days :
(a) The Authority may suspend its performance
under the Agreement until it receives assurances from
the Company, deemed adequate by the Authority, that the
Company will cure its default and continue its perfor-
mance under the Agreement .

(b) The Authority may withhold the Certificate of
Completion.
Section 6 . 3 . No Remedy Exclusive. No remedy herein
conferred upon or reserved to the Authority is intended to
be exclusive of any other available remedy or remedies , but
each and every such remedy shall be cumulative and shall be
in addition to every other remedy given under this Agreement
or now or hereafter existing at law or in equity. No delay
or omission to exercise any right or power accruing upon any
default shall impair any such right or power or shall be
construed to be a waiver thereof, but any such right and
power may be exercised from time to time and as often as may
be deemed expedient .
Section 6 . 4 . No Additional Waiver Implied by One Wai-
ver . If any agreement contained in this Agreement should be
breached by any Party and thereafter waived by any other
Party, such waiver shall be limited to the particular breach
so waived and shall not be deemed to waive any other concur-
rent, previous or subsequent breach hereunder .

ARTICLE VII
•
Additional Provisions
Section 7. 1 . Provisions Not Merged With Deed. None of
the provisions of this Agreement shall be merged by reason
of any deed transferring any interest in the Development
Property and any such deed shall not be deemed to affect or
impair the provisions and covenants of this Agreement .
Section 7 . 2 . Titles of Articles and Sections . Any
titles of the several parts , Articles and Sections of this
Agreement are inserted for convenience of reference only and
shall be disregarded in construing or interpreting any of
the provisions hereof.
Section 7 . 3 . Notices and Demands . Except as otherwise
expressly provided in this Agreement , a notice, demand or
other communication under the Agreement by either party to
the other shall be sufficiently given or delivered if sent
by registered or certified mail , postage prepaid, return
receipt requested, or delivered personally; and,
(a) in the case of the Company is mailed to or
delivered personally to Gerald W. Paschke, 7970 Univer-
sity Avenue N. E. , Fridley, Minnesota 55432 .
•
(b) in the case of the Authority, is mailed to or
delivered personally to the Authority at the Fridley
City Hall , 6431 University Avenue N.E. , Fridley, Minne-
sota 55432 , Attention: Fridley City Manager .
or at such other address with respect to either such Party
as that Party may, from time to time , designate in writing
and forward to the other as provided in this Section.
Section 7 . 4 . Counterparts . This Agreement is executed
in any number of counterparts , each of which shall consti-
tute one and the same instrument .
Section 7 . 5 . Law Governing. This Agreement will be
governed and construed in accordance with the laws of Minne-
sota.
Section 7 . 6 . Recording. Neither the Authority nor the
Company shall record this Agreement with the Anoka County
Recorder.

ARTICLE VIII
Termination of Agreement
Section 8 .1 . The Company ' s Options to Terminate. This
Agreement may be terminated by the Company if ( i ) the Com-
pany is in compliance with all material terms of this Agree-
ment and no Event of Default has occurred and ( ii ) the
Authority fails to comply with any material term of this
Agreement, and, after written notice by the Company of such
failure , the Authority has failed to cure such non-compli-
ance within 90 days of receipt of such notice, or , if such
non-compliance cannot reasonably be cured by the Authority
within 90 days, the Authority has not , within 90 days of re-
ceipt of such notice, provided assurances , reasonably satis-
factory to the Company, that such non-compliance will be
cured as soon as reasonably possible.
Section 8. 2 . The Authority ' s Options to Terminate . The
Authority may terminate this Agreement and/or may refuse to
issue the Certificate of Completion (and be subject to no
obligation or liability therefore) as provided in Section
4 . 4 hereof .
Section 8 . 3 . Action to Terminate . Termination of this
Agreement due to the occurrence of any of the foregoing must
be accomplished by written notification to the Authority or
to the Company, as the case may be, provided by the termi-
nating Party within 10 days after the date when such option
to terminate may first be exercised.

and for the County of Anoka and State of Minnesota, as Deed
Document Number , has conveyed to Gerald W. Paschke
( the "Grantee" ) the land described in the attached Exhibit A

RE: Timetable for Proceedings on the Columbia Park
Project and the Lundgren Project
Dear Nasim and Samantha:
Based on the assumption that all aspects of these two
projects will be done this year, I have prepared a proposed
timetable.
First, please find enclosed copies of the first draft of
a Development Agreement with Columbia Park Properties, including
an Exhibit E, a corresponding Assessment Agreement. Although
this Development Agreement makes reference to the public parking
ramp, if the City does not agree to build the same, Columbia
Park Properties will nonetheless be required to purchase the
additional property from the HRA and construct thereon the
addition to the clinic and their smaller ramp.
Second, please find enclosed a short resolution, with an
attached Easement Agreement, for the HRA' s October 10 meeting,
giving
giving Columbia Park Properties temporary use of the HRA' s
adjacent property for parking purposes. Note also that Section
4 . 5 of the Development Agreement addresses this issue.
I 've composed the following timetable on the assumption
that the City Council ' s remaining scheduled meetings occur on
October 21, November 4 and 18 , and December 2 and 16; and that
the HRA' s remaining scheduled meetings occur on October 10,
November 14 , and December 12.
First, there are proposed industrial bond issues for both
projects. We have already scheduled a public hearing on the
Columbia Park Project for November 4 and have published notices
thereof. We have not started the proceedings for the Lundgren
bond issue for the commercial IDB but will do so as soon as the

Determination is made to proceed and we have the necessary
information. In both cases, however, the City Council will
need to pass a preliminary inducement resolution on October 21
,2I\ so that we can keep the City's entitlement money for the
9 Columbia Park Project and, if necessary, make competitive
application for an allocation for all or the remaining portion
of the Lundgren Project..
J� On the Development Agreement side, I would suggest that
the HRA approve thetwo Development Agreements at its`
November 14 meetin receded by at least 10 days ' published
notic . This would mean that the notices would be published'
in the November 4 edition of the Fridley Focus, with an October
30 deadline for submitting those notices to the paper.
I see the public parking ramp for the Columbia Park Project
being constructed by the City (as opposed to the HRA) under
Minnesota Statutes, Chapter 429, the assessable public
improvement law. Under that law, the City can assess against
benefited property owners the cost of the improvements, but in
order to be able to assess the maintenance and operation
charges of that ramp, the City will need to establish, a
development district under Minnesota Statutes, Chapter 474A.

and I suggest that this be established at the Council':s
November 18 meeting. I will prepare the necessary documents .
i ---,) In addition, the City will need to proceed under Chapter 429
!J to order the making of that public parking ramp improvement. I
suggest November 18 as the date of the Council ordering this
improvement. - This pub is hearing wi need to be preceeded by

the time and place of public hearing, the nature of the improvement,
the estimated costs thereof, and the ,area to be assessed', These

t' meeting) which basically sets out the cooperative agreement to
build the ramp and to pay for its maintenance charges. This
Agreement, for example, would state the HRA' s intention to pay
10% of the cost of the ramp and 10% of its maintenance charges,
or whatever percentages you may wish. It is my understanding
that you want Columbia Park to pay 80% of the cost of the ramp,
the office building to pay 10% , and the HRA to pay the remaining

10% , with a similar breakdown for operating and maintenance
expenses.
Finally, there is the October 31 deadline for deciding what
to do with your bonding allocation authority. As I mentioned
above, if we have a preliminary resolution on October 21 for the
Columbia Park and Lundgren Projects, we can reserve for Columbia
Park the necessary amount thereof for that project, and can
reserve for the Lundgren Project the remainder of the City's
allocation (approximately, $4,000,000) and also make a competative
application for the remaining $2,000,006 needed for that project.
Please let me know if this timetable seems realistic to
you, and Samantha and I can work out a final allocation of
responsibilities and so forth for meeting it.

TEMPORARY EASEMENT FOR PARKING PURPOSES
This agreement (the "Agreement") is made this day of
, 1985, between the Housing and Redevelopment
Authority in and for the City of Fridley, Minnesota (the
"Grantor") , and Columbia Park Properties, a Minnesota general
partnership (the "Grantee") , and provides as follows:
1 . Grant. Grantor hereby grants and conveys to Grantee
a temporary easement for the installation, use and maintenance
of a temporary parking lot and access drives in and through
the property described in Exhibit A attached to and made a
part hereof, appurtenant to and for the benefit of the
property described in Exhibit B annexed hereto. Such grant
shall include the right to temporarily grade and gravel or
otherwise surface said property as may be necessary to prepare
and maintain the same for temporary parking.
2 . Termination. The easement granted to Grantee herein
shall automatically cease, terminate and revert on the earlier
of the following dates:
(a) June 1 , 1986;
(b) The date upon which the Grantor shall have
conveyed the title to the property described in
Exhibit A to Grantee.
3 . Effect of Termination. If the easement granted to
Grantee herein shall terminate pursuant to paragraph 2 (a)
hereof , the Grantee shall, at its sole cost and expense, restore
such property to the condition it was in prior to the exercise
by the Grantee of any of the rights conferred upon Grantee
pursuant to this Agreement.
4 . Agreement Not to File this Easement. The Grantor
and the Grantee hereby agree that this Agreement shall not be
recorded in the offices of the Anoka County Registrar of Titles
or the Anoka County Recorder.
In witness whereof, the Grantor and the Grantee have caused
this Agreement to be executed by their duly authorized
representatives as of the day and year first above written.

in and for the City of Fridley, Minnesota
Approving and Authorizing the Execution of an
Easement Agreement for Temporary Parking Purposes
WHEREAS, Columbia Park Properties, a Minnesota general
partnership (the "Company") , has conveyed to the Authority its
intention to construct an approximately 17 , 000 square foot
addition to its clinic and to construct an approximately 254
stall , two level parking facility attached thereto and has made
application to the City of Fridley for industrial development
revenue bond financing for such improvements;
WHEREAS, the Company and the Authority are in the process
of negotiating a development agreement respecting such
improvements; and
WHEREAS , the Company has requested the Authority to grant
the Company an easement for temporary parking purposes over a
portion of the property which the Authority presently owns and
upon which the Company intends to construct such improvements :
Now, therefore, the Board of Commissioners of the Housing
and Redevelopment Authority in and for the City of Fridley,
Minnesota, hereby resolves as follows :
The Board hereby approves the attached easement agreement
for temporary parking purposes and authorizes the officers of
the Authority to take such actions as may be necessary,
including the execution and delivery thereof, to facilitate
the implementation of said agreement.
Adopted by the Authority this 10th day of October, 1985 .

This Agreement, Dated as of this 28 day of Sep}e ri'o er', 1982, by and
between the Housing and Redevelopment Authority in and for the City of
Fridley thereinafter called the 'Agency') and Fridley Plaza Office Building
Partnership (hereinafter called the 'Redeveloper')
Witnesseth, that
WHEREAS, on or before the date hereof the Agency and the Redeveloper have
entered into a 'Contract for Private Redeveopment' regarding certain real
property located in the Center City Redevelopment Project in the City of
Fridley, pursuant to which the Authority is to acquire certain property as
Conditioned said 'Contract for Private Redevelopment' thereinafter referred
to as 'the Contract").
WHEREAS, it is contemplated that pursuant to said 'Contract' the Redeveloper
will construct an office-building containing approximately 35,000 square
feet upon the redevelopment property.
P01, SORE, the parties to this agreement, in consideration of the
promises, oonvenants and agreements made by each to the other, do hereby
agree as follows:
1. That the KRA agrees to purchase the Madsen Building legally described
as:
All of Lot 20 and South 23.7 feet of Lot 21, Block 3, Rees'
Addition along with West one half of vacated alley in said
Block 3 which adjoins said Lot 20 and South 23.6 feet of Lot
21, also following described parcel starting at center of
vacated alley in Block 3 at a point represented by an
extension of South line of said Lot 20, Block 3 , then
easterly for distance of 30 feet, then northerly at right
angles for a distance of 30 feet, then westerly parallel to
extended South line of said Lot 20 for a distance of 30 feet
to centerline of said vacated alley, then southerly a
distance of 30 feet to point of begining and there
terminated. All of said parcel being a point of East one
half of vacated alley and Lot 7, Block 3, Rees' Addition to
Fridley Park.
This purchase would be for $115,614.00. The Redeveloper would
continue to master lease the property from the Agency for 5560.00 per
month until such time as the Redeveloper shall be located in the
35,000 square feet Office building being developed by the Redeveloper
on the Redevelopment Property. The Redeveloper will take full
responsibility for the operation and maintenance of the property with
no liability to the Agency.

In addition, the Redeveloper shall provide to the Agency written
waivers of relocation from all subleases being held by the Redeveloper
waiving the Agency's obligation to relocate undere5 laws of the

State of Minnesota. In return, the Agency shall provide
relocation assistance to the Redeveloper to assist in the
Redeveloper's obligation to the subleases.
2. The Agency shall pay to the Redeveloper up to $90 ,000 of the
Industrial Revenue Bond oast of issuance and the underwiters discount
for their placement. The Redeveloper shall, in writing, subnitt proof
of said Dost to the Agency prior to said payment.
3. The Redeveloper shall give to the Agency for one dollar and other good
and valuable consideration the option to purchase the following
described real property:
The North 100 feet of South 259 feet of North 1,507.5 feet
of West one half of West one half of East one halfppaaof

The option shall continue until February 1, 1986. If the Agency
exercises said option on or before February 1, 1986, the Ageencall

4. The Agency
would cornence the construction of a 'plaza' in 1983 (which
size and scope to be determined by the Agency) to be located
immediately to the west of the developers proposed office building.
As a minimman, the HRA shall sod and plant as per the Fridley City
Code.
5. The Agency shall do all of the outside development on the
Redeveloper 's property and would assess the total costs of
iffpravenents to the 'Redevelopment Property' over a minimum of 10
years.
6. The Agency shall pay all costs associated with the relocation of 64th
Avenue NE including the construction of the street, curbing, gutter,
drainage nd elProperty street,al of any curbing
and gutter on the Redevelopment in preparationof said
property for development.

shall not convey the subject Property, or any part thereof, without
the consent of the Agency until a certificate of completion releasing
the Redeveloper from the obligations of said Agreement as to said
Property or such part thereof then to be conveyed, has been placed of
record. This provision, however, shall in no way prevent the
Redeveloper fram mortgaging said Property in order to obtain funds for
the purchase of Property hereby conveyed and for erecting impravenents
thereon in conformity with the Agreement, any applicable redevelopment
plan and applicable provisions of the Zoning Ordinance of the City of
Fridley, Minnesota.
It is specifically agreed that the Redeveloper shall promptly begin
and diligently__prosecute -ta .completion the redevelopment of the
Property through the construction of the improvements thereon, as
provided in the Agreement.
Prorptly after ccrpletion of the improvements in accordance with the
provisions of the Agreenent, the Agency will furnish the Redeveloper
with an appropriate instrument so certifying. Such certification by
the Agency shall be (and it shall be so provided in the certification
itself) a conclusive determination of satisfaction and termination of
the agreements and covenants of the Agreement with respect to the
obligation of the Redeveloper and its successors and assigns, to
construct the improvements and the dates for the beginning and
completion thereof. Such certification and such determination shall
not constitute evidence of compliance with or satisfaction of any
obligation of the Redeveloper to any holder of a mortgage, or any
insurer of a mortgage, securing money loaned to finance the purchase
of the Property hereby conveyed or the improvements, or any part
thereof.
All certifications provided for herein shall be in such form as will
enable then to be recorded with the County Recorder or Registrar of
Titles, Anoka County, Minnesota. If the Agency shall refuse or fail
to provide any such certification in accordance with the provisions of
the Agreement and this Agreement, the Agency shall, within thirty (30)
days after written request by the Redeveloper, provide the Redeveloper
with a written statement indicating in adequate detail in what
respects the Redeveloper has failed to complete the improvements in
accordance with the provisions of the Agreement or is otherwise in
default, and what measures or acts will be necessary, in the opinion
of the Agency, for the Redeveloper to take or perform in order to
obtain such certification.
8. In the event the Redeveloper herein (or any successor or assign)
shall, prior to the recording of the certificate of completion
hereinabove referred to:
(a) Subject to any unavoidable delay, as defined in the Agreement,
default in or violate its obligations with respect to the
construction of the inprovements provided for in this Agreement
and the Agreement, or abandon or substantially suspend
construction work, and any default or violation, abandonment or
suspension shall not be cured, ended or remedied within thirty

(30) days after written demand by the Agency to do so; or
(b) Pail to pay real estate taxes or assessments on the Property or
any part thereof when due, or shall place thereon any encumbrance
or lien unauthorized by the Agreement with the Agency, or shall
suffer any levy or attachment to be made, or any material.men's or
mechanic liens, or any other unauthorized encumbrances or liens
to attach, and such taxes or assessments shall not have been paid
or the encumbrance or lien removed or discharged, or provisions
satisfactory to the Agency made for such payments, removal or
discharge, within thirty (30) days after written demand by the
Agency to do so; provided, that if the Redeveloper shall first
• notify the Agency of its intention to do so, it may in good faith
contest any mechanics' or other lien filed or established and in
such event the Agency shall permit such mechanics' or other lien
to remain undischarged and unsatisfied during the period of such
contest and any appeal, but only if the Redeveloper provides the
Agency with a bank letter of credit in the amount of the lien, in
a form satisfactory to the Agency pursuant to which the bank will
pay to the Agency the amount of any lien in the event that the
lien is finally determined to be valid and during the course of
such contest Redeveloper shall keep the Agency informed
respecting the status of such defense; or
(c) Transfer, in violation of the Agreement or this Agreement, the
Property or any pert thereof, and such violation shall not be
aced within sixty (60) days after written demand by the Agency
to the Redevelcper; or
(d) Default under the terms of a mortgage loan authorized by Article
VII of the Agreement and the mortgagee under such mortgage loan
has oammenced exercising any remedy due to such default or has
given notice of its intent to do so;
then the Agency shall have the right to re-enter and take possession
of the Property and to terminate and revest in the Agency the estate
conveyed to the Redeveloper, its assigns or successors in interest,
but subject to any mortgage authorized by Article VII of the Agreement
and to the rights of the mortgagee thereunder pursuant to the
Agreement.
9. Tne Redeveloper or

successors and assigns shall:
(a) Devote the Property to, and only to, office building and related
uses;
(b) Not discriminate on the basis of race, color, creed, national
origin, or sex in the sale, lease, rental, or in the use or
occupancy of the Property or any improvements erected or to be
erected thereon, or any part thereof;
(c) Not cause the Property to be removed frau the public tax rolls or

to become exempt from assessment for general real estate taxes by
reason of any conveyance, lease, abatement, or other action so
long as the tax increment generated by the Property is pledged to
the payment of principal of and interest due outstanding bonds or
other obligations; and
(d) Assume and comply with the provisions of Section 6.3 of the
Agreement which provides in pert that the Redeveloper shall not
apply for or seek through adrinistrative or judicial proceedings
a reduction in the property tax below $72,986. I, 6773, aoC.)
10. It is understood and agreed that the Redeveloper shall compensate the
Agency for any costs incurred for the sale of Tax Increment General
Obligation Bonds for this Project due to the failure of the
Redeveloper to perform under this Contract.
It is intended and agreed that the above and foregoing agreements and
covenants shall be covenants running with the land, and that they shall, in
any event, and without regard to technical classification or designation,
legal or otherwise, and except only as otherwise specifically provided be
binding, to the fullest extent permitted by law and equity for the benefit
and in favor of, and enforceable by, the Agency its successors and assigns,
and any successor in interest to the Property, or any part thereof against
the Redeveloper, its successors and assigns, and every successor in interest
to the Property, or any part thereof or any interest therein, and any party
in possession or occupancy of the Property or any part thereof.
In amplification, and not in restriction of, the provisions of the
preceeding section, it is intended and agreed that the Agency and its
successors and assigns shall be deemed beneficiaries of the agreements and
covenants provided herein, both for and in their own right, and also for the
purposes of protecting the interest of the oamminity and the other parties,
public or private, in whose favor or for whose benefit these agreements and
covenants have been provided. Such agreements and covenants shall run in
favor of the Agency without regard to whether the Agency has at any time
been, remains, or is an owner of any land or interest therein to, or in
favor of, whidi suds agreements and covenants relate. The Agency shall have
the right, in the event of any breach of such agreement or covenant to
exercise all the rights and rer,edies, and to maintain any actions or suits
at law or in equity or other proper proceedings to enforce the curing of
such breach of agreement or covenant, to which it or any other beneficiaries
of such agreement or covenant may be entitled.
