Ms. Schnabel stated she would like to make the following changes on page 8 of
the minutes:
paragraph 2, add the following words at the end of the sentence: (to pay
a sub-tenant of a tenant of the owners of the condemned property).

1 . PRESENTATION OF APPRECIATION PLAQUE FOR CAROLYN SVENDSEN:
Mr. Comers stated that at this time they had planned to present an
appreciation plaque to Ms. Svendsen who served on the HRA for over ten
years before moving to Northfield, Minnesota. Apparently, because of
the weather, she was unable to attend the meeting.

UNTIL A MEETING WHEN MS. SVENDSEN COULD BE PRESENT.

2. REQUEST FOR ASSISTANCE FROM VANTAGE COMPANIES:
Mr. Corners stated that in addition to the information in the agenda, the
commissioners had received a copy of a proposed contract for development,
one between the HRA and Vantage Companies and, for informational purposes,
one between the City of Fridley and Vantage Companies.
Mr. Qureshi stated that Vantage Companies has requested the City Council
to rezone a piece of property located north of 81st Ave. and west of
University Ave. Presently, a portion of the property is zoned C-2 and the
rest M-2. The request is to rezone to C-3 and C-2. There has already been
a hearing and the first reading of the ordinance on the rezoning. The hope
was that at the next City Council meeting on March 17, the second reading
of the ordinance would be held and the property rezoned.
Mr. Qureshi stated Vantage Companies' proposal was to develop at least the
first two phases. Phase 1 was the development of the 100,000 sq. ft. Wholesale
Club, and then phase 2 was 70-75,000 sq. ft. of retail . Vantage Companies
has indicated there is a severe soil problem on the site and have estimated
a cost of $1 ,750,000 in soil correction. What has been basically worked out
is that if Vantage Companies meets certain requirements and does build a
100,000 sq. ft. building in phase 1 , if the HRA approves, then the HRA would be
providing assistance of $100,000 in soil correction costs. If Vantage Com-
panies builds an additional building in phase 2, the HRA would be providing
another $50,000 worth of assistance for a potential total of $150,000. A
proposed agreement has been prepared that provided that under certain condi-
tions, the HRA would provide this assistance.
Mr. Qureshi stated representatives from Vantage Companies were in the audience.
He showed the HRA the general concept of the development that has been submitted
by Vantage to the City. He stated their plans were to complete phase 1 this
year.
Mr. Corners stated it was his understanding they were handling this project
differently than in the past.

Mr. Qureshi stated that was correct. In the past they have gotten control
of the property and essentially at the same time turned it over to the
developers, so it was a matter of deeding back and forth. It was his under-
standing that it was the preference of the legal representative of Vantage
Companies to not use that method. Mr. Newman and Vantage's legal representative
have worked everything out satisfactorily.
Mr. Commers stated that, as he understood it, rather than the HRA taking title
and upon completion of the project when they would normally get the title
back, in this case the HRA's obligation would become payable at the time the
building was substantially complete. He stated the discussion at the last
meeting with Mr. Paschke and Mr. Dave Harris related to the issuance of the
certificate of occupancy, so the question was whether or not the HRA should
meet their obligations at the time the certificate of occupancy was issued.
Mr. Harris had proposed that timeframe was too long for developers to wait for
the assistance.
Mr. Newman stated it was his understanding that there were two certificates
of occupancy--one was a temporary certificate which allowed the business to
occupy on a temporary basis, and the other was the final certificate of occu.,
pancy which can take up to an additional year to obtain. This agreement was
drafted with the understanding that the payment would be made when the temporary
certificate of occupancy was issued.
Mr. Commers stated it should be called the temporary certificate of occupancy
in the agreement in order to prevent any confusion.
Mr. Qureshi stated that if everything works out, the certificate of temporary
occupancy should be issued in the month of. October.
Mr. Commers stated that, as he understood it, the assistance from the HRA was
based on the presentation that there was a requirement of over $1 million in
soil correction.
Mr. Qureshi stated that was correct. Vantage Companies would have to provide
the HRA with documentation'that the soil correction was over $1,000,000. The
HRA' s total assistance would be $150,000, which was about 15% of the total cost.
Mr. Matthew Nicoll stated he was the General Manager and Executive Vice President
of the Mpls. Division of Vantage Companies. He stated they are one of the
larger developers in the country. They have been in business for 26 years,
have 15 separate operating offices in various locations in the United States.
Their home base was in Dallas. They have been in Mpls. for 8-82 years and
have developed in Plymouth, Eden Prairie, and Bloomington.
Ms. Schnabel stated she had a concern about the water in that area and what
happens with the water when the development takes place, especially any impact
it might have on Springbrook Nature Center. She also wondered what the City
had found out from the environmental assessment worksheet.

Mr. Qureshi stated Vantage Companies was going to provide subsurface drainage
on their property which will go to another drainage system the City has. Also,
on 81st the City is proposing a subsurface drainage system that will keep the
water table low. It was also his understanding that Vantage Companies would
be bringing in some good soil and actually try to raise the existing level
of the ground so there is at least 4 ft. or more difference from where the
water table is right now.
Mr. Robinson stated the project did not actually require a formal environ-
mental assessment worksheet, but the City did ask Vantage to complete one
and submit it for informal review. The City submitted that informal environ-
mental assessment worksheet to the Environmental Quality Board and the
Department of Natural Resources for their general comments, but there were
no major concerns. There were a few general comments about water run-off,
and the City feels that can be handled adequately by'the engineering staff.
Mr. Qureshi stated that if the HRA feels the agreement was satisfactory,
action needed by the HRA was to approve the resolution which authorized the
Chairperson and himself to execute the agreement conditioned upon certain
things that will still have to be worked out with Vantage Companies between
now and when the City Council completes the rezoning. One of the concerns
shown from the beginning was the landscaping and the exterior quality of the
facilities.

Mr. Robinson stated that, as recommended at the last meeting, Staff did
check the residence to see if it was a legal apartment. He stated there
were some technical violations; but in researching with the Washington D.C.
office, the technical violations were no reason to disallow the relocation
and that the HRA was obligated to pay the relocation costs.

4. REPORT ON THE FEES FOR THE $5,600,000 CAPITAL APPRECIATION BOND AND
$11 ,550,000 VARIABLE RATE GENERAL OBLIGATION TAX INCREMENT BONDS:
Mr. Qureshi stated the HRA had asked Staff to provide them with information
on the fees they have paid on both of these instruments. The memo from
Mr. Pribyl to Mr. Qureshi gave the HRA that information and some of the back-
ground on it. He stated Mr. Casserly from Miller & Schroeder was also at
the meeting to answer questions.
Mr. Commers stated he had had two questions, one was on what the actual
expenses were, and the other was related to the transaction btween the HRA
and Woodbridge Properties. He stated maybe the HRA should ask the Staff to
develop some criteria regarding the costs and the negotiations that went into
it. When they originally looked at the agreement with Woodbridge, they had
an agreement that did not necessarily talk about the HRA paying all Wood-
bridge's expenses. The agreement the HRA had before them at the December
meeting did not provide for that. There were some drafts that apparently
included that, but at the closing when it came time for the contract to be
signed, the HRA ended up with the Benson-Malkerson fee of $100,000, Miller &
Schroeder's $84,000 fee, and some other expenses Mr. Commers did not think
were quite fair. He thought it would be to the Staff's advantage to have
some criteria and guidelines to follow in negotiating a contract. He did
not think they should have contracts negotiated open-ended. They should know
ahead of time if they are going to be paying anybody else's expenses;
Mr. Qureshi stated that, as the Commissioners knew, it was a very unusual
instrument they came up with on this property. He also did not see, at least
in the foreseeable future, another situation where they would use this kind
of instrument and be under the same time restraints as this. He stated the
numbers by themselves did not look very good, but in looking at the total
picture, the HRA actually came out quite well .
Mr. Qureshi stated he had no problem with anything the HRA felt was appropriate.
Because of the situation and time constraints, maybe the Staff did not give
the HRA the quality of information they should have; however, if the same
situation arose in the future, Staff would attempt to be more concerned and
conscious of the costs and make the HRA aware of all the costs.
Mr. Commers stated that if these things had been reasonably explained to
the HRA, they might not have had a problem. There were a lot of reasonable
explanations for the way things were done, but he did not think it was a good
procedure, and they should not proceed in this way in the future.

8. OTHER BUSINESS:
Mr. Commers stated the Commissioners had received a copy of a March 7
memo from the owners who are requesting that the HRA purchase their property
which was near the Saliterman property on Old Central .
Mr. Qurish stated this was a little over an acre in size. There was a house
on the property but it was removed because of the structural condition.
He was asking for some input from the HRA as to whether they should pursue
the acquisition of this property at this time.
The HRA received the letter and information into the record but agreed to
take no action at this time.

A RESOLUTION GRANTING ANOKA COUNTY A RIGHT-OF-WAY TO
PROPERTY ALONG MISSISSIPPI STREET ABUTTING THE FRIDLEY
LIQUOR WAREHOUSE AND DOCTOR RYAN'S AUTOMOTIVE FOR THE
PURPOSE OF STREET AND UTILITY IMPROVEMENTS ALONG
MISSISSIPPI STREET
WHEREAS, development plans for Center City include road improvements to
Missisippi Street; and
WHEREAS, in order to accomplish such improvements Anoka County requires a
right-of-way along Mississippi Street on property currently owned by the HRA
and legally described as:
Lot 1, Block 1, Sylvan Hills Plat No. 6
Lots 6,7, 8,9, 10, Block 12, Lowell Addition
WHEREAS, NSP requires a right-of-way along Mississippi Street for their
undergroung electrical distribution system; and
WHEREAS, utilities are required for the redevelopment of the southwest
quadrant of the Center City development.
NOW, THEREFORE LET IT BE RESOLVED by the Housing and Redevelopment Authority
of the City of Fridley, to grant to Anoka County the necessary right-of-way
along the above mentioned property for the purpose of constructing street and
utility improvements along Mississippi Street.

SUBJECT: Mississippi Street Improvement
DATE: April 3, 1986
With the execution of an agreement with NSP to relocate their electrical
distribution system underground along Mississippi Street between University
and Main, there remains a right-of-way issue problem.
It is most desirable to relocate the electrical distribution system in a
boulevard portion of the street right-of-way. With the widening of
Mississippi Street, the southerly boulevard will be removed and absorbed
with the Mississippi Street widening. The new boulevard will be on the
property of the adjoining properties.
Currently, the HRA has control of the Doc Ryan's and Fridley Liquor Store
parcels. Right-of-way needs to be obtained for the street and the NSP
distribution system from the Dairy Queen, Rice Creek Plaza, and RAO
properties.
NSP desires to start their work as soon as the agreement is executed and
have it completed prior to the County commencing the street.improvement.
The County Highway Department has identified their right-of-way needs but
has not acquired the necessary land. This may take a considerable amount
of time which could detrimentally affect the NSP and street improvements.
Recommend the HRA consider obtaining right-of-way easements from the
appropriate property owners on the south-west quadrant of Mississippi and
University as a means of expediting the desired improvements and
possibility of reducing the acquisition costs.

WHEREAS, the Housing and Redevelopment Authority, on September 5, 1985,
adopted Resolution No. HRA 12-1985 authorizing the City to negotiate the
relocation of the NSP power lines underground on Mississippi Street between
University Avenue and 2nd Street and provide services to the SW quadrant and
that this improvement cost was not to exceed $85,000; and
WHEREAS, the initial estimate of $85,000 provided by NSP was an estimate based
on a visual inspection; and
WHEREAS, NSP has determined that their actual cost for burying the overhead
feeder line on Mississippi Street will be $90,000; and
WHEREAS, there is an additional cost of $5,000 for the rewiring of the Holly
Shopping Center sign and Docc Ryan's Service Station which was not included in
the initial estimate from NSP; and
WHEREAS, it has been established that it is desirable to relocate the NSP
lines underground, and it is necessary that the rewiring of the Holly Center
and Doc Ryans be completed.
NOW, THEREFORE BE IT RESOLVED, by the Housing and Redevelopment Authority in
and for the City of Fridley, to authorize the City to increase the budget
amount to no more than $95,000 for the relocation of NSP power lines
underground on Mississippi Street between University Ave. and 2nd Street and
rewire services to the Holly Shopping Center and Doc Ryans.
BE IT FURTHER RESOLVED, by the Housing and Redevelopment Authority, to
authorize the City to execute an agreement between the Housing and
Redevelopment Authority in and for the City of Fridley and Northern States
Power for the abovementioned services.

1986,
There are two services that will have to be rewired to accept an
underground service. "Ryans" service station and the "Holly Center"
sign. This work and cost will have to be assumed by someone other
than Northern States Power Company. You should really
from electrical contractors for this work. There is ogaddet itionales
costs from NSP.
When NSP gave you the estimate of $85,000.00 to $90,000.00 to bury
the overhead feeder line on Mississippi Street, West of University
Ave. , it was a very rought estimate based on a visual inspection.
When the project was designed and all the material entered in to the
project, it came to a higher cost that was originally thought. The
$90,000.00 is still in the area of the original estimate, and the
City of Fridley will only be billed the actual cost, not to exceed
$90,000.00. I hope this is the information you wanted, Clyde.

CONSISTING OF:
Northern States Power Company will replace the existing overhead electric
distribution facilities with underground distribution along the above routes
at a cost not to exceed $90,000.00. This price does not include the cost to
relocate services to existing buildings. It also assumes that streets to be
crossed can be open-cut for installation of NSP underground facilities.
The City of Fridley to provide necessary easements and clear area of all
construction obstacles. Compaction along cable route after installation of
NSP facilities is the City's responsibility. NSP will backfill the trench
with existing soil . All restoration of construction area is the responsibility
of the City of Fridley.
The facilities installed or removed by the Company shall be the property of the Company and any payment by customer
shall not entitle customer to any ownership interest or right therein.
The undersigned hereby requests and authorizes the NORTHERN STATES POWER COMPANY to do the work
described above,and in consideration thereof.agrees to pay an amount not to exceed Ninety Thousand and no/10C

The Housing & Redevelopment Authority reviewed the LaSalle Partners, Inc.
proposal request and decided to support the 71st Avenue site, offering up to
25 acres and an incentive of $3,500,000 and to provide an incentive for ten
acres of the 100 Twin Drive-in site, with an offer of $3,000,000. The
Housing & Redevelopment Authority would insure the property would be made
available to FMC.
The Housing & Redevelopment Authority suggested having the Housing &
Redevelopment Authority Chairman, the Mayor, and members of the City staff
make an offer to FMC to attend the meeting to make a formal presentation to
the FMC Management Board in Chicago.
2. RESCHEDULING QF PUBLIC HEARING FOR OCTOBER 10. 1985 REGARDING TUE

3. RESOLUTION NO. 12-1985-A AUTHORIZING THE RELOCATION OF NSP POWER LINES

The Housing & Redevelopment Authority suggested the City obtain estimates to
provide underground electric service to those buildings within the Rice Creek
Plaza Camplex.

The subject displaced residential tenant is filing a relocation claim
for payment of benefits in accordance with the provisions of the
Uniform Relocation Assistance and Real Properties Acquisition Policies
Act of 1970 , and Minnesota Statute 117. 52 which incorporates the
provisions of the Uniform Act effective on January 1 , 1984 .
The displaced tenant was provided with , and a receipt obtained for , a
HUD Brochure describing the relocation payments for residential
displacees , (See Exhibit C) in accordance with 42. 9 (c) and the
payments and assistance available to the displacee were explained in
detail by this consultant in a personal interview on January 6, 1986
and in accordance with the regulations (See Claim Appendix for 42. 96
(b) & (c) .
The claimant is a tenant in occupancy for more than 90 days . They are
occupants in housing acquired by a State Agency for a project . As a
result of this acquisition the tenant becomes a Displaced Person
(described below in 42 . 49 (a) (1) & (2) ) (See Relocation Claim
Appendix) who is eligible for certain relocation benefits in
accordance with the provisions of the Uniform Relocation Assistance
and Real Property Acquisition Policies Act of 1970 (42 U.S .C. 4601 et.
seq) effective September 26, 1979. These benefits are currently in
effect and are applicable for Minnesota Statute 117. 52. The claimant
also meets the definition of a person described at 42. 75. (See
Relocation Claim Appendix) .
A Displaced Person is described in Paragraph 42. 49. The claimant
qualifies as a displaced person because they have moved from the real
property as a result of the Housing and Redevelopment Authorities
(hereinafter HRA) of the City of Fridley, Minnesota offer to acquire
the building and their receipt by registered letter of a Notice of
Displacement. (See Exhibit B and C) .
Notice of Displacement. If a person moves or moves his personal
property on or after the effective date of a notice of displacement
issued to him as described at 42. 205 (a) or (b) , he is considered to
have been displaced as a result of the State Agency's acquisition and
to be a displaced person under these regulations. (See Claim Appendix
for definition of 42. 205. The claimant has a Notice of Displacement
sent on December 5, 1985. The effective date of the Notice is October

As a displaced person the subject claimant became eligible for moving
and related expenses as described in 42. 301 (a) (b) and 42. 351 .
42. 301 indicates that all displaced persons (defined at 42. 49) are
eligible for moving and related expenses . They also become eligible,
if they choose, for a Fixed Payment described in Paragraph 42. 351 .
(See Claim Definitions for 42 . 301 and 42. 351) .
The claimant has elected to file a relocation claim for actual moving
expenses in accordance with 42. 301. Two bids were obtained to
establish the least cost approach in accordance with 42. 301 (b) (see
claim definitions) . The bids were not received in my office in time
to include them with this claim. (They will be filed with the city
upon receipt . ) This consultant verified the bid amounts by telephone
with the respective companies. They are as follows:
Low Bid : Barrett Moving & Storage $2, 036. 00
High Bid: Ballard Moving & Storage $2, 171 . 00
The amount of the low bid is recommended for payment . This amount is
$2 , 036. 00. In addition to the moving costs this claim is also made
for telephone installation which is $50. 00 per N.W. Bell Telephone
Company. The total recommended payment for actual move costs is
$2, 086. 00.
Claim form. A executed copy of the prescribed claim form, HUD-4000 ,
Claim for Moving Costs and Related Expenses -- Families and
Individuals, is included in the claim.
The subject displaced tenant also meets the eligibility criteria
description 42 . 451-
Replacement Housing Payments for tenants and certain others (See
Claim Appendix for Definition) . 42. 455 indicates that up to S4000 . 00
may be paid to a displaced tenant for down payment assistance computed
in accordance with 42. 455 (a) (See Claim Appendix) . One of the
requirements is prior to the initiation of negotiations the claimant
must have occupied the dwelling unit for a minimum of 90 days . The
subject displaced tenant meets this eligibility criteria. They have
been in occupancy since July 28 , 1982 , which is more than 90 days ,
they received the Notice of Displacement which was effective October
18 , 1985. Therefore they meet the criteria of 42. 451.

42. 455 REPLACEMENT HOUSING PAYMENT FOR DOWNPAYMENT ASSISTANCE.
(a) Amount of payment . A displaced person who purchases the
replacement dwelling and qualifies for a payment under
42. 451 is entitled to a payment for downpayment assistance
up to, but not to exceed $4 , 000. 00. Such payment shall be
the full amount of the first $2, 000. 00 of the required
downpayment and incidental expenses computed under 42. 409
plus one-half of any amount required over $2, 000.00. The
displaced person must provide the other half of 'the amount
over $2, 000. 00. However, the total payment by the State
agency shall not exceed $4 , 000. 00.
(b) Required downpayment. For purposes of this section, the
term "required downpayment" means the downpayment ordinarily
required to obtain conventional loan financing for the
decent , safe and sanitary dwelling actually purchased and
occupied. However, if the downpayment actually required of
a displaced person for the purchase of the replacement
dwelling exceeds the amount originally required, the amount
of the "required downpayment" shall be the amount which the
State agency determines is necessary for the downpayment.
(c) Application of payment . The full amount of the replacement
housing payment for downpayment assistance must be applied
to the purchase price of the replacement dwelling and
related incidental expenses.
(a) Determining reasonable cost of comparable replacement
dwelling . The reasonable purchase or rental cost of a
comparable replacement dwelling , which is used as the basis
for establishing the upper limit of a replacement housing
payment , shall be determined by an examination of the
proposed selling price or rental cost of one or more
dwellings which meet the definition of a comparable
replacement dwelling as set forth at 42. 45 and which are
most representative of the acquired dwelling . Such
dwelling (s) shall be selected from the neighborhood in which
the acquired dwelling was located. However , to the extent
that representative comparable replacement dwellings are not
available in such neighborhood, dwelling (s) shall be
selected from adjacent or nearby neighborhoods in ascending
order of housing costs. Neighborhoods in which housing
costs are generally lower than those of the neighborhood of
the acquired dwelling shall not be used for the selection.
The determination of the upper limit of the payment shall
be made on a case by case basis in accordance with the
findings of a qualified individual who is familiar with real
property values in the area. However, such case by case
comparison is not necessary, if the State agency makes
the replacement housing payment on the basis of the cost of
the decent, safe and sanitary replacement dwelling actually
purchased or rented by the displaced person.

(b) Inspection of replacement dwelling. Before making a
replacement housing payment or releasing a payment from
escrow, as the case may be, the State agency or its
designated representative shall inspect the replacement
dwelling and determine whether or not it meets the
definition of a decent , safe and sanitary dwelling as set
forth at 42. 47. If the displaced person moves to another
jurisdiction, the State agency may accept the,, inspection
certificate of a public agency in that jurisdiction.
(c) Purchase requirement . A displaced person is considered to
have met the requirement to purchase a dwelling , if he--
(1) Acquires a dwelling; or
(2) Acquires and rehabilitates a substandard dwelling; or
(3) Relocates a dwelling which he owns or acquires; or
(4) Constructs a dwelling on a site he owns or acquires ; or
(5) Contracts for the purchase or construction of a
dwelling on a site provided by a builder or on a site
he owns or acquires.
Claim form. A copy of the prescribed claim form, HUD-4003 ,
CLAIM FOR DOWNPAYMENT ASSISTANCE, is contained in the claim.

Replacement Dwelling
The claimant has chosen a replacement dwelling located at 11808 Norway
Street , Coon Rapids, Minnesota .
The claim computation indicates a down payment assistance 'payment is
due the displacee in the amount of $4 ,000. 00.
Replacement Referrals were made to the subject displacee. However, he
had made arrangements to relocate to his replacement choice prior to
my contact with him. It was therefore not necessary to persue the
referrals.
D.S. S. Inspection of the replacement location was done March 8 , 1986
and found to be acceptable. The inspection report is contained in
Exhibit E.
