SCHNABEL, SECONDED BY MR. RASMUSSEN, TO APPROVE THE MARCH 13, 1986, HOUSING & REDEVELOPMENT AUTHORITY MINUTES AS WRITTEN. UPON A VOICE VOTE, ALL VOTING AYE, VICE-CHAIRPERSON PRIEDITIS DECLARED THE MOTION CARRIED UNANIMOUSLY. 1 . PRESENTATION OF APPRECIATION PLACQUE TO CAROLYN SVENDSEN: Mr. Prieditis welcomed back former HRA member, Carolyn Svendsen. He stated he had the great pleasure and honor to present her with a placque prepared by the City recognizing her long and excellent service to the HRA. He stated it had been a pleasure to serve on the commission with Ms. Svendsen. He stated that on behalf of the members of the HRA, he would like to wish her the best of luck in the future. Ms. Svendsen thanked the HRA members for the placque. She stated it had been a privilege to serve on the Fridley HRA. In coming back that evening, she realized how much she and her family had enjoyed living in Fridley, and serving on the commission was a small way of saying "thank you" to Fridley. 2. INTRODUCTION OF NEW STAFF MEMBER, JOCK ROBERTSON: Mr. Qureshi stated he would like to introduce to the HRA a new staff member, Jock Robertson, who is the new Community Development Director. He stated Mr. Robertson was taking on the type of responsibilities Jerry Boardman had before leaving the City's employ. He stated he hoped that, as Mr. Robertson became more familiar with the new position, he would become the staff person to the HRA. r HOUSING & REDEVELOPMENT AUTHORITY MMEETING, APRIL 10, 1986 PAGE 2 3. CnNSIDERATION OF A RESOLUTION GRANTING ANOKA COUNTY RIGHT-OF-WAY TO PROPERTY ALONG MISSISSIPPI STREET ABUTTING THE FRIDLEY LIQUOR WAREHOUSE AND DOCTOR RYAN'S AUTOMOTIVE FOR THE PURPOSE OF STREET AND UTILITY IMPROVEMENTS ALONG WISSfSSIPPI STREET: Mr. Qureshi stated the City has been working with Anoka County to improve Mississippi St. The City has improved 5th St. and is now working with Anoka County in requesting that they include Mississippi St. Anoka County has • • submitted a preliminary plan to the City which provides one additional lane going west on the east side of University Ave. and Mississippi , and two addi- tional lanes on the west side of University coming onto University--one direct right into Holly Center and two straight and four lanes coming out going from west to east onto University Ave. Mr. Qureshi stated this plan required Anoka County to acquire some additional right-of-way. When Target was developed, the City acquired additional right- of-way on the south side of Mississippi. The County's proposed plan requires additional right-of-way from 10,000 Auto Parts. With the improvement of Holly Center, the City acquired some additional right-of-way so no additional right- of-way was needed on the north side of Mississippi Street in this area . Mr. Qureshi stated the County does need additional right-of-way on the south side of Mississippi , and the County is starting the process of acquirinn riaht- of-way. The County is requesting that right-of-way he granted by the HRA on those properties owned by the HRA, Dr. Ryan's Automotive and the Fridley Liquor Warehouse. Mr. Qureshi stated that also provided in the County's proposal was that there will be no opening at the first entrance into Holly Center from University. Traffic coming out of Holly Center cannot make a left onto Mississippi going east. They are trying to provide a better traffic flow through the intersection. Mr. Qureshi stated the City hopes that Anoka County will interact with the tenants and owners of the shopping center and at least advise then of this proposal . From a pure traffic point of view, this is the best proposal . Anoka County is proposing to extend the island heyond the first entrance into Holly Center. This pulls the traffic coming out of Holly Center away from the intersection to create more stacking room. Mr. Prieditis stated this traffic pattern did make more sense because they don't want traffic crossing a major street so close to an intersection. Mr. Prairie stated he would be concerned about the businesses on the south side of Mississippi and the access to those businesses; for example, the Dairy Queen and Burger King. Mr.Qureshi stated that is the County's concern, as the City is not involved in the adquisition of right-of-way, other than the granting of the right-of- way by the HRA for the gas station and liquor store properties. That why the City was encouraging the County to advise the tenants of this proposal . HOUSING & REDEVELOPMENT AUTHORITY MEETING, APRIL 10, 1986 PAGE 3 MOTION BY MR. RASMUSSEN, SECONDED BY MR. PRAIRIE, TO APPROVE RESOLUTION NO. 4 1986, A RESOLUTION GRANTING ANOKA COUNTY A RIGHT-OF-WAY TO PROPERTY ALONG MISSISSIPPI STREET ABUTTING THE FRIDLEY LIQUOR WAREHOUSE AND DOCTOR RYAN'S AUTOMOTIVE FOR THE PURPOSE OF STREET AND UTILITY IMPROVEMENTS ALONG MISSISSIPPI STREET. Ms. Schnabel stated she really hoped the County does consult with the business people in the area regarding the impact of the road situation, because it might cause some problems. She did understand the philosophy regarding the proposed improvements and how it would improve the traffic flow through that intersection. Mr. Qureshi stated there was no question that the property owners would know about this proposal because of the right-of-way the County wants to acquire. City Staff can certainly request that the County keep the business people and tenants well informed of their plans. UPON A VOICE VOTE, ALL VOTING AYE, VICE-CHAIRPERSON PRIEDITIS DECLARED THE MOTION CARRIED UNANIMOUSLY. 4. CONSIDERATION OF A RESOLUTION AMENDING THE BUDGET AMOUNT TO BF SPENT FOR UNDERGROUND POWER LINE RELOCATION BY NSP ON MISSISSIPPI STREET, WEST OF UNIVERSITY AVENUE, AND AUTHORIZE THE CITY MANAGER TO EXECUTE AN AGREEMENT BETWEEN THE HOUSING & REDEVELOPMENT AUTHORITY AND NORTHERN STATES POWER: Mr. Qureshi stated he had given the HRA this information last year. At that time, they had a rough estimate from NSP. Now NSP has made their detailed plans, and they feel the cost will be more in the area of $85-90,000, so they are asking the HRA to authorize $90,000 for the relocation of NSP power lines underground on Mississippi St. west of University Ave. Also, service would have to be provided to Dr. Ryan and power to the Holly Center sign. That estimate was $5,000 or under, so that was the reason for the request for $95,000. MOTION BY MS. SCHNABEL, SECONDED BY MR. PRAIRIE, TO APPROVE RESOLUTION NO. 5 1986, A RESOLUTION AMENDING THE BUDGET AMOUNT TO BE SPENT FOR UNDERGROUND POWER LINE RELOCATION BY NSP ON MISSISSIPPI STREET, WEST OF UNIVERSITY AVENUE AND AUTHORIZE THE CITY MANAGER TO EXECUTE AN AGREEMENT BETWEEN THE HOUSING & REDEVELOPMENT AUTHORITY AND NORTHERN STATES POWER. Mr. Rasmussen asked if there was a legal opinion regarding this relocation cost to NSP as it might affect any other contract or agreement the City had with NSP as discussed previously regarding a conflict over relocation costs. Mr. Qureshi stated the situation Mr. Rasmussen was talking about was when they were relocating lines underground in the Center City area. At that tine, an NSP employee, without checking with a superior, made a commitment to a certain cost. When NSP came back later with a higher cost, the City said that NSP had committed to the former cost and forced NSP to stay with HOUSING & REDEVELOPMENT AUTHORITY FLEETING, APRIL 10, 1986 PAGE 4 that commitment. That situation did not in any way affect these relocation costs. f1r. Prieditis stated the HRA did approve and amend a resolution on Sept. 5, 1985, changing the relocation amount from $95,000 to $85,000. Mr. Rasmussen stated he was just concerned that there not be any other misunderstandings with NSP over these relocation costs. UPON A VOICE VOTE, PRIEDITIS, PRAIRIE, AND SCHNABEL VOTING AYE, RASMUSSEN ABSTAINING, VICE-CHAIRPERSON PRIEDITIS DECLARED THE MOTION CARRIED. 5. RELOCATION CLAIM FOR 5747 CENTRAL AVENUE N.E. : Mr. Qureshi stated they had given the HRA the background information on the relocation claim and a letter from Jack Bagley, Relocation Consultant, stating why these payments were necessary ,quoting sections of the Uniform Relocation and Real Properties Acquisition Policies Act of 1970 and the Minnesota State Statute 117.52. Mr. Qureshi stated payment was recommended in the amount of $4,000 for down payment assistance and $2,086 for actual moving costs. MOTION BY MS. SCHNABEL, SECONDED BY MR. PRAIRIE, TO ACCEPT MR. BAGLEY'S RECOMMENDATION AND AUTHORIZE THE PAYMENT OF 4,000 FOR DOWN PAYMENT ASSISTANCE AND $2,086 FOR MOVING COSTS TO ROBIN L. TROMBLEY AND STEVEN J. RUKES, 5747 CENTRAL AVENUE N.E. Mr. Rasmussen stated his only comment was that these costs seemed exorbitant. UPON A VOICE VOTE, ALL VOTING AYE, VICE-CHAIRPERSON PRIEDITIS DECLARED THE MOTION CARRIED UNANIMOUSLY. 6. CLAIMS: MOTION BY MR. PRAIRIE, SECONDED BY MR. RASMUSSEN, TO APPROVE THE CHECK REGISTER DATED APRIL 10, 1986. OTHER BUSINESS: • Mr. Qureshi stated the City had written a letter to Lou Lundgren outlining that if it was his desire to move ahead with his project on the southwest quadrant of Mississippi and University behind Rice Plaza, the City needed sone additional information and documentation from him. HOUSING & REDEVELOPMENT AUTHORITY MEETING, APRIL 10, 1986 PAGE 5 Mr. Prieditis declared receipt into the record of the letter to Lou Lundgren dated April 9, 1986, indicating a need for action with an attached timetable identifying the contract obligations and the deadline for commencinn construction. Mr. Qureshi stated that as the HRA memhers remembered, there were some husiness people who were interested in the upgrading of University Ave. and had requested consultants to work on the upgrading. He stated he has been unable to contact these people by telephone, so he has written a letter to each one involved proposing two different meeting times. He hopes that one time will be convenient for them so they can get together and take some action on this proposal . He stated he would keep the commissioners informed. ADJOURNMENT: MOTION BY MR. The meeting included ;.:.e four consultants that submitted the proposals, interested businessmen and City staff. A list of attendees is attached and the meeting was videotaped, if you wish to review it. Consensus of the attendees was that the first two proposers, Barton Aschmar.n Associates and Short-Elliot-Hendrickson, had the most competence and expertise in enginnering, urban design, environmental management ,: :.d experience in working with !•:2;1OT. These two firms also have the depth of staff and broadness of their interdisciplinary talent necessary for successful design and completion of this important project. During the meeting it became obvious that representatives of adjacent land owners and businesses must be included from the very beginning in the planning and implementation of this project. It is crucial to have tr.esc people make an early committmer.t to see this project through. Therefore it is advisable to create a Technical Advisory Committee (TAC) to formally represent these interests throughout the planning and implementation of this process. The TAC should be composed of the following representatives: 1. The original group of interested businessmen plus representatives from .Holly Shopping Center and businesses on the east side cf University Avenue, south of Mississippi Street. 2. Several persons representing residential areas, including Hyde Park and Sylvan Hills. 3. Representatives from MNDOT. 4. Anoka County Highway Department. 5. It will be most active during the two to three months of the project planning period, meeting every two or three weeks. If the City Council and HRA feel that the City should proceed with this project the HRA should include it in their funding budget because of the importance of the University Avenue Corridor and it' s focus as the "Main Street" of the City of Fridley. We should proceed with this project as soon as possible because the County will be making improvements to the Mississippi Street intersection with University Avenue. Therefore, the HRA should: 1. Flora, Public Works Director DATE: April 30, 1985 SUEJEC: : Mississippi Street Intersection I went to a meeting at the Anoka County Highway Department on Tuesday, April 19, 1986. Representatives from Stargar, Roscoe and Right-of-Way and Design sections were present. The purpose of the meeting was to review the items that the City had requested be incorporated into the County design plans. The County will provide the radiuses for the roads and driveways as requested. They will also incorporate into the plans the necessary water, sanitary and storm sewer extensions for the development of the southwest corner ar.d they will realign the pedestrian cross-walks to provide straight lines and reduce the median lengths to preclude crosswalk depressions. The County will not provide the 8 foot medians because of the right-of-way restrictions. They will also not shift the excess space to the south because of center line concerns. They will prepare revised drawings and attend the joint HRA/City Council meeting on May 8, 1986 at 8:00 p.m. to discuss the proposed improvements with the two bodies. As soon as new drawings are received, I will provide them to you. JGF/ts 2A Page 2 (PW86-98) 8. Increase the radiuses from Mississippi to 5th Street from 30 feet to 50 feet. 9. Straighten the sidewalk along the library to eliminate the jog at the easterly property line. 10. Align the crosswalks at the intersection in order to privide push button walk access for wheelchair movements. 11. Locate the walk push buttons to facilitate wheelchair use. 12. Install the stop bars perpendicular to the traveledwAy 13. If the crosswalks are to proceed through the medians, a 5 foot clear path should be provided for snow removal equipment. 14. Provisions for the lighted street name signs on the signal masts should be included. 15. Lighted directional arrows should be provided on the signal masts. The County will review the above items and incorporate the necessary changes into the final design. When the final drawings have been received, the County will schedule a joint meeting with the tenants and owners of the four quadrants and the City to illustrate the proposed changes. There is some concern that the necessary right-of-way acquisition may adversely affect the completion of construction this year. They will attempt to process the right-of-way as expeditiously as possible in an attempt to remain on schedule. Flora, Public Works Director DATE: April 18, 1985 SUBJECT: Mississippi Street Improvement I attended a meeting at the Anoka County Highway Department regarding the final plans for the Mississippi and University intersection improvement on Thursday, April 17. Based upon the plans received dated March, 1986, I identified a number of concerns: 1. Increase the radiuses for the westerly driveway to the Holly Shopping Center from 30 feet to 40 feet. (An additional request was made to widen the driveway beyond 40 feet but the County felt this was adequate for a one lane in/two lanes out useage). 2. Increase the inbound radiuses on the easterly driveway to the Holly Shopping Center from 30 feet to 50 feet. 3. Install a driveway access for the Dairy Queen drive-through window. 4. Maintain the service drive access on the south-west side of the intersection. 5. Reduce the curbside lanes to 13 feet and add the additional 4 feet to the medians on both sides of the intersection providing an 8 foot median adequate for tree plantings. 6. Reduce the boulevard on the north-east quadrant to a total of 2 feet and add this space to the right-of-way south of the sidewalk on the southeast quadrant. 7. Provide a driveway at the easterly property line of 10,000 Auto Parts and in the median in this area to provide for a left turn. (The County does not support this request due to traffic safety). Because of the high costs of soil preparations in this area (approximately $75-100, 000. 00) and to insure a quality project with reasonable prices, I would need the following considerations from the HRA: 1) The 120 ' x 136 ' adjoining lot be con- tributed to the project at no cost. 2) The open drainage ditch on the south side of this site be enclosed with a culvert and costs for this be paid by the HRA. We have attempted to purchase the rear lots of two ad- joining property owners (east of your lot) to further in- crease the size and quality of the project. We have not been successful in this purchase because of unreasonable prices. We will, however, pursue negotiations at a later date. We have designed the project for future expansion if we are successful in acquiring this additional prop- erty. With the HRA approval, we will proceed as soon as possible 5A Page 2 with the City of Fridley to rezone this property from C-1 local business to R-3 multiple dwellings. With the favorable interest rate climate, time is of the essence. Hopefully with all of the approvals, we will be able to start construction in August of this year. The project will consist of 19 units, each with a double garage, varying from 1, 100 sq. ft. to 1, 500 sq. ft. Selling prices will be in the mid $70,000. 00 range, de- pending on amenities. The result was a proposal by the consulting firm to make various improvenents to the crossroads that are West Moore Lake Drive and Old Central. In December, 1985 the Housing & Redevelopment Authority entered into an agreement with Woodbridge for private development of the 100 Twin property as a Lake Pointe Corporate Center. Due to the overall size of the phased development of the Lake Pointe project, the Minnesota Pollution Control Agency has required that Woodbridge Properties obtain an indirect source permit. This permit application has been made by Woodbridge and to meet air quality standards, it is anticipated that sometime in the development of Lake Pointe ' s corporate buildings, it might be necessary to do some improvements to Trunk Highway 65 itself, in addition to the modification suggested by SEB Consulting Engineers to the crossroads at the intersection of Ti65 and West More Lake Drive/Central Avenue, as approved by the HRA and City Council. If the PCA, as part of the indirect source permit, requires the 11165 improvement be cone fairly soon, it might prohibit the Lake Pointe development from proceeding with additional development, beyond a certain point, until certain highway improvements are completed. If there is no special time be mes mindi, then the improvements on the highway and roadway the joint powers format as follows: 1. 'The reed is established. 2. All parties involved in this case, the State Highway Department, County Highway Department, HRA/City, agree on the general concept of the needed improvement. 3. There is a joint powers agreement developed which provides for appropriate engineering and construction costs shared by all parties involved. Lake Pointe 4A Page 2 April 29, 1986 4. Construction is done under the control of one of the parties involved and the appropriate share of the cost is paid by all parties. If there is a reed to get the improvement of ]165 earlier to meet the requirements of the indirect source permit so that the Lake Pointe development can proceed in a desired fashion, then the process of the joint powers agreement has to be expedited. If past experience is any indication, then to possibly secure an agreement with MnDOT in the rear future is not good because: (a) This improvement of 11-165 intersection with Moore Lake Drive/Central Avenue is not even in their planning program; and (b) There is a severe shortage of funds available. Other options available to expedite this improvement are: (1) The HRA and City pay all the costs of engineering; and (2) the HRA and City pay all the costs of improving TH65 which could run over $1,000,000. In addition, the cost of improving the crossroads of West Moore Lake Drive/Central Avenue are estimated in the area of $600,000. If the PCA requires certain improvements on TH65 and we cannot get MnE T to meet the required timetable for construction of TH65, this may have serious consequences for the continued development of the Lake Pointe project. Every attempt has been mde to involve Woodbridge Properties in recent meetings with MnDOT and the City staff is working hard towards a resolution to this possible problem. It is my goal to alert everyone ivolved in this project to not only the scheduled actions, but also to any potential problems. The consequences which may result, if a timely agreement cannot be reached with MnDOT, are serious. We anticipate that completion of the proposed Intersection Improvements will he a special condition to the indirect source permit for Lake Pointe Corporate Center to be issued by the Minnesota Pollution Control Agency. On April 16 , 1986 , I spoke with MNDOT District Five traffic engineer Joel Katz concerning his discussions with City staff and consulting engineers regarding the Intersection Improvements . Joel indicated that he had met on several occasions with City representatives concerning the preliminary layout for the Intersection Improvements . Assuming timely submission by City consultants , Joel indicated that the intersection layout could be transmitted to the central office by the end of this week or next week. Joel had not yet received a cost estimate from the City or its consultants but believed that the Intersection Improvements could exceed $1 ,000 ,000 . He also indicated that the consultant was working on construction drawings. If finale drawings were finished within a month, they could be approved District Five in about six weeks. He stressed that it was feasible to have the plans for the Intersection Improvements ready for bid letting in spring 1987 . He advised that it was also possible that the project could be delayed for one reason or another until 1988 . He stressed that MNDOT' s central office could not begin preparation of a cooperative agreement until final plans were submitted . In order to expedite the entire process, he indicated that the City should make sure that there were no loose ends in walking the plans through the process . With regard to funding of the Intersection Improvements , Joel indicated that the project was not on any of District Five' s priority lists . The District Engineer has apparently already told his subordinates that the state may not be able to participate in the project financially. However, Joel indicated that if the City and its consultants could demonstrate some benefit to the traveling public on Trunk Highway 65 , it might be possible to negotiate a cooperative agreement with the state for state participation in a portion of the construction on the MNDOT right-of-way. This would be done through the District State Aid Engineer, Chuck Weichselbaum. Joel then indicated that I should call Chuck to get more information on this process. The same day I spoke with Chuck Weichselbaum, District State Aid Engineer, indicating that I had been referred to him by Joel Katz and further indicating that I represented the developer of Lake Pointe Corporate Center. Chuck was aware of the project and had attended one or more meetings on it . He indicated that negotiation of a cooperative agreement for state participation was a separate but related process from approval of the construction plans for the Intersection Improvements . He indicated that this year there is a total of approximately $2 ,000 ,000 for the entire state available for MNDOT participation in roadway improvements . He indicate catedothat Fridley would be well advised to put together an app n containing the current preliminary layout for the Intersection Improvements together with a ball park estimate of total costs and submit it with an application for state participation. This should be submitted by early to mid-May 1986. HRA -1986 RESCLUTIC2V APPROVING THE CONSTRUCTION PLANS OF THE PHASE ONE BUILDING FOR THE LAKE POINTE CORPORATE CENTER AS SUBMITTED BY WOOIBRIDGE PROPERTIES WHEREAS, Woodbridge Properties has submitted construction plans for the Phase One building of the Lake Pointe Corporate Center, and WHEREAS, the "Contract for Private Development" requires the Fridley Housing and Redevelopment Authority to approve the constuction plans, if in the reasonable discretion of the Authority that: 1. The construction plans conform to the terms and conditions of the Contract. 2. The construction plans conform to the terms and conditions of the Redevelopment Plan. 3. The construction plans conform to all applicable Federal, State and Local laws, ordinances, rules and regulatios. 4. The construction plans are adequate to provide for the construction of the Phase One Minimum Improvements. 5. The construction plans substantially conform to the Deveelopment Plan and the Development Quality Plan as described in the Contract. 6. No event of default has occurred. NCW, THEREFORE, BE IT RESOLVED by the Housing and Redevelopment Authority of the City of Fridley that the Authority approves the construction plans as submitted and in the reasonable discretion of the Authority, the above stated conditions have been met. QURESHI, HRA DIRECTOR SUBJECT: STATUS REPORT CN LW LUNDGREN PROJECT DATE: MAY 1, 1986 For the Fast several months City staff has been involved in efforts to alert Mr. Lundgren to the various agreed upon contract obligations disclosed in the Development Agreement between the HRA and his partnership. In all interactions, City staff has consistently stressed to Mr. Lundgren the timetable by which certain contractual obligations must be met. In March, a revised Lease Agreement was sent to Mr. Lundgren for his review and com ent. We did not receive a response regarding the Lease or any of its provisions. In April, three separate letters were sent to Mr. Lundgren informing him of the need to provide us with construction plans, evidence of financing, negotiate the Lease provisions, complete all the blanks in the Development Agreement and agree on a minimum assessed market value. In each of the three letters we informed Mr. Lundgren that the requested information was needed before May 1, 1986 so that the HRA could proceed with acquisition of the Development Property. Section 10.9 of the Development Agreement stipulates that if the Developer has not, by May 1, 1986, negotiated the Lease, agreed upon all blank terms of the Developnent Agreement and agreed upon the Assessor's Minimum Market Values, the Development Agreement will automatically terminate. We did not receive a written or verbal respose to any of our letters, nor has there been any communication fran Mr. Lundgren to us regarding the terms of the Lease, the minimum market values to be assessed on the Development Property or any action taken to finalize all the blank terms in the Development Agreement. On April 29, 1986 Mr. Lundgren hand delivered a set of construction plans to the City, but did not meet with me to discuss the plans or any other of the requested requirments. Mr. Jim O'Meara, of O'Connor & Hannan, has informed me that Mr Lundgren' s failure to provide the required documentation by the May 1, 1986 deadline, consititutes action which renders the Developnent Agreement null and void. This morning Mr. Bob Montique, Mr. Lundgren's attorney, contacted Mr. O'Meara to request a 30 day extension of the Development Agreement thereby providing Mr. Lundgren with additional time to comply with the contract requirements. Please find attached copies of Section 10.9 and Section 3.1 (b) iv. of the Development Agreement which refer to Mr. Lundgren's contract obligations, a copy of the letter fran Jim O'Meara to Mr. Lundgren's attorney, Mr. Robert Montique, informing him of the termination of the Development Agreement; and, the three letters sent to Mr. Lundgren in the month of April. Also attached are reductions of the construction plans Mr. Lundgren provided on April 30, 1986 . These reductions include elevations, plot plan, landscapping, utility services, access, and the drainage plans. 5" (b) in the case of the Authority, is addressed to or delivered personally to the Authority at 6431 Univer- sity Avenue, N.E. , Fridley, Minnesota 55432, Attention: Executive Director ; and (c) in the case of the Holder of the First Mort- gage, is addressed or delivered personally to an address to be supplied; or at such other address as may be designated in writing and forwarded to the other parties as provided in this Section. Section 10 . 6 . Counterparts . This Agreement is executed in any number of counterparts, each of which shall consti- tute one and the same instrument . Section 10 . 7 . Law Governing . This Agreement will be governed and construed in accordance with the laws of Minne- sota . Section 10 . 8 . Termination of Agreement . This Agreement shall terminate ( i ) on the Termination Date , ( ii ) on the date on which the Authority shall have terminated this Agreement pursuant to Section 9 . 2 ( b) of this Agreement , cr ( iii ) upon the rescission of this Agreement (described in Section 10 . 9 below) , whichever shall occur earliest . Section 10 . 9 . Txtr ordinary Termination . Acquisition of the Development Property by the Authority. (a ) Acquisition Subject to Unavoidable Delays , the Authority shall acquire the Development Property, if necessary, via the exercise of the Authority' s power of eminent domain, and shall clear all existing structures • from such property. ( b) Conditions Precedent . The Authority ' s obliga- tion to acquire the Development Property shall be con- tingent on the satisfaction by the Developer of the following conditions : ( i ) The Developer shall be in material com- pliance with all the terms and provisions of this Agreement ; ( ii ) The Developer shall have submitted Con- struction Plans , which shall have been approved by the Authority pursuant to Section 4 . 2 of this Agreement ; ( iii ) The Authority shall be satisfied of the financial commitment and ability cf the Developer to construct the Minimum Improvements . Section 4. 5 of the Contract requires the developer to provide a Irrevocable Letter of Credit for $200,000 to assure completion on or before September 1, 1987. As indicated in last week's letter, we are concerned that you may not have left yourself sufficient time for completion of the project by the September 1 , 1987, thereby jeopardizing your Letter of Credit. In addition the City last week received inquiries from two different utility contractors concerning construction of sewer and water connections from this site to the main lines within the Mississippi Street right-of-way. The County is currently planning street widening and utility relocation improvements in this section of Mississippi Street to be completed this summer. Therefore it is in your interest to meet with us as soon as possible so that these utilities can be reinstalled to your location and capacity needs. Again, the Housing & Redevelopment Authority is interested in seeing this project through to completion. However, if we do not have the documentation that we requested on April ,9, 1986 to us by May 1 , 1986 then the Housing & Redevelopment Authority will be unable to deliver to you the Development Property in a timely fashion so as to allow you to commence construction on September 1 , 1985. Qureshi Director, HRA NMQ/dm C-86-154 5G • April 9, 1986 • Mr. Louis Lundgren Minnesota Building St. Paul, MN 55101 Dear Lou; Upon review of the Contract for Private Development between the Fridley Plaza Associates Limited Partnership and the Fridley HRA dated December 20 , 1985 , there are a number of contractual obligations that need to be addressed in a rather timely manner. Section 3.1 (a) of the Agreement stipulates that the HRA shall acquire the Development Property and then clear all existing structures frau the site. Unless the City can reach a negotiated settlement with the current owner of the Development Property, acquisition may have to occur through the City 's right of eminent domain. The Agreement stipulates that construction of the minimum improvements shall begin by September 1, 1986. Therefore, it is necessary for the City to begin the acquisition process as soon as possible so that title may be obtained in sufficient time to allow the necessary site preparation prior to the September 1 , 1986 deadline. In order for the City to begin the acquisition process, either by negotiation or process of condemnation, it is necessary that you complete the contractual obligations listed below no later than May 11 1986. 1. Sutrai ssi on of construction plans to the HRA for approval. 2. Submission, to the HRA, of evidence of financing sufficient to construct the Minimum Improvements. 3. Approval of all special use permits, variances. 4. All terms of the Lease are agreed upon. 5. All the blank terms in the Development Agreement are agreed upon. The City is interested in seeing this project through to completion. However, we are contractually under no obligation to proceed with Mr. Louis Lundgren 5F; April 9, 1986 Page 2 acquisition of the Development Property until these actions are completed. I have enclosed a proposed timetahle which indicates the severe time limitations condemnation proceedings will place on the project. This timetable is, of course, based on the fulfillment of your contract obligations by May 1, 1986, and the condemnation notice being served on Mr. Levy no later than May 15, 1986. -As you can see, this schedule does not all much time for site preparation before the September 1, 1986 deadline for commencement of the construction of the Minimum Improvements. Naturally, construction of the parking facilities cannot begin until the HRA has obtained title to the Development Property. Therefore, it is imperative that you provide the HRA with the requested documentation no later than May 1, 1986. Any delays in fulfilling contract obligations on your part may adversely affect the success of this project. There cannot be any further action on our part until the aforementioned contract obligations are fulfilled. It is our hope that the Development Property can be obtained through a negotiated purchase, thereby reducing the severe time limitations placed on both of us by a condemnation process. Although we will initiate condemnation proceedings as soon as we receive the necessary documentation from you, we will continue to work taaard a negotiated settlement with Mr. Levy during the 90 day condemnation period. If we do not have the requested documentation by May 1, 1986, we will assume that you are not in a position to continue with this project as agreed. One requirement of the bonds is that the money be spent in the next two and one half years. Therefore, it is imperative that the HRA review projects and set priorities for the use of the bond money. I have suggested to City Council that this is an important enough process that their attending this meeting would be helpful. There are a number of other issues of common enough interest being considered such as the University Avenue Corridor Study and other developments in City Center, that the City Council has been encouraged to attend the May 8, 1986 Housing & Redevelopment Authority Meeting. A summary of the costs follows : 64TH AVENUE (RELOCATION) (ST. 1983-1 ) *6 /5— OA-f /) The cost of this portion of the construction is $41 ,521 . 30 which will be assessed to the Fridley Housing and Redevelopment Authority. 66TH AVENUE NORTHEAST (ST. 1983-1 ) Blacktop street surfacing and concrete curb and gutter have been installed. On the south side of the street , all lots face the street so are assessed only front footage. On the north side of the street, the lot on the corner of 66th Avenue and Central Avenue fronts on Central Avenue , so this lot is assessed for one-third of the side yard fronting on 66th Avenue, and the balance of this assessment is assessed at the side-yard rate according to our City policy. The front foot rate is $41 . 42 per foot. The side-yard rate is $2 . 94 per foot .
