Resolution No. 2023 – 10
Authorizing Execution and Delivery of a Contract for Private Redevelopment between the
Housing and Redevelopment Authority in and for the City of Fridley and Roers Fridley
Apartments Owner II, LLC
Whereas, it has been proposed that the Housing and Redevelopment Authority in and for the
City of Fridley (“Authority”) enter into a Contract for Private Redevelopment (the “Contract”) with
Roers Fridley Apartments Owner II LLC (the “Redeveloper”); and
Whereas, it has been proposed that the Contract is consistent with the objectives set forth in the
development program known as the Redevelopment Plan for its Redevelopment Project No. 1
(the “Redevelopment Program”) pursuant to Minnesota Statutes, Section 469.001 et seq., as
amended and supplemented from time to time; and
Whereas, the Authority previously passed Resolution No. 2023-06, Authorizing Execution and
Delivery of a Contract for Private Redevelopment with Roers Acquisitions LLC, subsequent to
which such entity determined that it desired to form a separate entity to undertake the project.
Now, therefore be it resolved, that the Authority hereby finds, determines and declares as
follows:
1. That the Authority hereby repeals its Resolution No. 2023-06.
2. That the Contract promotes to objectives set forth in the Redevelopment Program; and
3. That the Chairman and Executive Director of the Authority are hereby authorized to
execute and deliver the Contract when the following conditions are met:
(a) Substantial conformity of the Contract to the form of Contract presented to the
Authority as of this date, with such additions and modifications as the Officers may
deem desirable or necessary as evidenced by their execution of the Contract.
Passed and adopted by the Housing and Redevelopment Authority in and for the City of
Fridley this 6th day of April, 2023.
