Introduction of Kara Ruwart, newest Council appointed Commissioner. Commissioner Ruwart provided
a detailed background of her interest in and her work in art. The Commissioners welcomed Ruwart and
provided a brief introduction of themselves as well.
Contract Review for Artist, The Commission Reviewed the proposed language for the contract between
the Artist and agencies of the City of Fridley and the Rice Creek Watershed District. A general discussion
ensued with overall agreement on the language. The commission also reviewed the language questioned
by, or needing refinement as requested by the Artist. Again, the consensuswas that the languageand
Artist requested modifications appeared reasonable and supported.
Old Business
501C3 Progress Report Scott Hickokexplainedthe work being completed by Mayor Lund in forming
the non-profit. The Mayor has selected the Board members. Two of the final three members selected
were selected from a group of three individuals who had indicated an interest in being involved in the

Public Arts Initiative. After interviewing the candidates, the decision was made that Kara Ruwart would be
appointed to the Commission and the other two interested parties would be on the non-profit Board.
Now that the name and the board members have been selected, the Mayor has sought legal assistance
on the IRS portions of the non-profit formation to assure proper legal steps have been considered.
Filing of the non-profit with the Secretary of State will be the next order of business.
Other Items
Debrief on June 1, 2024, City Open House The Commission discussed their experiences at the open
house. Overall the experience was positive. Comments regarding the area under the canopy point to
additional work necessary for the safety of park users. Commissioner Maija Sedzielarz was aware of a fall
during the event that was clearly related to the varying surface levels being difficult to make out as a
person walks through the area. Scott Hickok explained that safety features were planned into furniture
(that had not yet been installed) and other demarcation that would guide users avoid such accidents in
the future.
Commissioners were generally pleased with the event. A comment regarding parking working out for the
event, due to turnover, was noted.
TEDx Talk Public Art Commissioner Frank Sedzielarz provided a TEDx Talk on public Art. The speaker
was Jack Becker, of Forecast Public Art. Retired after 42 years Jack Becker directed Public Art with Forecast
from 1978 both inspired and inspiring for the Commission. The
importance of public art to the community was an important theme for the presentation. Examples of
public art initiatives given were incredible and similar projects in Fridley doable.
On-Boarding Manual Scott Hickok indicated that the On-Boarding Manual had been prepared by
Danielle Herrick in the City Clerks office and was being offered as an educational element of the packet.
The Council manual also allows the Commission members to see what is provided for new Council
members and allows a glimpse into the future Commissioner Packet that is being prepared currently.

PUBLIC ART AGREEMENT
CITY of FRIDLEY, RICE CREEK WATERSHED DISTRICT and
JESSICA TURTLE
Moore Lake Artwork Installation
This agreement is entered into by the City of Fridley, a home-rule charter city of the State of

Artwork for long-term outdoor display at Moore Lake Park, a public park owned and maintained
by CITY. In consideration of the terms and conditions set forth herein and the mutual exchange of
consideration, the sufficiency of which hereby is acknowledged, City, District and Artist agree as
follows:
1.Scope of Work
ARTIST will determine the artistic expression, design, dimensions and materials of the Artwork,
subject to review and acceptance by CITY and DISTRICT, as set forth in this Agreement. ARTIST will
prepare three conceptual designs with concept-level budgets. On selection by CITY and DISTRICT,
ARTIST will prepare a design and budget for CITY and DISTRICT concurrence. ARTIST will create
the artwork and will coordinate with CITY on installation.
The more specific terms for selection and creation of the artwork are as follows:
a. Site and Concept Review. ARTIST, CITY and DISTRICT will meet at the installation site to review
options for location and orientation of Artwork. CITY and DISTRICT will communicate their
interests in the form of the Artwork and the purposes that they wish to achieve in its creation and
display. CITY will supply ARTIST with the specific location of the artwork, and information that
bears on ensuring Artwork is compatible with the site with respect to public access and safety,
security of Artwork, installation and maintenance, and other relevant considerations. The Artwork
must be durable for its outdoor location and its presence in an unsecured public space exposed
to elements such as weather, temperature variation, and considerable movement of people and
equipment. ARTIST will ensure that maintenance requirements are reasonable in time and
expense.
b. Conceptual Design. Within 60 days from the date of this agreement, ARTIST will submit to CITY
and DISTRICT up to three conceptual designs with concept-level budgets of about $16,000. Each
design will include:
(i) A sketch (in plan and elevation); proposed materials and samples, colors, finishes,
textures and patinas; the orientation of the Artwork relative to the site and a written
expressed.

may film, photograph or otherwise document installation and may use such documentation as
the party chooses. CITY will provide and install a durable plaque on or near the Artwork
containing a credit to ARTIST and a copyright notice substantially in the following form:

g. Outreach. After the Artwork is installed, Artist will be available with reasonable advance
notice for at least one event in 2025 related to presenting the Artwork for community outreach

3.Warranties

(vi) the Artist has the full power to enter into and perform each term of this agreement.
b. Warranties of Quality. ARTIST represents and warrants:
(i) ARTIST

public health and safety in the manner in which they are incorporated into the Artwork;

(iv) the Artwork will maintain its physical integrity and remain materially in its installed
condition for three years from the date of CITY acceptance under paragraph X1.e,
above, provided that CITY maintains the Artwork in accordance with the maintenance
manual.

4.Ownership and Intellectual Property Rights

b. License. ARTIST grants CITY and DISTRICT, and their successors and assigns, an irrevocable
royalty-free, non-exclusive license to make two-dimensional reproductions of the Artwork for
use on their websites, and in brochures, media, publicity, catalogs, and similar non-commercial
publications. All such reproductions will contain a credit to ARTIST and a copyright notice in

damage, alteration, modification, destruction, distortion or other change, CITY will give
notice as required by 17 U.S.C. Section 113(d)(2) and (3). On completion of the Artwork,
of Copyrights as provided under 17 U.S.C. Section 113(d)(3). ARTIST further agrees to
update information with the Register of Copyrights so as to permit notification of intent
to remove the Artwork.
d. Alteration of Artwork. CITY will not intentionally alter, modify, change, destroy or damage
the Artwork without permission from ARTIST. CITY will make reasonable efforts to avoid causing

ARTIST at the time of commission and fabrication.
g. Disposal of the Artwork. Prior to disposing of the Artwork (i.e. selling it or giving it to
a third party or throwing it away), CITY will make a reasonable attempt to notify ARTIST
of its intentions and will provide ARTIST with 30 d. ARTIST
shall have the right of first refusal to take back or repurchase the Artwork from CITY.
Should CITY be selling the Artwork to a third party, ARTIST shall compensate CITY for the
amount that CITY was to receive from the third party for the Artwork.
5.Independent Contractor
ARTIST is an independent contractor under this agreement. ARTIST will select the means, method
and manner of designing and creating the Artwork. Nothing herein contained is intended or is to
be construed to constitute ARTIST as the agent, representative or employee of CITY or DISTRICT
in any manner.
6.Duty of Care; Indemnification
The parties will perform all obligations under this agreement in good faith, with reasonable
promptness, and with a shared intent to achieve the purpose of the agreement in collaboration.
In applying the standard of reasonable promptness, ARTIST recognizes that decisions of CITY and
DISTRICT may be subject to internal procedures.
Each party will perform any acts under this agreement with due care. Each party will hold the
other parties, their council or board members and their employees harmless, and indemnify them,
as to all third-party claims or actions, and all costs (including reasonable attorney fees), damages
and liabilities of any nature attendant thereto, to the extent d

7.Covenants Between City and District

Review Signed Contract for Artist Jessica Turtle
Background
The Public Arts Commission has been introduced to the concept of partnering with the Rice Creek
Watershed District and an Artist certified through their Water Stewardship Program. Jessica Turtle met
the qualifications as an artist and graduate of the Stewardship program and was introduced to the Public
Arts Commission.
Much work has been done negotiating the terms of the contract between the artist agencies and their
respective Attorneys. The result is a finished contract that represents the terms of thework and provides
a structure for what we can expect for process in the creation of a piece of art for the recently redesigned
Moore Lake Beach Park.
A copy of the contract in its final mark-up has been included in your packet for you to observe. As we
have said about this initial piece of art, its installation will be a learning journey for us and we will
structure our recommendations for an overall Public Art Installation Policy, in part based on the learning
will gain through this installation. In the spirit of that learning process, I thought it would be important
to share the marked-up version of the contract. This would help tell a bit of the story of what terms work
well, and what terms needed refinement.
The City Council will receive the executed draft with signatures on Monday evening on their Council
Agenda. By meeting time on Wednesday evening, the contract presumably will have been signed and
our first art installation project will be underway.
Financial Impact
There have been commitments of $16,000 dollars to date. The Rice Creek Watershed District will
provide $6,000 dollars. Mary T of Crooners Restaurant will provide the remaining $10,000. We are
grateful to our source donors and appreciate these thoughtful contributions. The cost of administration
by the City will be absorbed.

Title
Review Public Input Map for Art Locations -Focus to refine for Commission Recommended Final
Background
In 2023, the City began a structured process to measure public interest, gain public input, and to have
a final prepared for the City Council to reflect upon what input the facilitators of the meeting series
gained from the public who chose to be engaged. The process was interesting and the final report
was very telling. It was clear that a Public Art Program would be welcomed, that the participants felt
there were locations prime for art installation, and that the group believed strongly that Art would be
a good thing for the City.
The facilitators guided attendees to weigh in on an interactive map, prepared by the City staff, to aid
in allowing individuals to point to the location (s) where they thought art would be appropriate. It
was great to see the level of participation and the ideas that were the result.
This portion of the Commission meeting will allow Commissioners to use the map that will assist
them to be prepared to provide additional locations that they see appropriate to complete a Public
Art Comprehensive Map of Commission preferred locations (a collective).
The map can be found on Page 5 of the attached final art engagement process report.

Recommendation
Staff recommends that the Commission review the Map of suggested Art installation locations and be
prepared to discuss Map and suggested locations.

Background
Amap of the Public Engagement Process preferred art installation locationscan be found on Page 5
of the attached (previous Commission Item on this agenda) final art engagement process report. At
the Commission meeting the Board will discuss the map, the individual locations, with each board
member choosing theirtop preferred locations. The Commissioners should be ready to discuss their
chosen locations and why.
With seven Board members and potentially twenty-onelocations, that will be an excellent start to the
comprehensive map. As we know the number could be quite a bit smaller if each member, or a
number of members have a common favorite. This exercise is not to determine the magic number of
art installation locations, only to start what could be avery lively discussion, that will eventually lead
us to our number of proper locations.
We will prepare a matrix of favorite locations at the meeting, that is not part of the homework
assignment.

Recommendation
Staff recommends that the Commission review the Map of suggested Art installation locations and be
prepared to discuss their three top preferred locations (from the map or otherwise) in the Cityto begin
the revised draft process for a final map of preferred art installation locationsto recommend to Council.
In August the Commission will take a tour during our meeting time and visitpreferred locations and
the Board memberwho has chosen that location can further state their case for that location as we
visit the site.
