Prices are subject to change without notice if Proposal is not accepted within (30) days 2. This Agreement is subject to acceptance by a Standard Water Control Systems' ("SWCS") Officer and may be cancelled at any time without liability, in which case the Purchaser's deposit, if any, shall be returned in full. 3. Payment is due immediately upon completion of the work agreed upon in the Proposal, as determined by SWCS, unless other payment arrangements have been made in advance, in writing. Late payments shall be charged interest monthly, at a rate of 15% per annum, with a late fee of$50. 4. Purchaser agrees that if this Agreement is cancelled by Purchaser after the expiration of the 3 day cancellation period, Purchaser shall forfeit their deposit as a cancellation fee. If, after work has commenced, Purchaser cancels the job or does not allow SWCS to perform its work during the scheduled time frame, SWCS shall be entitled to its full contract price. 5. It is agreed that if any type of collection action is brought against the Purchaser to collect any portion of SWCS' fee, the Purchaser shall be liable for SWCS' actual attorney's fees, costs of collection, court costs and related expenses in addition to any balance, fees or interest due per this Agreement. If the Purchaser is not an individual, then the persons signing this Agreement on behalf of the Purchaser agree that they are personally guaranteeing the payment obligations in the Proposal. 6. SWCS will contact the Utility Co or Gopher One to mark the property for the various utility lines; Customer is solely responsible for determining if the work may commence based on location of any utility lines. Should any type of utility line be discovered during installation that prevents the installation, whether marked or unmarked, and SWCS is delayed in the installation or needs to pull off the jobsite, Purchaser shall pay an additional fee of up to $1,000 as determined by SWCS. 7. It is the Purchaser's responsibility to inform the contractor where property line(s) are located. Any costs resulting from subsequent disputes relating to window well(s) encroachment near or on adjacent properties are the responsibility of the Purchaser, including but not limited to any costs related to surveys, variances, subsequently modifying, removing and/or relocating any part of or all of window and /or window well material, construction and legal costs. 8. Any change in the scope of a normal installation, due to conditions unknown to SWCS, as determined by SWCS, shall be quoted as a Change Order and approved by Purchaser. Failure to accept the terms, including any pricing changes, of the Change Order may result in the cancellation of the contract by SWCS. Should this occur, Purchaser shall hold SWCS harmless without recourse or liability for (i) ceasing work, and (ii) any disturbance the worksite property incurred from the time SWCS started work, and Purchaser shall pay SWCS for the percentage of job completed, as determined by SWCS. The most common non-normal situations may include, but are not limited to, foundation or wall modifications, composition of soil/rock to be excavated, different sized windows or wells and associated delivery cost, or changing window(s) location 9. SWCS does not offer or do any interior finishing work related to windows or any other type of finishing work 10. Purchaser is responsible for installation and all aspects of any carbon monoxide and smoke detector(s) if necessary. 11. SWCS is not responsible for any damages or costs, including any cosmetic damages, resulting from our work, to a. Landscaping, plants, lawn b. Plumbing, piping, sprinklers, electrical or anything else that is below, in or above the floors, ceilings, walls or dirt, whether seen or unseen; this includes any utility lines whether marked properly or not. c. Siding, doors, sheetrock, walls, paint, floor coverings, ceilings 12. Purchaser is responsible to restore any items related to SWCS' work, including the removal of any dust or dirt, back to original condition LIMITED 5 YEAR WARRANTY SWCS AGREES TO WARRANT WORKMANSHIP AND LABOR FOR FIVE YEARS FROP, THE TIME OF WINDOW INSTALLATION. THIS WARRANTY SHALL AUTOMATICALLY TRANSFER TO A NEW OWNER. Warranty Limitations -Warranty is Void if: 1. Purchaser has not paid in full for the contracted price or for any other type of services-or work was not completed in its entirety, as determined by SWCS. 2. Work area and/or materials and products installed are subsequently altered, abused or otherwise disturbed. 3. There are Acts of God or other conditions beyond SCWS' control. Warranty Limitations: 1. No warranty is made against mold, mildew, fungi, dampness, condensation or water entering through or around windows or through any wall. 2. SWCS is not responsible for settling of soil and backfill to prevent water from overflowing into window well and causing washouts around window well and foundation. It is the Purchaser's responsibility to maintain the interior of the window well and to keep free of debris such as dirt, paper, leaves, plastic, etc., as to allow proper drainage through gravel and drain - if installed as part of contract. SWCS recommends window well covers to help keep debris out of the well. 3. SWCS obligations under this warranty are limited to providing labor and materials at no charge to repair any defective workmanship. 4. No warranty is made against any window wells, windows or other products manufactured by parties other than SWCS that are installed as part of the agreed upon work, as they are warrantied separately by the manufacturer. 5. No warranty is made against incidental or consequential damages to the Purchaser's personal property or premises, or damages of any kind caused by window or installation malfunction. 6. Service calls are run Mon-Fri 8:00am-4:00pm. Service fees shall be charged if the basis of a service call is (i) not related to the functionality of the egress window or(ii)the reason for the call is riot explicitly covered under this warranty. THIS IS A LIMITED WARRANTY, LIMITED TO, ITS TERMS. -ALL OTHER WARRANTIES, EXPRESS OR _IMPLIED, ARE EXCLUDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FORA PARTICULAR PURPOSE. IN NO EVENT SHALL SWCS BE LIABLE FOR CLAIMS BASED UPON A CLAIMED BREACH OF AN EXPRESS OR IMPLIED WARRANTY OR NEGLIGENCE OR ANY DAMAGES WHETHER INDIRECT, DIRECT, IMMEDIATE, FORESEEABLE, CONSEQUENTIAL OR SPECIAL. PRE-LIEN NOTICE (A) ANY PERSON OR COMPANY SUPPLYING LABOR OR MATERIALS FOR THIS IMPROVEMENT TO YOUR PROPERTY MAY FILE A LIEN AGAINST YOUR PROPERTY IF THAT PERSON OR COMPANY IS NOT PAID FOR THE CONTRIBUTIONS. (B) UNDER MINNESOTA LAW, YOU HAVE THE RIGHT TO PAY PERSONS WHO SUPPLIED LABOR OR MATERIALS FOR THIS IMPROVEMENT DIRECTLY AND DEDUCT THIS AMOUNT FROM OUR CONTRACT PRICE, OR WITHHOLD THE AMOUNTS DUE THEM FROM US UNTIL 120 DAYS AFTER COMPLETION OF THE IMPROVEMENT UNLESS WE GIVE YOU A LIEN WAIVER SIGNED BY PERSONS WHO SUPPLIED ANY LABOR OR MATERIAL FOR THE IMPROVEMENT AND WHO GAVE YOU TIMELY NOTICE.
