LEASE AGREEMENT
THIS AGREEMENT, made Chis lst day of August, 1977, by and between tt�e
City of Fridley, a municipal corporation organized and existing under the laws
of the State of Minnesota, hereinafter called the "City", and The Foundation
for Islands of Peace, Incorporated, a non-profit.organization, incorporated
April 27, 1973, under the laws of the State of Minnesota, hereinafter called
the "Foundation". �
WITNESSETH: That the City does hereby demise and let unto the Founda-
tion the following described pre�ises:
1. Chase's Island, which is presently owned by the�City, and will
hereinafter be referred to as PARCEL N0. 1.
2. Gil Hodge's Island, which is leased from the State of Minnesota
by the City, and hereinafter referred to as PARCEL N0. 2.
3. Hayes River Lot Addition, Block 2, Lots 3 and 4, pres�ntly being
purchased by the City and hereinafter rererred to as PARCEL N0. 3.
The Foundation has made a commitment to the City to raise wh�tever
funds are needed for the purchase of the parcel.
It is mutually desired by the City and the Foundation that the project
of the Foundation be a success for the benefit of�the general public, and
especially the handi.capped and disabled; therefore, tile City and the Foundation
agree to the £oilo�aing conditions:
1. TEI`�I OF LEASE: The Foundation is to have and to hoZd the above
described premises for a term of twenty-five (25) years, beginning

August 1, 1977, and ending on July 31, 2002.
2. CONSIDERATION: Consideration for this lease shall be the sum of
1�tenty-five and 00/100ths ($25.00) Dollars, and the mutual promises
by and between the parties, the sufficiency of which is hereby

3: SERVICES TO BE PROVIDED BY CITY: The City hereby agress to furnish
for the term of this agreement and as part of the consideration of
this agreement the following:

A. The Maintenance of PARCEL N0. 1 will be limited to routine ground
• ' maintenance which includes grass cutting, tree trimming, along
with the removal and cleaning of waste material, will be accomp-
lished by the City, and will be set up on a regular basis under
. the sole direction of the Director of Parks and.Recreation
Department of the City. .
B. The Maintenance of PARCEL N0. 2 will be•linited, due to the
accessibility ot this parcel; the type and amount of maintenance
of this parcel will be solely in the discretion of the Director
of Parks and Recreation Department of the City.
C. The Maintenance of PARCFL N0. 3 will be the total responsibility
of the Foundation.
' D. Additional Maintenance: Any maintenance not included above will
� be the responsibility of the Foundation. The City does not waive
its right to compensation for any of these services provided above.
� If the Foundation fails to provide adequate maintenance beyond the
City's responsibility, the City reserves the right to provide the
necessary maintenance at the expense of the Foundation.
4. SERVICES TO BE PRQVIDED BY FOUNDATION: The Foundation hereby agrees
To furnish for the term of this agreement and as part of the consider-
-ation of this agreement the £nllowing:
A. �eration of Pro�rams: The Foundation shall be responsible for
conducting all programs and activities on behalf of the handicap-
ped,disabled and elderly, and coordination of use for general public
group activities. �
B. Maintenance: The Fou;.dati�n s�all �e respons�hle for a1I maintenance
of the leased premises, including any improvements to be constructed
thereon, except those maintenance items that are specifically
designated as the responsibility of the City.
5. RULES AI�1D REGULATIONS: The City agrees to enforce all rules and
regulations in accordance with the City's ordinances. All conduct
on PARCELS N0. 1, N0. 2, and N0: 3 will be subject to the rules and
�regulations, and of ordinances, of the City. The Foundation shall not
adopt any rules which shall, in the discretion of the City, unreasonably
limit the access, use and enjoyment of Parcels �1 and �i2 by any citizen
not subject to the Foundation's prograr,i. The City will supply the needed
personnel to enforce said r.ules, regulations, �nd ordinances, as needed.

6. POLICE AIvII FIRE PROTECTt�N: The City will pr�vide police and
fire proCection. ,
7. IMPROVEMENTS: Any improvements germanently att�ched to the
property including, but not limited to, buildings, parking
lots, driveways, walkways, lighting facilities, docks, wharfs,
, and other permanent recreational facilities,are to be approved

by the city manager prior to installation. Said approval shall
be in writing. All permanent improvements attached to ttie
property shall remain on the property at the termination of this
lease and shall become the property of the City.
8. LIABILITY INSURANCE: Public liability insurance shaZl be provided
by the Foundation. The amount shall be $250,000.00 to $SOd,000.00.
• 9: ADDENDUI�1 TO LEASE: Zn the event that the Foundation constructs a
building on the iia;�es River Lots, the City and the Foundati�n shall
enter into an addendum to this lease, which addendum shall set forth
the relative responsibilities of the parties concerning the opera-
tion and maintenance of said building.
10. TER1�tINATION OF LEASE: The City has incurred certain financial
obligations, at the request of the Foundati.on, for the purchase
of Lots 3 and 4, Block 2, Hayes River Lot Addition. The Foundation-
has agreed to reimburse the City for the cost of purchasing said
lots. If the Foundation shall fail to reimburse the City for
Said expenses or shall fail to adequately perform those services
to be provided by the Foundat�on, this lease may be declared void
by the City.

This year the State Legisiature has appropriated $150,000 from their general
for the Islands of Peace Park in the City of Fridley, subject to a sum of $50,000
being raised by other public or private sources. There are two alternatives that
be considered by the City to avail this grant:
l. A sum of $50,000 is either raised by the Islands of Peace Foundation
through private contribution or other governmental grants, and then
we submit application to receive the $150,000 grant.
2. The City, based on the commitment of the Islands of Peace Foundation,
take on the responsiblity of saying that the City will either corronit
$50,000 in money or in-kind services, and then depend on the Islands
Peace Foundation and other organizations to come up with the money,
or in-kind services, to fulfill the City's commitment. If this is
done, the City would be able te receive the money in the next few
weeks, and the maney would be sittiny in the City of Fridley treasury
instead of being with the state. This way, tiie Gity would be drawing
interest on that money, which could potentialiy be over $10,000 a ye�r.
If the City chooses to follow this alternative, then it should only be
done with the understanding that the City would not release the funds
unless there has been actual needed matching money received, or a firm
written commitment in regard to in-kind services has been received by
the City. l�nd if that is done, then and only then, the City would
proceed with the release of the money and the execution of the project.

As there does not seem to be ar�y time limit when this project has to be completed,
the City would not be ur�cizr �ressure to com�lete i;he project by a certain date, as far
as the grant requiren�nts are conce�•n��.
If in due time, money�cannat be raise�+ and it becomes advisable �o not proceed
with the project, the only obligation, as I understand, would be for th� City to return
the money back to the state. If the City wishes to proceed with the project and does
not wish to commit any iocal tax money, I feel it is imperative that the City:
.
1. Should have a detailed plan of how the project can be completed;
2. Have a firm commitment on how the maintenance of the building and
other facilities would be funded by sources other than loca7 tax money;
3. Know what sources are going to be utilized to provide the programming
and day to day operation of the facility.

I feel it is imperative that Council should have firm commitments, especially on ��
the last two items, if the Council does not wish to corrunit any local tax monies, and
should have a financial plan of building maintenance, operations and programming before i
any money is released from the grant.

I discussed this with your l�ard 3 Councilmember,
Mr. Ed Fitzpatr°ick, and he shares your objection.
I think we t��ould have a verY difficult legal problem
associated with an outrigf�t ban on t�ese lights, in that
that sort of think seriously infrirg�s on other peop7e's
generally accepted p•ro�erty rights. However, it may be
possible to adopt an ordinance which could 1-�mit the
impact on an objecting neighbor.
I have circulated your letter to the rest of the City
Counci�! and our staff to see if they have any suggestions.
