This aign would be erected along IIniversity Avenue with the existiag pylon aign Deing moved to face off Osborne Road. The ezisting identification and price sign was erected in September, 1978 and i� 75 aquare teet. The aeW pylon aign consist� of an identification aign and two price aign panels with a total of 108 aquare feet. The total of 183 aquare feet la ia exces� of the 80 aquare feet alloxed by the City Code. Section 214.045 of the Sign Code permit� one (1) free �Landing pylon aign per atreet frontage with a maximum of 80 aquare feet per develoment. Although this portion of the code ia clear, there is a difference of opinion about what portions of Lhe pylon aign ahould be included xhen determining the total area of a sign. Section 214.045, paragraph 6� Gas Stations� states that "One (1) gas price aign la allowed in addition to one (1) permitted as an integral part of the identification aign." Some members of tbe City atatf and the Appeals Commission have interpreted Lhis Lo mean Lhat a business is alloved 80 aquare teet of aignage and any gas price aigns ahould not be included in the total. This seems to be the Appeals Commission'a decisioa on Lhia particular variance. The otber interpretation is that the 80 aquare feet ia the maximum signage pe�itted and would include any price aigna attached to the pylon. The other limitation is tbat a aervice atation can display only two (2) aets of price,aigns on the premises. He said they would like to m�ve the present siqn to Osborne Road, which vould be back within the li.mits and put the new siqn on the NE corner of the property, which vould probably zequire the taking out of the telephone booth and placing it somewheze else on the property. Ms. Gabel said the Cca�ission has several ooncerns and they feel the present sign is very visible and they have recently turned down other qas stations that have asked• foz additional siqns. She stated the station situated across from western has a 60 sq. ft. sign and they would anst probably ask for a variance for a largez siqn if this one is granted. She also stated the Cacanission was not clear on the hardship. Mr. Inqram said tfie marketing depaztment of the company feels there is a lot of tzaffic on Osborne that does not get visibility from the pricing sign. Ms. Gabel stated the wall sign is quite visible and asked if they investigated any alternatives. Mr. Ingram said this is the way the company wants to go throughout their netionwide operating area. Ms. Gabel asked about designinq a different type of sign, and if they, have seen the Champlin station siqn and if the price siqns are an integral part of the design they oculd be any size they want them to be. Mr. Clazk said the Champlin sign is a four-sided siqn, each face about 20-25 sq. ft and the price signs belaw are the same. There was some discussion on the siqn oode and Mr. Clark obtained oopies for the Commission members. MLs. Gabel said the siqn code (214-9) read one gas price siqn in addition to one permitted as an integral part of the identification sign. Mr. Barna felt it meant two gas price signs; one part of the main sign and an additional one. Mr. Clark said it could have an 80 sq. ft. ID siqn and attach gas price signs along as part of the identification sign. Mr. Ingram said theiz present sign is 75 sq. ft. total (identification and price siqr�s). 2�ir. Clark stated that the recent request that vas denied for a'gas station was that theiz siqn was a campletely separate adver- tisinq siqn. !�ls. Gabel said if the top of the western is only 22.8 sq. ft., qranting a 5 ft. variance should be enough based on their interpretation of the aiqn code. R�e Company may be required to pay to the Mimicipality, in the manrier and at a rate prescribed by a separate ordinance, a fee determined bY oollections f rom sales of Gas, but not to exceed 5$ of the Canpany's gross revenues from the sale of Gas within the M�.a�icipality. Such ordinance may be ad�P�ted► amended, repealed or reaciopted at any time during the tenn o� this franchise. The fee, if required, shall be effective 90 days after written notioe of the ordinance to the Company. No such fee shall be effective as to sales made bef ore January l, 1984. Z�e fee shall be seParately stateci on 9as bi115 renaered to custanezs within the M�►icipality. 5. Publication Expen�e. �e expense o� publication of this Q�apter shall be paid by the Campany. 6. Default. If the Canpany: is in default in the performance of ariy material part of this franchise for more than 90 days after receiving written notice from the Municipality of such default, the Municigal Council may, by ordinance, terminate all rights granted heretmder to the Company. �e notioe of def ault shall be in writing and shall specify the provisions of this f ranchise under which the default is cla.imed and state the bases therefor. Such notice shall be served on the Canpany by Personally delivering it to an offioer thereof at its principal. plaoe of business in Minnesota. ' , If the Company is in default as to any part of this franchise, the MLmicipality may, after reasonable notice to the Company and the failure of the Campany to cure the default within a reasonable time, take such action as may be reasonably r�ecessary to abate the oondition caused by the def ault, and the Canpany agrees to reimburse the M�micipality for all its reasonable costs and for its oosts of oollection, including attorney fees. Nothing in this section shall bar the Company from challenging the Municipality's claim that a default has occurred. In the event of disagreement over the existence of a default, the burden of proving tl�e default shall be on the M�icipality. 404.03 OOt�IDITI0t1S 0!.* OSE l. Ose of Public Gro�d. All utility facilities and equipment of the Company shall be located, constructed, installed and maintained so as not to endanqer or unnecessarily interfere with the usual and customary traffic, travel, and use of Public Grotuzd, and shall be subject to pern�it vorx3itions of the Municipality. The permit oonditions may provic3e for the right of inspection by the MLmicipality, and the Canpany agrees to make its facilities and equipment available for inspection at all reasonable times and plaoes. 3. Fermit Requireci. 7t�e Company shall not open or disturb the surfaoe of any Public Ground for any purpose without first having obtained a permit from the Municipality, fot which the M�micipality may impose a reasonable fee to be paid by the Company.. The permit �onditions imposed on the Ca�rpany shall not be more burc3ensocne than those ir�osed on other utilities for s�aztoas ���itrshall�be�located as servioes and other property plaoed pur shall be desicg�at�ed by the M�mir.ipality. 9 6A . �he Ca�any may, ho�,iever, apen and disturb the surface of any Public Ground without a permit where an energency exists requiring the i�nediate repair of its facilities. The Cang3ny in such event shall request a permit not later than the seoond working day thereafter. 3. Restoration. Upon oompletion of any work requiring the apening of any Public Ground, the Car�pany shall restore the same, including paving and its foundations, to as good oondition as formerly, and shall exercise reasonable care to maintain the smne for two (2) years thereaf ter in good condition. Said work shall be completed as promptly as weather permits, and if the Company shall not prariptly perform and oamplete the work, remwe all dirt, rubbish, equipment and material, and put the Public Gramd in good condition, the Municipality shall have the right to put it in gooc] condition at the expense of the Ca�any; and the Car�ny shall, upon cignand, pay to the Mtimicip3lity the cost of such work done for or performed by the Municipality, including its administrative expense and overhead, together with ten percent (10$) additional as liquidated damages. This reznedy shall be in addition to any other renec3y available to the M�uiicipality. 4. Relocation of Utility Facilities. R�e Canpany shall p�anptly, with due regard for seasonal working conditions, pern��ently relocate its facilities or equipment whenever the Municipality orders such relocation. If the relocation is a result of the proper ex�rcise of the polioe pawer in grading, regrading, changing the location or sh ape of or otherwise imprwing any Public Ground or o�nstructing or reoonstructing any sewer or water systesn tt►erein, the relocation shall be at the expense of the Canpeny. If the relocation is not a result of the proper exercise of the polioe pawer, the relocation shall be at the ex�ense of the Mu�icipality. If such relocation is done without an agreenent first being mac3e as to who shall �y the relocation oost, such relocation of the facilities by the Company shall not be construed as a waiver of its right to be reimbursed for the relocation oost. If the Canpany claims that it should be reimbursed for such relocation oosts, it shall notify the Municipality within thirty (30) days after receipt of such order. The Municipality shall give the Company reasonable notice of plans requiring such relocation. Not1�►ing oontained in this Subsection shall require the Company to r�nove and replaoe its mains or to cut and teconnect its service pipe running from the main to a customer's premises at its own expense where the removal and replaoaneizt or cutting and reconnecting is made for the purpose of a more e�eciitious operation for the oonstruction or reconstruction of underground facilities; nor shall anything contained herein relieve any person from liability azising out of the failure to exercise reasonable care to avoid damaging the Canpany's facilities while performing any work in any Public Gro�d. 5. Relocation When Public Ground Vacated. 7t�e vacation of any Public Ground shall not operate to deprive the Company of the right to operate and maintain its facilities therein. Unless ordered under Section 404.03.4, the Canpany need not relocate until the reasonable cost of relocating and the loss and expense resulting fran such relocation are first paid to the Company. When the vacation is for the benefit of the Municipality in the furtherance of a public purpose, the Company shall relocatQ at its own expense. 6C 6. Street Impzwenents, Pavin9 or Resurfacing. �e M�micipality shall give the Ca�ariy reasonable written notioe of plans for street improvements where paving or resurfacing of a permanent nature is involved. The notice shall contain the nature and character of the imprayenents, the streets upon which the improvements are to be made, the extent of the i�rovenen�s and the tiia�e wi�en the M�micipality will start the work, and, if mpre than or�e street is involved, the order in which this work is to proceed. Rl�e notice shall be given to the Cat�pany a suf f icient length of time in advance of the actual commencement of the work, considering seasonable working conditions, to permit the Company to make any additions, alterations or repairs to its facilities the Canpany deens necessary. In cases where streets are at final width and grade, and the Mtmicipality has installed undergro�md sewer and water mains and service connections to the property line abutting the streets prior to a permanent paving or resurf acing of such streets► and the Company's main is located under such street, the Canpany may be required to install gas service connections prior to sucY� paving or resurfacing, whenever it is apparent that gas service will be required during the f ive (5) years following the paving or resurfacing. 404 . 04 II�ID�IIFICAT�ON ZYie Canpany shall indemnify, keep and hold the Municipality, its elected officials, offioers, enplvyees, ana agent� free anc] harmless from any and all claims and actions on account of injury or death of persons or damage to property occasioned by the construction, maintenance, repair, removal, or operation of the Canpany's property locatea in, ai, over, �mc3er, or across the Public Ground of the Mimicipality, iailess such injury or damage is the result of the negligence of the Municipality, its elected off icials, employees, off ioers, or agents. �e M�icipality shall not be entitled to reimbursement for its oosts incurred prior to notif ication to the Company of claims or actions and a reasonable opport�mity for the Canpany to accept and undertake the def ense. If a claim or action shall be brought against the Municipality under circ�mtistances where indetuzification applies, the Canpany� at its sole cost and expense, shall defend the Municipality if written notice of the claim or action is pra�tly given to the Ca�any within a period wherein the Canpany is not prejudiced by lack of such notice. The Company shall have complete conttol of such claim or action, but it may not settle without the consent of the MLmici�lityr which shall not be u�reasonably withheld. This section is not, as to third parties, a waiver of any defense or inununity otherwise available to the M�micipality, and the Company in defending any action on behalf of the Municipality shall be entitled to assert every defense or imniv,ity that the Mimicipality oould assert in its a�wn behalf. 404.05 ASSIt�1�3�TP The Company, upon notice to the Municipality, shall have the right and authority to assic� all rights conferred upon it by this franchise to any , person. R�e assignee of such rights, by accepting such assignment, shall beoane subject to the terms ancl pravisions of this franchise. 404.06 (,'EANGE IId F�OffiM OF QOVII�r 14ny change in the form of governme�t of the M�micipality shall not affect the validity of this franchise. System Ownership Status Ms. Hughes stated she woutd like'to introduce to the Commission Walt Berdnik, who has replaced Tom MacColl as District General Manager handling Fridley, Bloomington, St. Cloud, and St. Louis Park. Mr. Belgum asked Mr. Berdnik to give a brief summary of his background. 11 A CATV ADVISORY COMMISSION MEETING SEPTEMBER 15 1983 PAGE 2 Mr. Berdnik stated he was born and raised in Pittsburgh, Pennsylvania. From there he moved to Ft. Myers, Florida. which he considers home. Around 1969 he started in cable TV and has been in cable TV ever since, He started with Storer a little over four years ago in Hollywood, Florida, as an instruction coordinator. He built a new system in Hollywood, Florida. At that location he was promoted to project man�ger and, upon completion of the Hollywood system, was asked to transfer to Bonebrink, Kentucky. Again he built a new system there. From there he was transferred to Little Rock, Arkansas, where he again built a system as project manager, carrying a dual roll, of plant manager. Upon completion of that system, he was asked to consider a transfer to Minnesota. He and his family moved to Minnesota, where he was put in charge�of building up the northwest suburbs and trying to get their � systems on scale on time. This was in October 1982. He was also put in charge of the construction of the Minneapolis system at that time and overseeing the Fridley district as area plant manager and area con- struction coordinator. He served in that capacity until Tom MacColl elected to leave Storer.. He was offered the position of District General Manager and he accepted the promotion and came to Fridley. Mr, Berdnik stated that, as far as the system ownership status, Rogers has not elected at this time to pick up on their option to buy the Fridley district. They reviewed them all, and they have closed on the Minneapolis system. The closing took place on Wednesday afternoon. What Rogers has at this point in time is a one-year option in the form of a"put and take" contract. Rogers can "take" the Fridley district at a certain percentage of gross revenues, provided all the cities are agreeable to such a sale or at the close of one year at a date specified (Aug. 15), they can "put" L�ie systems. In other words, they can tell Rogers they are going to have to buy the system on that date and they have to buy at a lesser percentage than what was offered at the "take" price. Mr. Berdnik stated that at this point, he did not feel Rogers was overly concerned with the Fridley district. He thought Rogers would like to have bought, but they looked at their financial capabilities and the burden of building in Minneapolis was very substantial. Mr. Berdnik stated this doesn't mean that if someone else comes along and makes an offer that they might not consider that offer. Their corporate policy at this point and what he has been instructed to do is to conduct business as usual only on a much more upbeat kind of arrangement. Mr, iJeaver asked what the price was or how the structure was set up on the "take". Was it a flat price or based on percentage of revenues? Mr. Berdnik stated it was based on a percentage of revenues and also based on the entire district. All four were bundled together, and Northwest has been excluded from that bundle. 11B CATV ADVISORY COMMISSION MEETING, SEPTEMBER 15� 1983 PAGE 3 Mr. Weaver asked if there was any possibility this would change in the future. Mr. Berdnik stated he did not think so for two reasons: (])the size of the system is not something that would link very we11 wiLh Rogers' current holdings; and (2) the size of the system and the subscriber count already makes it almost cost-prohibitive to be bought at this juncture. Ms. Hughes stated she would appreciate Mr. Berdnik sharing whatever information he has with the Comnission and the Comnission will do the same. � Mr. Kasps2ak stated that, personally, he has been very disappointed that the local prograrm�ing channel 3 is not better today than it was one year ago. He felt kind of reassured at the time the franchise was renegotiated that this would improve. 7he programning has not improved. He can understand why with three managers in nine months. If the instability continues, then he did not foresee any improvement. Assuming the stability does improve, can they look forward to sor�e improvement in terr�s of the way some of the things are spelled out in the new ordinance or new contract? Mr, Berdnik stated they have already taken one step. He stated he was not an expert in Lhat field, so the one thinq they have done is to search within the "area", which includes Northwest, to single out the most knowledgeable person they have. That person is Tom Stark. Mr, Stark will be named very shortly to the area post in Fridley. The purpose of doing this reorganization will be to ga ahead and better utilize the studio they now have. The studio in Fridley has the capability to do almost everything WCCO does. Their hope is that by sharing aii the five systems' equipment and knowledge and getting people more motivated, they will be able to do a quality program which is what they should�be able to expect with the equipment they have. They are going to have to be aggressive about searching out what the comnunity wants. They have had discussions on how they are going to find out what the community wants in prograrrming. One idea that was shared was to have a show called "7alk Back to Cable". Another idea is a telephone marketing campaign. He stated they would also like to have ideas on progra mning from the commission members. Mr. Kaspszak stated this cortmission as a group has pretty well identified what they would like to see in terms of local origination. He suggested that the Comnission's local origination concerns be transmitted to Mr. Berdnik in written form. Ms.�Hughes stated they have an outline of a report on education that was really supported. There are some good suggestions in that. There have been other things the Commission has talked about, and they wiil gather that information and get it to Mr, Berdnik, ihis topic should be the major item of business at their October Commission meeting. 11 C CATV ADVISORY COhP1ISSI0tJ MEETING� SEPTEMBER 15, 1983 PAGE 4 b. System Up-Grade Schedule Mr. Berdnik stated they are very much ahead of schedule. Mr. MacColl had forecast Oct. 1 as the date of completion. They have experienced some minor difficulty, something that is rather unique, in th.at they have had a little bit too much signal in two locattons. They have had to order some additional pads. He stated they should be 80-90� complete by Oct. 1. if not 100%. Ms. Hughes suggested the Cortmission have a tour of the cable TV studio at their October meeting. Mr. Berdnik stated that was a very good idea. 2. FORMATION OF A CONSORTIUM: Mr. Weaver stated a few weeks ago, he had talked to John Gibbs, an attorney friend of his wirto is one of the attorneys working cable and who is also Chairperson of the Bloomington cable cortmission. In their discussion, they found they were both having the same problems, and thought it might be a �ood idea to form a consortium with a representative from each of the cities Fridley, Bloomington; St. Louis Park, and St. Cloud) that are up for sale in order to keep track of one another and see how things are going. Mr. Weaver stated maybe the word "consortium" seemed a bit strong, but to him it just meant a gathering of people with a common interest. He steted he was looking for a general feeling from the COmmiSSi0ner5 that a consortium would be beneficial to the communities involved. He thought the consortium could serve as a very effective early-warning system. If they see things starting to drift the wrong way, they can call an emergency cort�r►ission meeting and do all kinds of things. It would give the Commission one more source of information so they can do a little better job of tracking where this whoTe process is going. Ms. Hughes stated she did not see this group doing anything beyond exchanging information. Mr. Kaspszak stated he had no problem with their being part of an information system. Maybe this is something that should have been done a long time ago. , Mr. Belgum stated that if Mr. Weaver�has the interest, he should take the 9nitiative and proceed informally. During the time they have been negotiating, they had some sort of loose agreement with Storer that in the future the information would be presented in a finalized form, accompanied by a cove� letter stating that the data contained herein is compliant with all known FCC regulations and signed by someone carrying an FCC license. � Mr. Weaver stated the second part of that agreer�ent was that the Commission would have base line data imnediatety prior to the switch-over. They want to be able to track the system, He was specifically interested in siy�ial to noise data, and he wanted calibrated instrumentation. Mr. Berdnik stated he had no problem with furnishing that informati�on or any other'information that may be of more benefit to the Comnission. Mr. Weaver stated that rather than sitting do�m and trying to formulate some high powered writing, if he could just talk to the technical man and get this across, he felt that was really what they were looking for. -. Mr. Berdnik stated some other things that might be helpful are pictures of the signal sweep and trunk termination points. He thought they should also have the design parameters of the system, Mr. Berdnik stated they are definitely making some changes in Fridley. He introduced Tracy Schulte, who is the new Office Manager at Storer. He stated he wanted the Comnission members to feel free to contact any of his staff when they had questions or cortments. He did not want the Comnission members to feel that he was the only one they could talk to. 5.
