' RESOLUTION APPROVING THE ATTACHED FIRST SUPPLEMENTAL
TRUST INDENTURE AND AUTHORIZING THE EXECUTION THEREOF
FOR THE CITY OF FRIDLEY, MINNESOTA, $6,190,000
FLOATING RATE DEMAND COMMERCIAL DEVELOPMENT REVENUE
BONDS (RIVER ROAD INVESTORS PROJECT) SERIES 1984
WHEREAS, on July 16, 1984, and November 5, 1984, the City of Fridley,
Minnesota (the "Issuer ") adopted resolutions (the "Bond Resolutions ")
approving the issuance of its Floating Rate Demand Commercial Development
Revenue Bonds (River Road Investors Project) Series 1984 (the "Bonds "), for
the purposes set forth in the Bond Resolutions;
WHEREAS, the Bonds were issued by the Issuer on November 20, 1984;
WHEREAS, River Road Investors, a Minnesota general partnership (the "Company ")
has proposed that the Issuer consent to the amendment of the Trust Indenture
pursuant to which the Bonds were issued in the form of the attached First
Supplemental Trust Indenture;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF FRIDLEY, MINNESOTA ACTING BY AND
THROUGH ITS CITY COUNCIL AS FOLLOWS:
Section 1. Pursuant to the above recitals and to accomplish the
purposes set forth in the attached First Supplemental Trust Indenture, the
' City Council of the Issuer hereby consents to the amendment of the Trust
Indenture pursuant to which the Bonds were issued substantially in the form of
the First Supplemental Trust Indenture attached to this Resolution.
Section 2. The Mayor and Manager are hereby authorized to execute the First
Supplemental Trust Indenture in the form attached hereto with such
insubstantial changes as shall be approved by them as evidenced by their
signatures.
Section 3. This Resolution shall be effective from and after the date hereof.
PASSED AND ADOPTED BY THE CITY COUNCIL FOR THE CITY OF FRIDLEY THIS 10TH DAY
OF APRIL, 1995.
